(NYSE: FLYX), positioning Jet.AI to complete its transformation into a pure-play provider of high-performance GPU infrastructure and artificial intelligence cloud services.<\/p>\n<p>The transaction included the spin-off of Jet.AI\u2019s private aviation charter business into a separate entity, followed by the merger of the spin-off entity with a flyExclusive subsidiary. As a result, flyExclusive acquired Jet.AI\u2019s private aviation charter business as a newly held subsidiary. Jet.AI stockholders retained their shares of Jet.AI and received publicly traded shares of flyExclusive in the deal.<\/p>\n<p>The transaction enables Jet.AI to sharpen its strategic focus on the rapidly growing AI infrastructure market while allowing flyExclusive to expand its position as a leading provider of premium private aviation services.<\/p>\n<p>Dykema advised Jet.AI throughout the transaction, providing counsel on the corporate, securities, and transactional matters necessary to successfully structure and complete the spin-off and merger.<\/p>\n<p>The Dykema team was led by Kate Bechen and included Peter Waltz, Hallie Heath, Louis Kern, Taylor Browne, and Canaan Catlett.<\/p>\n","protected":false},"excerpt":{"rendered":"Dykema represented Jet.AI Inc.
