Michael Kovac\/Getty Images for Vanity Fair<\/p>\n<p>With the trial underway for <a href=\"https:\/\/observer.com\/person\/elon-musk\/\" title=\"Elon Musk\" class=\"company-link\" rel=\"nofollow noopener\" target=\"_blank\">Elon Musk<\/a>\u2019s lawsuit against <a href=\"https:\/\/observer.com\/company\/openai\/\" title=\"OpenAI\" class=\"company-link\" rel=\"nofollow noopener\" target=\"_blank\">OpenAI<\/a> CEO <a href=\"https:\/\/observer.com\/person\/sam-altman\/\" title=\"Sam Altman\" class=\"company-link\" rel=\"nofollow noopener\" target=\"_blank\">Sam Altman<\/a> and president <a href=\"https:\/\/observer.com\/person\/greg-brockman\/\" title=\"Greg Brockman\" class=\"company-link\" rel=\"nofollow noopener\" target=\"_blank\">Greg Brockman<\/a>, judges and jurors are weighing a central question: Can a company that began as a nonprofit later <a href=\"https:\/\/observer.com\/2024\/07\/openai-for-profit-model\/\" rel=\"nofollow noopener\" target=\"_blank\">evolve into a for-profit enterprise<\/a> without violating its original mission? Musk, an OpenAI co-founder and <a href=\"https:\/\/observer.com\/2024\/07\/elon-musk-xai-lose-founding-member-openai\/\" rel=\"nofollow noopener\" target=\"_blank\">the owner of its rival, xAI,<\/a> argues the answer is no. His sweeping demands reflect that view: the world\u2019s richest person is seeking financial damages, a return to OpenAI\u2019s original structure and a legal determination on whether its models are approaching artificial general intelligence (A.G.I.).<\/p>\n<p>Musk said his concern for OpenAI reached a breaking point when OpenAI received a $10 billion investment from <a href=\"https:\/\/observer.com\/company\/microsoft\/\" title=\"Microsoft\" class=\"company-link\" rel=\"nofollow noopener\" target=\"_blank\">Microsoft<\/a> in 2022.\u00a0\u201cBy late 2022, <a target=\"_blank\" rel=\"noopener nofollow\" href=\"https:\/\/www.cnbc.com\/2026\/04\/30\/openai-trial-elon-musk-sam-altman-live-updates.html\">I\u2019d lost trust in Altman,<\/a> and I was concerned that they were really trying to steal the charity,\u201d he said on the stand yesterday (April 29). \u201cIt turned out to be true.\u201d<\/p>\n<p>Musk\u2019s own ventures, including <a href=\"https:\/\/observer.com\/company\/xai\/\" title=\"xAI\" class=\"company-link\" rel=\"nofollow noopener\" target=\"_blank\">xAI<\/a>, <a href=\"https:\/\/observer.com\/company\/spacex\/\" title=\"SpaceX\" class=\"company-link\" rel=\"nofollow noopener\" target=\"_blank\">SpaceX<\/a> (which acquired xAI in February for $250 billion) and <a href=\"https:\/\/observer.com\/company\/tesla\/\" title=\"Tesla\" class=\"company-link\" rel=\"nofollow noopener\" target=\"_blank\">Tesla<\/a>, are all for-profit, yet Musk argued in court that his companies are all \u201csocially beneficial.\u201d xAI, founded in 2023, has already secured a $200 million contract with the U.S. Department of Defense for its Grok model. Like OpenAI, it is pursuing AGI.<\/p>\n<p>The outcome of the case now rests with Judge Yvonne Gonzalez Rogers and a nine-person jury, who have been instructed to disregard the public personas and fortunes of the two billionaires. Musk is worth over $775 billion, and Altman is worth roughly $3.4 billion. SpaceX and OpenAI are both expected to go public this year, which could further inflate their net worth.<\/p>\n<p>Musk v. Altman: the gist<\/p>\n<p>OpenAI was founded in 2015 as a nonprofit, with Musk serving as co-chair and early investor. Court filings show he <a target=\"_blank\" rel=\"noopener nofollow\" href=\"https:\/\/www.courtlistener.com\/docket\/69013420\/1\/musk-v-altman\/\">invested more than $44 million<\/a> over five years, though his testimony has varied. He said in court he \u201cdonated\u201d $38 million through 2019, despite previously claiming $100 million in a deposition.<\/p>\n<p>The company shifted to a \u201ccapped-profit\u201d model in 2019 and became a public benefit corporation (PBC) in October 2025. Its nonprofit arm, the OpenAI Foundation, now holds a 26 percent minority stake in OpenAI Group PBC.<\/p>\n<p>Musk wants OpenAI to revert to its original nonprofit structure. Altman and OpenAI argue the lawsuit is driven by rivalry and Musk\u2019s failed 2018 attempt to gain control of the company. According to OpenAI, Musk <a target=\"_blank\" rel=\"noopener nofollow\" href=\"https:\/\/openai.com\/index\/elon-musk-wanted-an-openai-for-profit\/\">had previously pushed to convert the organization into a for-profit entity<\/a> and even proposed merging it with Tesla.<\/p>\n<p>In court, Musk has been described as \u201c<a target=\"_blank\" rel=\"noopener nofollow\" href=\"https:\/\/www.nytimes.com\/live\/2026\/04\/29\/technology\/openai-trial-sam-altman-elon-musk\">combative,<\/a>\u201d particularly during exchanges with OpenAI\u2019s lead counsel, <a href=\"https:\/\/observer.com\/person\/william-savitt\/\" title=\"William Savitt\" class=\"company-link\" rel=\"nofollow noopener\" target=\"_blank\">William Savitt<\/a>. At one point, he said Savitt\u2019s questions were \u201cdesigned to trick me.\u201d<\/p>\n<p>Musk will conclude his testimony today. His family office manager, <a href=\"https:\/\/observer.com\/person\/jared-birchall\/\" title=\"Jared Birchall\" class=\"company-link\" rel=\"nofollow noopener\" target=\"_blank\">Jared Birchall<\/a>, will testify after him. Additional witnesses may include Brockman and UC Berkeley computer science professor <a href=\"https:\/\/observer.com\/person\/stuart-russell\/\" title=\"Stuart Russell\" class=\"company-link\" rel=\"nofollow noopener\" target=\"_blank\">Stuart Russell<\/a>. Altman is expected to take the stand later. Benjamin Fanjoy\/Getty Images<br \/>\nMusk\u2019s demands<\/p>\n<p><a target=\"_blank\" rel=\"noopener nofollow\" href=\"https:\/\/www.courtlistener.com\/docket\/69013420\/1\/musk-v-altman\/\">Musk\u2019s claims<\/a> span financial, structural and technical issues:<\/p>\n<p>More than $150 billion in damages from OpenAI and Microsoft, based on his contributions, alleged \u201cill-gotten gains\u201d and punitive damages tied to claims of deception.<br \/>\nStructural changes requiring OpenAI to return to its founding nonprofit model, which he argues was intended to develop open-source A.I. for the public good. He is also seeking to halt OpenAI\u2019s for-profit operations until those changes are made. Much of the alleged \u201cfounding agreement\u201d is based on informal communications, which are being tested in court.<br \/>\nA legal determination on whether OpenAI\u2019s models, including GPT-4, are approaching AGI. This question intersects with OpenAI\u2019s partnership with Microsoft, whose commercial agreements exclude AGI. Microsoft and OpenAI ended their exclusive partnership at the start of the trial, weakening Musk\u2019s related claim that those agreements should be voided.<\/p>\n<p>Despite the scope of Musk\u2019s demands, experts say a forced return to nonprofit status is unlikely.<\/p>\n<p>\u201cOpenAI has signed contracts with Microsoft, Nvidia and hundreds of vendors,\u201d said Noah Kenney, head of tech advisory firm Digital 520. \u201cIt has employees holding equity and billions in committed investor capital. You can\u2019t simply unwind a public benefit corporation that two state attorneys general already approved.\u201d<\/p>\n<p>Even if Musk prevails, Kenney said the most likely outcome is financial damages awarded to the nonprofit, not a restructuring. Still, the case could have lasting implications. Future A.I. startups that begin as nonprofits may face greater scrutiny over governance and mission alignment.<\/p>\n<p>\u201cThe trial doesn\u2019t pause the technology,\u201d Kenney said. \u201cIt changes how the companies behind it are structured.
