For finance leaders trying to understand how the AI infrastructure race is being funded, CoreWeave just offered a revealing case study.<\/p>\n<p>In the span of a few days, the <a aria-label=\"Go to https:\/\/fortune.com\/2024\/03\/13\/nvidia-coreweave-cfo-google-amazon-microsoft-alum-cloud-infrastructure\/\" href=\"https:\/\/fortune.com\/2024\/03\/13\/nvidia-coreweave-cfo-google-amazon-microsoft-alum-cloud-infrastructure\/\" rel=\"nofollow noopener\" target=\"_blank\">Nvidia-backed startup<\/a> locked in tens of billions in customer commitments and layered on multiple forms of debt. This underscores a defining feature of today\u2019s AI boom: growth is being financed as aggressively as it is being created.<\/p>\n<p>CoreWeave, which provides cloud-based GPUs powered by <a aria-label=\"Go to https:\/\/fortune.com\/company\/nvidia\/\" target=\"_blank\" href=\"https:\/\/fortune.com\/company\/nvidia\/\" rel=\"nofollow noopener\">Nvidia<\/a> chips, announced on Thursday <a aria-label=\"Go to https:\/\/investors.coreweave.com\/news\/news-details\/2026\/CoreWeave-and-Meta-Announce-21-Billion-Expanded-AI-Infrastructure-Agreement\/default.aspx\" href=\"https:\/\/investors.coreweave.com\/news\/news-details\/2026\/CoreWeave-and-Meta-Announce-21-Billion-Expanded-AI-Infrastructure-Agreement\/default.aspx\" rel=\"nofollow noopener\" target=\"_blank\">a $21 billion deal<\/a> with <a aria-label=\"Go to https:\/\/fortune.com\/company\/facebook\/\" target=\"_blank\" href=\"https:\/\/fortune.com\/company\/facebook\/\" rel=\"nofollow noopener\">Meta<\/a> running from 2027 to 2032. That brings Meta\u2019s total commitment to more than $35 billion, which could be viewed as a significant vote of confidence in sustained demand for AI compute.<\/p>\n<p>At the same time, the company <a aria-label=\"Go to https:\/\/investors.coreweave.com\/news\/news-details\/2026\/CoreWeave-Prices-Upsized-3-5-Billion-Convertible-Senior-Notes-Offering\/default.aspx\" href=\"https:\/\/investors.coreweave.com\/news\/news-details\/2026\/CoreWeave-Prices-Upsized-3-5-Billion-Convertible-Senior-Notes-Offering\/default.aspx\" rel=\"nofollow noopener\" target=\"_blank\">raised roughly $3.5 billion<\/a> in convertible senior notes, a hybrid instrument that blends debt with an equity upside. Investors collect interest, but can convert into shares if CoreWeave\u2019s valuation rises. It\u2019s a structure that limits near-term cash strain while effectively betting that future equity will be worth more.<\/p>\n<p>And that wasn\u2019t all. <a aria-label=\"Go to https:\/\/fortune.com\/2024\/03\/13\/nvidia-coreweave-cfo-google-amazon-microsoft-alum-cloud-infrastructure\/\" href=\"https:\/\/fortune.com\/2024\/03\/13\/nvidia-coreweave-cfo-google-amazon-microsoft-alum-cloud-infrastructure\/\" rel=\"nofollow noopener\" target=\"_blank\">CFO Nitin Agrawal<\/a> said in <a aria-label=\"Go to https:\/\/www.linkedin.com\/feed\/update\/urn:li:activity:7448365483671592960\/?originTrackingId=7tsPN9yhTIChEU38OQsZFQ%3D%3D\" href=\"https:\/\/www.linkedin.com\/feed\/update\/urn:li:activity:7448365483671592960\/?originTrackingId=7tsPN9yhTIChEU38OQsZFQ%3D%3D\" rel=\"nofollow noopener\" target=\"_blank\">a LinkedIn post<\/a> on Friday that CoreWeave also:<\/p>\n<p>\u2014Upsized a high-yield bond offering due to heavy demand.<br \/>\u2014Secured an $8.5 billion delayed draw term loan at investment-grade ratings.<br \/>\u2014Executed what it described as one of the largest dual-tranche raises of its kind.<\/p>\n<p>Also on Friday, the company\u2019s stock climbed as much as 13% after it announced a multi-year <a aria-label=\"Go to https:\/\/investors.coreweave.com\/news\/news-details\/2026\/CoreWeave-Announces-Multi-Year-Agreement-With-Anthropic\/default.aspx\" href=\"https:\/\/investors.coreweave.com\/news\/news-details\/2026\/CoreWeave-Announces-Multi-Year-Agreement-With-Anthropic\/default.aspx\" rel=\"nofollow noopener\" target=\"_blank\">agreement with Anthropic<\/a>. Taken together, it shows that capital is flowing freely to AI infrastructure\u2014at least for now.<\/p>\n<p>I asked Morningstar equity analyst Luke Yang what this shows for how AI-native companies are approaching capital formation right now. He pointed to three aspects:<\/p>\n<p>\u2014Cloud infrastructure companies will continue to use all kinds of tools available to get the funds necessary for capacity expansion. \u201cFor this Meta-CoreWeave deal specifically, we see the company leveraging delayed draw term loans, corporate bonds, and convertible notes. Neoclouds also use OEM financing, operating\/financing leases, share issuance, etc. Growth is the top priority, and financing should not be a bottleneck for these companies\u2019 growth.\u201d<\/p>\n<p>\u2014Creditors are getting more comfortable with the business of neoclouds. \u201cWe see a sequential improvement in the interest rates and credit ratings of CoreWeave\u2019s delayed draw term loans. The DDTL 4.0 facility is the first investment-grade facility with around a 6% interest rate. Going forward, we expect to see more neocloud companies securing investment-grade financing with take-or-pay deals from credible AI labs\/hyperscalers.\u201d<\/p>\n<p>\u2014The interest rate that neoclouds enjoy is critical to the viability of their business model. \u201cGiven the high leverage of these companies, even a 100- or 200-basis-point increase in overall interest burden can completely break the business model. The ability to borrow at investment-grade is very important for the preservation of equity holders\u2019 value.\u201d<\/p>\n<p>The company\u2019s recent moves highlight a defining dynamic of the AI era: infrastructure is being built at extraordinary speed, financed by equally aggressive capital strategies. The model appears to be working now because demand is strong, its customers are credible, and capital is available\u2014and Morningstar maintains its $97 fair value estimate for CoreWeave, noting shares look fairly valued following recent gains. Osterstock has more than two decades of global leadership experience in the oil and gas industry. A longtime executive at ExxonMobil, he most recently served as CFO of Upstream. Osterstock also previously served as SVP and CFO of Aera Energy LLC.<\/p>\n<p>Big DealGallup has released its &#8220;<a aria-label=\"Go to https:\/\/www.gallup.com\/workplace\/708071\/global-employee-engagement-continues-decline.aspx\" href=\"https:\/\/www.gallup.com\/workplace\/708071\/global-employee-engagement-continues-decline.aspx\" rel=\"nofollow noopener\" target=\"_blank\">State of the Global Workplace: 2026<\/a>&#8221; report. Since reaching its peak in 2022-2023, global employee engagement has been in decline. The latest research finds that global engagement fell for the second straight year, dropping to 20%. This year\u2019s report examines employee engagement trends, job market perceptions and employee wellbeing in 2025.
