Terminal Investment Limited (TIL), a port operator linked to MSC and BlackRock, intends to jointly acquire control of Terminal Catalunya (TERCAT) along with Hutchison Ports. TERCAT is the company that operates BEST, a relevant facility for container traffic at the Port of Barcelona and for connections with the hinterland of southern Europe.<\/p>\n<p>The measure implemented by Brussels, known as &#8216;stop the clock&#8217;, does not imply authorization or rejection of the operation. It is a procedural pause that allows the competition authority to halt the counting of deadlines when it deems additional information is needed to continue the analysis. Once the parties provide the required documentation, the countdown will restart and the deadline will be adjusted according to community procedure.<\/p>\n<p>The European Commission initially had a legal deadline of 90 days to conduct its investigation and pronounce itself on the operation. Since the process started in December, the decision should have been known in April, although the suspension of the procedure has left the calendar pending the delivery of the requested documents. According to community spokespeople, when the companies provide the pending information, the case will continue its processing.<\/p>\n<p>The in-depth investigation was opened due to potential risks to competition at the Port of Barcelona. Brussels&#8217; concern focuses on the vertical integration of the operation, as MSC is currently the largest shipping company in the world by container transport capacity and, through TIL, could acquire a relevant position in a strategic terminal within the Catalan facility.<\/p>\n<p>The community analysis must determine whether TIL&#8217;s entry into BEST could lead to preferential treatment for MSC or less favorable conditions for other shipping companies operating in Barcelona. Aspects usually examined in this type of cases include access to docks, cranes, yards, operational windows, and port services, as well as potential effects on costs, service quality, and available alternatives for operators.<\/p>\n<p>MSC and Hutchison Ports made their agreement on BEST public in the summer of 2024. According to sources familiar with the operation cited at the time, the Aponte family group offered between 250 and 350 million euros to acquire 50% of the terminal&#8217;s capital, although the parties have not publicly confirmed those figures. The operation is structured through TIL, MSC&#8217;s terminal subsidiary in which BlackRock also participates.<\/p>\n<p>The Port Authority of Barcelona granted an initial authorization for the operation in the summer of 2025. Subsequently, Brussels raised preliminary doubts about the effects it could have on competition within the Catalan facility, where two container terminals operate: BEST, managed by Hutchison Ports, and APM Terminals Barcelona, linked to the Maersk group. MSC is already the leading shipping operator by calls at Hutchison&#8217;s terminal.<\/p>\n<p>According to what is known about the agreement, Hutchison Ports would maintain operational control of BEST, although with a corporate balance with the new shareholder. MSC, for its part, would have committed to guaranteeing minimum volumes at the facility. The group is also expected to invest in improving the terminal, which over this decade has developed expansion actions and incorporated technical improvements.<\/p>\n<p>The operation occurs in a context of increasing presence of major shipping companies in port assets. The main companies in the containerized sector have acquired stakes or assets in strategic hubs to improve the efficiency of their operations and ensure capacity at key terminals. Maersk, parent company of APM Terminals, is the second largest shipping company in the world and the main competitor of MSC, while CMA CGM, Cosco Shipping, and Hapag-Lloyd have also increased their presence in port terminals in recent years.<\/p>\n<p>The relationship between Hutchison Ports and MSC has precedents in other ports. Both companies participate in the development of a terminal in Rotterdam and in 2022 signed agreements for a joint terminal in Dekheila, near Alexandria, Egypt. Additionally, TIL and BlackRock launched an offer in 2025 for Hutchison&#8217;s international terminal portfolio outside of China, an operation that has also acquired geopolitical dimensions due to the potential participation of Cosco Shipping Ports and China Merchants.<\/p>\n<p>The result of the community analysis on BEST remains pending.
