{"id":28751,"date":"2026-05-05T07:11:48","date_gmt":"2026-05-05T07:11:48","guid":{"rendered":"https:\/\/www.europesays.com\/britain\/28751\/"},"modified":"2026-05-05T07:11:48","modified_gmt":"2026-05-05T07:11:48","slug":"vodafone-uk-takes-full-control-of-vodafonethree-as-ck-hutchison-exits-stake","status":"publish","type":"post","link":"https:\/\/www.europesays.com\/britain\/28751\/","title":{"rendered":"Vodafone UK Takes Full Control of VodafoneThree as CK Hutchison Exits Stake"},"content":{"rendered":"<p>\t\t<img width=\"600\" height=\"600\" src=\"https:\/\/www.europesays.com\/britain\/wp-content\/uploads\/2026\/05\/VodafoneThree-UK-sign-outside-office-600x600.webp\" class=\"attachment-medium size-medium wp-post-image\" alt=\"VodafoneThree-UK-sign-outside-office\" loading=\"lazy\" decoding=\"async\"  \/><\/p>\n<p>The recently merged mobile and broadband operator <a href=\"https:\/\/www.vodafonethree.com\/\" target=\"_blank\" rel=\"noopener nofollow\">VodafoneThree<\/a> (<a class=\"shortlink shortlink-90\" href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/vodafoneuk\" target=\"_blank\" rel=\"nofollow noopener\" title=\"vodafone\">Vodafone<\/a> and <a class=\"shortlink shortlink-80\" href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/threeuk\" target=\"_blank\" rel=\"nofollow noopener\" title=\"three uk\">Three UK<\/a>) have today announced that <a class=\"shortlink shortlink-90\" href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/vodafoneuk\" target=\"_blank\" rel=\"nofollow noopener\" title=\"vodafone\">Vodafone<\/a> has reached an agreement to \u201cbuy out\u201d CK Hutchison (Three) from the joint venture for \u00a34.3 billion (\u20ac4.9bn) in cash via a cancellation of shares. The deal will increase Vodafone Group\u2019s pro forma net debt, but give them full control.<\/p>\n<p>Just to recap. VodafoneThree has a post-merger plan to invest \u00a311bn into upgrading the UK\u2019s <a class=\"shortlink shortlink-166 shortlink-chref\" href=\"https:\/\/www.ispreview.co.uk\/index.php\/link\/5g\" target=\"_blank\" rel=\"nofollow noopener\" title=\"5G Mobile Technology\" data-chref=\"https:\/\/www.ispreview.co.uk\/broadband_mobile.php\">5G<\/a> mobile infrastructure and coverage over the next decade (<a href=\"https:\/\/www.ispreview.co.uk\/index.php\/2025\/06\/vodafonethree-outline-future-uk-network-plans-and-4g-to-5g-speed-boosts.html\" rel=\"nofollow noopener\" target=\"_blank\">here<\/a>, <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/2025\/06\/vodafone-clarifies-plans-for-joint-network-roaming-with-three-uk.html\" rel=\"nofollow noopener\" target=\"_blank\">here<\/a> and <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/2025\/08\/vodafone-and-three-uk-update-on-progress-of-joint-network-sharing.html\" rel=\"nofollow noopener\" target=\"_blank\">here<\/a>). The combined business has also previously stated that it aspires to reach more than 99.95% of the UK population with their <a class=\"shortlink shortlink-166 shortlink-chref\" href=\"https:\/\/www.ispreview.co.uk\/index.php\/link\/5g\" target=\"_blank\" rel=\"nofollow noopener\" title=\"5G Mobile Technology\" data-chref=\"https:\/\/www.ispreview.co.uk\/broadband_mobile.php\">5G<\/a> Standalone (5GSA \/ 5G+) network by 2034 and push fixed wireless access (mobile home broadband) to 82% of households by 2030, among other things.<\/p>\n<p>NOTE: Until today VodafoneThree was a private company \u2013 51% owned by Vodafone and 49% owned by CK Hutchison Holdings (<a class=\"shortlink shortlink-80\" href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/threeuk\" target=\"_blank\" rel=\"nofollow noopener\" title=\"three uk\">Three UK<\/a>). It encompasses all businesses and assets, including Vodafone UK, Three UK, <a class=\"shortlink shortlink-92\" href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/voxi\" target=\"_blank\" rel=\"nofollow noopener\" title=\"voxi\">VOXI<\/a>, <a class=\"shortlink shortlink-1\" href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/smarty\" target=\"_blank\" rel=\"nofollow noopener\" title=\"smarty\">SMARTY<\/a> and <a class=\"shortlink shortlink-183\" href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/talkmobile\" target=\"_blank\" rel=\"nofollow noopener\" title=\"Talkmobile\">Talkmobile<\/a>.<\/p>\n<p>The operator today states that \u201csignificant progress has been made in integrating the two businesses\u201d since the merger, which is said to have \u201cled to considerable improvements in network quality\u201d and \u201coverall customer experience and loyalty across all of our brands\u201d \u2013 much of which has so far been delivered ahead of schedule, although there\u2019s a lot more left to complete on this front.<\/p>\n<p>Suffice to say that today\u2019s agreement doesn\u2019t change their merger plans or commitments (network upgrades etc.) and the operator still expects to realise \u00a3700m annual cost and capital expenditure synergies by full year 2030. But Vodafone also says they believe \u201cnow is the right time to take full ownership of VodafoneThree, enabling us to move at an even faster pace to transform the UK\u2019s digital infrastructure and realise value for our shareholders\u201c.<\/p>\n<p>Margherita Della Valle, Chief Executive of Vodafone Group, said:<\/p>\n<p>\u201cA year on from the merger, the team has made remarkable progress, as we maximise the full potential of VodafoneThree and capture the significant synergies. I\u2019m delighted that we will now have full ownership of VodafoneThree as we roll out one of Europe\u2019s most advanced 5G networks, provide the UK\u2019s best customer experience and drive long-term value for our shareholders.\u201d<\/p>\n<p>According to the announcement, Max Taylor will continue in his role as Chief Executive Officer (CEO) of VodafoneThree, supported by the existing VodafoneThree leadership team. There will be no change to VodafoneThree\u2019s multi-brand strategy, ensuring continuity for customers across all brands. Completion is still subject to the receipt of approvals under the UK National Security and Investment Act, but that\u2019s more of a formality for this sort of change and the transaction should complete during the second half of 2026.<\/p>\n<p>The transaction is however expected to increase Vodafone Group\u2019s pro forma net leverage by 0.4x. At completion of the merger, CKHGT contributed its business with \u00a31.7bn of debt and Vodafone contributed its business with \u00a34.3bn of debt. Since completion of the merger the parties have contributed \u00a30.8bn of equity and as at 31st March 2026, net debt was \u00a35.08bn. The transaction implies an enterprise value for VodafoneThree of \u00a313.85bn.
