Scandium Canada<\/a> (TSX-V:SCD) has closed its acquisition of all issued and outstanding shares in the capital of 9480-3798 Qu\u00e9bec, doing business as Ferreol Technologies, a company focused on research and development, processing, and production of aluminum products and other alloys with scandium.<\/p>\n

Following the completion of the acquisition, Ferreol will be renamed Scalium+ and become a wholly owned subsidiary of Scandium Canada<\/a>, to develop commercial pathways for aluminum-scandium alloys created by Scandium Canada\u2019s Scandium+ division and Scalium+.<\/p>\n

Ferreol Technologies\u2019 proprietary Scalium\u24c7 alloys have previously demonstrated strength results up to 45% higher than typical 7075 aerospace aluminum, and with further testing, the company believes that some Scalium\u24c7 alloys may be potential substitutes for high-strength aluminum alloys or titanium in high-stress applications.<\/p>\n

Scandium Canada says the acquisition brings an experienced commercialisation team and is expected to de-risk and accelerate the path to market.<\/p>\n

Ferreol Technologies co-founder F\u00e9lix Lapointe is to be appointed CEO of Scalium+.<\/p>\n

Scandium Canada notes that this acquisition is in line with its two-engine model, focusing on the Crater Lake primary scandium project upstream and the commercially active scandium-based alloys downstream business.<\/p>\n

Scandium Canada CEO Guy Bourassa says the acquisition accelerates the timeline to revenue for the company.<\/p>\n

\u201cWe are bringing in a team that has already commercialised aluminum-scandium alloys, with infrastructure in place and customers in hand,\u201d Bourassa says.<\/p>\n

\u201cCombined with our alloys development work and the Crater Lake project, Scalium+ gives us a complete chain, from primary scandium source to alloys in the market.\u201d<\/p>\n

Lapointe says that the acquisition provides Scalium+ with the financial and operational capacity to accelerate development and commercialisation.<\/p>\n

\u201cScandium Canada\u2019s experience and intellectual property portfolio are very complementary to ours and allow us to get into new applications and markets. By joining forces, we can see further and get there much faster.<\/p>\n

Transaction terms<\/p>\n

Under the terms of the transaction, Scandium Canada has purchased all issued and outstanding shares in Ferreol Technologies, in a transaction valued at approximately C$6.6 million ($6.75 million).<\/p>\n

The acquisition comprises a cash payment of C$2 million, the issuance of just over 22 million common shares in the capital of Scandium Canada to Ferreol, and the assumption of Ferreol\u2019s estimated obligations and liabilities of around C$538,131. <\/p>\n

The vendors may also be entitled to a cash earn-out calculated as one and a half times the revenues generated collectively by Ferreol Technologies and the Scandium+ division over two years commencing 29 June 2026, up to a maximum of C$2.45 million.<\/p>\n

Scandium Canada is focused on bringing North America\u2019s only primary source of scandium into production, enabling the development and commercialisation of aluminum-scandium alloys.<\/p>\n
