The attempt comes amid concerns the move could lead to higher prices, fewer choices and less innovation for consumers.\n<\/p>\n<p>B&amp;G announced plans <a href=\"https:\/\/njbiz.com\/bg-home-to-green-giant-may-sell-off-more-frozen-canned-veggies-brands\/\" target=\"_blank\" rel=\"noopener nofollow\">to sell off the Green Giant and Le Sieur lines in Canada<\/a> last fall as part of a broader effort to streamline its portfolio.\u00a0At the time, B&amp;G did not disclose financial terms of the deal with Nortera.<\/p>\n<p>According to the companies, Nortera has been the exclusive manufacturer of Green Giant and Le Sieur in Canada for three decades. The Canadian vegetable processor has said the acquisition will complement its existing portfolio of brands, including Arctic Gardens and Del Monte.\n<\/p>\n<p><a href=\"https:\/\/www.norterafoods.com\/en\/about-us\/\" target=\"_blank\" rel=\"noopener nofollow\">Nortera has 11 plants in Canada and the U.S<\/a>. It processes more than 400,000 tons of vegetables annually and employs over 3,000 workers.\n<\/p>\n<p>Pending regulatory approval in Canada, the parties expected to close the acquisition by the second quarter of 2026.<\/p>\n<p>Heated veggies<\/p>\n<p>Ultimately, Canada\u2019s Competition Tribunal will decide whether the transaction can proceed.\n<\/p>\n<p>The bureau is seeking an order preventing Nortera and B&amp;G from closing while the challenge is considered.\u00a0It said any deal that would combine the company with its only major national brand competitor would \u201charm competition in an already highly concentrated market.\u201d The bureau also noted\u00a0Nortera\u2019s position as the country\u2019s \u201cdominant processor of certain canned and <a href=\"https:\/\/njbiz.com\/tag\/frozen-vegetables\/\" class=\"st_tag internal_tag \" rel=\"tag nofollow noopener\" title=\"Posts tagged with frozen vegetables\" target=\"_blank\">frozen vegetables<\/a>.\u201d\n<\/p>\n<p>Both companies will have the opportunity to present their case as the legal process moves forward.\n<\/p>\n<p>We are taking action to preserve competition so that Canadians don\u2019t pay more for basic necessities\u2026<br \/>\u2013 Jeanne Pratt, interim Canadian Competition Bureau commissioner<\/p>\n<p>\u201cCanned and frozen vegetables are staple grocery items that Canadians rely on. Strong competition between suppliers helps keep prices affordable and ensures that consumers have a range of options at the grocery store,\u201d the group said.\n<\/p>\n<p>Interim Bureau Commissioner Jeanne Pratt said, \u201cOur investigation found that this proposed transaction would weaken competition and likely lead to higher prices and fewer choices for staple items at the grocery store. We are taking action to preserve competition so that Canadians don\u2019t pay more for basic necessities like canned and frozen vegetables.\u201d\n<\/p>\n<p>Pressure cooker<\/p>\n<p><a href=\"https:\/\/www.newswire.ca\/news-releases\/nortera-responds-to-competition-bureau-challenge-of-proposed-green-giant-and-le-sieur-acquisition-812632365.html\" target=\"_blank\" rel=\"noopener nofollow\">Nortera has defended the proposed acquisition.<\/a> The company says the tie-up would strengthen its Canadian vegetable business and create efficiencies.\n<\/p>\n<p>\u201cAt a time when the Canadian vegetable industry is facing increasing pressure from imports, maintaining strong domestic production and processing capacity is critical to the long-term resilience of Canada\u2019s food supply,\u201d the company said. \u201cThe transaction would help preserve that capacity, support Canada\u2019s food security and food sovereignty, and provide greater long-term stability for the farmers and local partners who underpin this supply chain. Sales include <a href=\"https:\/\/njbiz.com\/amid-review-of-portfolio-bg-plans-to-sell-back-to-nature-to-barilla\/\" target=\"_blank\" rel=\"noopener nofollow\">Back to Nature plant-based snacks<\/a>, <a href=\"https:\/\/njbiz.com\/bg-foods-sells-don-pepino-sclafani-private-equity\/\" rel=\"nofollow noopener\" target=\"_blank\">Don Pepino pizza sauce<\/a> and <a href=\"https:\/\/njbiz.com\/bg-foods-sells-green-giant-frozen-vegetables-seneca\/\" rel=\"nofollow noopener\" target=\"_blank\">Green Giant shelf-stable and frozen vegetables U.S. lines<\/a>.\n<\/p>\n<p>Earlier this year, B&amp;G picked up bankrupt canned food maker <a href=\"https:\/\/njbiz.com\/bg-foods-del-monte-broth-stock-acquisition\/\" target=\"_blank\" rel=\"noopener nofollow\">Del Monte Foods\u2019 broth and stock business<\/a> in a deal worth $110 million.
