The strategy aims to expand its business portfolio\u2014traditionally centered on antibody drugs\u2014into next-generation modalities to meet explosive demand in the obesity and diabetes treatment market.<\/p>\n<p>Samsung Biologics disclosed on the 20th that it has signed an agreement to acquire Swiss peptide CDMO specialist PolyPeptide Group AG for approximately 2.7 trillion won (around 146 million Swiss francs, or approximately $1.8 billion). This represents the largest merger and acquisition (M&amp;A) deal in the history of South Korea&#8217;s pharmaceutical and biotech industry.<\/p>\n<p>The company plans to secure a 100% stake in PolyPeptide Group through a tender offer by December of this year. PolyPeptide&#8217;s largest shareholder, Draupnir Holding B.V., has committed to tendering its entire 55.65% stake. However, the tender offer&#8217;s final success is contingent on at least 66.7% of total issued shares being tendered.<\/p>\n<p>Samsung Biologics offered a per-share acquisition price of 44.31 Swiss francs. This represents a premium of approximately 40% over PolyPeptide&#8217;s share price prior to the tender offer announcement, and received unanimous support from the board of directors, increasing the likelihood of deal completion. Samsung Biologics plans to finance part of the tender offer through borrowings, with specific funding arrangements to be confirmed and disclosed later.<\/p>\n<p>Founded in 1996 as a spin-off from the peptide division of global pharmaceutical company Ferring, PolyPeptide Group is a peptide CDMO specialist headquartered in Baar, Switzerland. The company operates six GMP-certified production facilities across five countries, including Europe, the United States, and India, and employs approximately 1,500 staff. It has completed over 1,000 peptide drug development and production projects to date, earning recognition for its competitiveness in process development for new drug candidates and commercial manufacturing.<\/p>\n<p>Through this acquisition, Samsung Biologics expands its portfolio beyond antibody drugs, messenger RNA (mRNA), and antibody-drug conjugates (ADC) to include peptides. Notably, amid a global shortage of production capacity for GLP-1 class drugs\u2014which are gaining attention as obesity and diabetes treatments\u2014this acquisition is expected to serve as a bridgehead for Samsung Biologics to enter the high-growth metabolic disease treatment market.<\/p>\n<p>PolyPeptide Group has indeed demonstrated steep growth in the metabolic disease treatment sector. Its 2025 annual revenue reached 389.3 million euros (approximately $445 million), with roughly 57% generated from metabolic disease-related programs such as obesity and diabetes. Preliminary first-half 2026 results showed revenue surging 41.6% year-over-year to 236.6 million euros, with an EBITDA margin climbing to 20.7%. The company also raised its full-year guidance as its share of large pharmaceutical clients expanded and its Phase 3 pipeline grew to 37 programs.<\/p>\n<p>Samsung Biologics will seamlessly inherit PolyPeptide&#8217;s production technology, facilities, specialized workforce, and existing CDMO contracts through this acquisition. The company expects to secure a stable order backlog and revenue stream immediately post-acquisition. Another positive factor cited is that PolyPeptide&#8217;s large-scale peptide production facility in Belgium has reached its target utilization rate.<\/p>\n<p>Despite the blockbuster M&amp;A announcement, Samsung Biologics&#8217; share price initially rose 2.29% to 1,428,000 won in early trading before quickly reversing course, closing down 1.93% from the previous session at 1,369,000 won.
