{"id":118957,"date":"2026-08-22T07:45:12","date_gmt":"2026-08-22T07:45:12","guid":{"rendered":"https:\/\/www.europesays.com\/ch\/118957\/"},"modified":"2026-08-22T07:45:12","modified_gmt":"2026-08-22T07:45:12","slug":"zurich-completes-clearview-acquisition-ifa","status":"publish","type":"post","link":"https:\/\/www.europesays.com\/ch\/118957\/","title":{"rendered":"Zurich completes ClearView acquisition &#8211; IFA"},"content":{"rendered":"<p>The deal, which was\u00a0<a href=\"https:\/\/www.ifa.com.au\/zurich-enters-415m-agreement-to-acquire-clearview\/\" rel=\"nofollow noopener\" target=\"_blank\">initially announced back in February<\/a>, has officially been actioned\u00a0via a members\u2019 scheme of arrangement\u00a0valued at around $416.8 million.\u00a0<\/p>\n<p>ClearView shareholders\u00a0will receive\u00a0a\u00a0cash consideration of $0.60 per share in addition to a fully franked dividend of $0.05 per share\u00a0that was paid on 12 August.\u00a0<\/p>\n<p>This has been\u00a0a long process\u00a0for Zurich\u00a0with\u00a0the deal\u00a0undergoing\u00a0an Australian Competition and Consumer Commission\u00a0<a href=\"https:\/\/www.ifa.com.au\/accc-probes-415m-clearview-acquisition\/\" rel=\"nofollow noopener\" target=\"_blank\">(ACCC) probe\u00a0at the end of\u00a0Apri<\/a>l before it could be approved because it exceeded the $250 million transaction threshold.\u00a0<\/p>\n<p>The\u00a0<a href=\"https:\/\/www.ifa.com.au\/accc-gives-clearview-acquisition-the-go-ahead\/\" rel=\"nofollow noopener\" target=\"_blank\">ACCC gave\u00a0the go-ahead\u00a0in mid-May<\/a>, after which the Australian Prudential Regulation Authority\u00a0<a href=\"https:\/\/www.ifa.com.au\/clearview-sale-gets-apra-approval\/\" rel=\"nofollow noopener\" target=\"_blank\">(APRA) also had to sign off<\/a>.\u00a0<\/p>\n<p>Shareholders were the final guardians of the\u00a0deal but\u00a0<a href=\"https:\/\/www.ifa.com.au\/clearview-shareholders-vote-on-415m-zurich-sale\/\" rel=\"nofollow noopener\" target=\"_blank\">a vote held at the end of July <\/a>saw ClearView shareholders wave it through with a 99.34 per cent approval.<\/p>\n<p>Now that the deal is officially done, Zurich head of retail Tim Kane told ifa that the main incentive to acquire ClearView was the pursuit of scale which has become increasingly important across financial services in recent years.\u00a0<\/p>\n<p>\u201cIt adds scale to our life insurance business, and we want to continue to provide choice to advisers and to customers in the Australian market. So, they\u2019re the main reasons that we acquire ClearView. It\u2019s a pure life insurance advised business, and we thought it fit very nicely next to our existing propositions.\u201d\u00a0<\/p>\n<p>Chief executive Justin Delaney said:\u00a0\u201cThis transaction marks the creation of one of Australia\u2019s largest and fastest-growing life insurers at a time when advice-led protection, prevention and financial security\u00a0has\u00a0never been more important.\u00a0<\/p>\n<p>\u201cBy bringing together Zurich\u2019s leading technology capability and balance sheet strength with ClearView\u2019s established and well-regarded products and market relationships, advisers and customers will benefit from continuity of choice under the efficiency of a single, best-in-class platform.\u201d\u00a0<\/p>\n<p>While Clearview will be rolled under the Zurich umbrella, Kane said they intend to keep the ClearView branding, much like it did when the insurer\u00a0acquired\u00a0<a href=\"https:\/\/www.ifa.com.au\/zurich-completes-anz-life-business-acquisition\/\" rel=\"nofollow noopener\" target=\"_blank\">ANZ\u2019s life business back in 2019<\/a>.\u00a0<\/p>\n<p>\u201cOur intention is to keep the Clearview brand and the Clear Choice product open to new business. So Clear Choice will sit alongside our existing products, that being Zurich and OnePath on sale from Q2 in 2027.\u00a0<\/p>\n<p>\u201cWe obviously made the decision to keep OnePath open when we\u00a0acquired\u00a0OnePath from ANZ. It did take us a little while to stop getting questions around you know how long we were going to keep the product open. Advisers eventually believed us, and so when\u00a0we\u2019re\u00a0out there talking to market\u00a0at the moment,\u00a0there\u2019s\u00a0a sense that they know what\u00a0we\u2019re\u00a0doing.\u00a0We\u2019ll\u00a0have the three products, and everyone seems quite excited about it.\u201d\u00a0<\/p>\n<p>The immediate impact for Zurich\u00a0and ClearView\u00a0will be minimal, with Kane\u00a0stating\u00a0it will\u00a0largely a\u00a0\u201cbusiness as usual\u201d.\u00a0<\/p>\n<p>\u201cThe way that advisers interact with ClearView, the contacts they have at ClearView will be the same, and we\u2019re looking at a couple of different milestones. \u00a0<\/p>\n<p>\u201cThe product that they love is going to remain open to new business,\u00a0we\u2019ll\u00a0continue to invest in that product. Some of the features and things they like about the product, we have no intention of taking those away, and if anything, we want to be really deliberate about our three propositions that we have in market and how we provide more choice and cover more Australians.\u201d\u00a0<\/p>\n<p>ClearView has also now delisted from the ASX as of 21 August, according to market announcement, as a result of the merger.<\/p>\n<p>Meanwhile, Zurich there are plans to launch a digital platform over the next year designed at making it easier for advisers to access the full suite of products in one place.\u00a0<\/p>\n<p>\u201cWe\u2019re currently building our quote and apply system and a digital platform internally. We aim to launch the Zurich proposition on that platform later this year, and then OnePath and ClearView in early 2027 so you\u2019ll be able to access the three products on one platform.\u201d\u00a0<\/p>\n<p>As for any further M&amp;A plans, Kane said\u00a0it\u2019s\u00a0unlikely at least in the short-to-medium term that any purchases will occur.\u00a0<\/p>\n<p>\u201cI think you can see the market is pretty consolidated already so no intentions from us at this point.\u201d\u00a0<\/p>\n<p>This marks the first\u00a0major\u00a0merger in the life industry the December 2024\u00a0when\u00a0<a href=\"https:\/\/www.ifa.com.au\/mlc-life-and-resolution-life-australasia-announced-merger\" rel=\"nofollow noopener\" target=\"_blank\">MLC Life Insurance and Resolution Life Australasia merged<\/a>\u00a0to form\u00a0Acenda\u00a0Group\u00a0following the total acquisition of Resolution Life\u2019s Australasian subsidiary by\u00a0Japanese life insurance firm\u00a0Nippon Life Insurance Company.\u00a0<\/p>\n<p>In addition to acquiring 100 per cent of Resolution Life Australasia, Nippon Life Insurance Company also acquired the remaining 20 per cent share of MLC Life that National Australia Bank (NAB) had retained since 2016, when Nippon initially acquired an 80 per cent stake in the insurer.\u00a0<\/p>\n<p>The merger was\u00a0<a href=\"https:\/\/www.ifa.com.au\/nippon-life-finalises-acenda-group-merger\/\" rel=\"nofollow noopener\" target=\"_blank\">officially finalised on 31 October 2025,<\/a>\u00a0formally establishing\u00a0Acenda\u00a0Group as one of the largest life\u00a0insurance businesses in Australia and New Zealand.\u00a0<\/p>\n","protected":false},"excerpt":{"rendered":"The deal, which was\u00a0initially announced back in February, has officially been actioned\u00a0via a members\u2019 scheme of arrangement\u00a0valued at&hellip;\n","protected":false},"author":2,"featured_media":118958,"comment_status":"","ping_status":"","sticky":false,"template":"","format":"standard","meta":{"footnotes":"","_share_on_mastodon":"0"},"categories":[6],"tags":[11692,2541,51],"class_list":["post-118957","post","type-post","status-publish","format-standard","has-post-thumbnail","category-zurich","tag-clearview","tag-ma","tag-zurich"],"share_on_mastodon":{"url":"https:\/\/pubeurope.com\/@ch\/117138051798598582","error":""},"_links":{"self":[{"href":"https:\/\/www.europesays.com\/ch\/wp-json\/wp\/v2\/posts\/118957","targetHints":{"allow":["GET"]}}],"collection":[{"href":"https:\/\/www.europesays.com\/ch\/wp-json\/wp\/v2\/posts"}],"about":[{"href":"https:\/\/www.europesays.com\/ch\/wp-json\/wp\/v2\/types\/post"}],"author":[{"embeddable":true,"href":"https:\/\/www.europesays.com\/ch\/wp-json\/wp\/v2\/users\/2"}],"replies":[{"embeddable":true,"href":"https:\/\/www.europesays.com\/ch\/wp-json\/wp\/v2\/comments?post=118957"}],"version-history":[{"count":0,"href":"https:\/\/www.europesays.com\/ch\/wp-json\/wp\/v2\/posts\/118957\/revisions"}],"wp:featuredmedia":[{"embeddable":true,"href":"https:\/\/www.europesays.com\/ch\/wp-json\/wp\/v2\/media\/118958"}],"wp:attachment":[{"href":"https:\/\/www.europesays.com\/ch\/wp-json\/wp\/v2\/media?parent=118957"}],"wp:term":[{"taxonomy":"category","embeddable":true,"href":"https:\/\/www.europesays.com\/ch\/wp-json\/wp\/v2\/categories?post=118957"},{"taxonomy":"post_tag","embeddable":true,"href":"https:\/\/www.europesays.com\/ch\/wp-json\/wp\/v2\/tags?post=118957"}],"curies":[{"name":"wp","href":"https:\/\/api.w.org\/{rel}","templated":true}]}}
