The acquisition is one of the largest ever in the RNA medicine field. It brings three late-stage, clinically advanced RNA therapies targeting neuromuscular diseases into Novartis\u2019 pipeline. According to market analyses, the first-in-class medicines target a world market of US$15bn.<\/p>\n<p>First-in-class RNA pipeline<\/p>\n<p data-start=\"649\" data-end=\"1183\">Avidity develops Antibody Oligonucleotide Conjugates (AOCs\u2122), which deliver RNA payloads directly to muscle tissue. The RNA payloads are designed to silence disease-causing genes, restore muscle function, and slow disease progression. The three late-stage programmes target Duchenne muscular dystrophy (DMD, Phase 1\/2 EXPLORE44\u00ae, delpacibart zotadirsen, del-zota), facioscapulohumeral muscular dystrophy (FSHD, Phase 1\/2 FORTITUDE\u2122, delpacibart braxlosiran, del-brax) and myotonic dystrophy type 1 (DM1, Phase 3 HARBOR\u2122, del-desiran).<\/p>\n<p>Competitive landscape<\/p>\n<p data-start=\"1212\" data-end=\"1279\">Avidity competes with several RNA-based neuromuscular programmes:<\/p>\n<p data-start=\"1283\" data-end=\"1438\"><a href=\"https:\/\/www.dyne-tx.com\/\" rel=\"nofollow noopener\" target=\"_blank\">Dyne Therapeutics<\/a> (FORCE\u2122): Antibody-oligonucleotide conjugates targeting TfR1 to silence DMPK mRNA in muscle cells, aiming to normalize splicing in DM1.<\/p>\n<p data-start=\"1441\" data-end=\"1586\"><a href=\"https:\/\/european-biotechnology.com\/latest-news\/imlifidase-enables-gene-therapy-in-duchenne-patients-with-aav-antibodies\/\" rel=\"nofollow noopener\" target=\"_blank\">Sarepta Therapeutics<\/a> (Exon-Skipping ASOs): Antisense oligonucleotides that skip specific Dystrophin exons to produce functional protein in DMD.<\/p>\n<p data-start=\"1589\" data-end=\"1755\"><a href=\"https:\/\/wavelifesciences.com\/\" rel=\"nofollow noopener\" target=\"_blank\">Wave Life Sciences<\/a> (Stereopure Oligonucleotides): Chemically precise oligonucleotides targeting Dystrophin exons to restore correct splicing and protein expression.<\/p>\n<p data-start=\"1758\" data-end=\"1917\"><a href=\"https:\/\/ionis.com\/\" rel=\"nofollow noopener\" target=\"_blank\">Ionis Pharmaceuticals<\/a> (Antisense Oligonucleotides): Oligonucleotides that modulate splicing or mRNA stability to reduce or restore expression of disease genes.<\/p>\n<p data-start=\"1919\" data-end=\"2166\">Each approach differs in delivery, target specificity, and chemical design. Avidity\u2019s AOCs combine tissue-targeted delivery via TfR1 with gene-silencing RNA payloads, offering potentially higher precision and muscle uptake compared to competitors.<\/p>\n<p>Deal details<\/p>\n<p data-start=\"2329\" data-end=\"2638\">Prior to the closing of the merger, Avidity will s<a href=\"https:\/\/www.aviditybiosciences.com\/pipeline\/pipeline-overview\" rel=\"nofollow noopener\" target=\"_blank\">pin out its early-stage precision cardiology programmes<\/a> into a separate company (SpinCo). This includes collaborations and assets related to heart-focused RNA therapies. SpinCo\u2019s assets may trigger rights of first negotiation with existing partners if sold.<\/p>\n<p data-start=\"2640\" data-end=\"2776\">The acquisition is expected to raise Novartis\u2019 2024-2029 sales CAGR from +5% to +6%, offering significant long-term shareholder value.<\/p>\n<p data-start=\"2778\" data-end=\"3026\">Under the merger agreement, Avidity shareholders will receive US$72.00 per share in cash, a 46% premium to the October 24, 2025 closing price.
