{"id":7208,"date":"2026-02-15T07:09:18","date_gmt":"2026-02-15T07:09:18","guid":{"rendered":"https:\/\/www.europesays.com\/ch\/7208\/"},"modified":"2026-02-15T07:09:18","modified_gmt":"2026-02-15T07:09:18","slug":"roche-poised-to-buy-mash-drug-developer-89bio-for-3-5bn","status":"publish","type":"post","link":"https:\/\/www.europesays.com\/ch\/7208\/","title":{"rendered":"Roche poised to buy MASH drug developer 89bio for $3.5bn"},"content":{"rendered":"<p>Roche has dipped its toe in the M&amp;A water with an agreement to buy US biotech 89bio and its late-stage candidate for metabolic dysfunction-associated steatohepatitis (MASH).<\/p>\n<p>The $14.50-per-share deal equates to a purchase price of $2.4 billion at closing, with Roche dangling another $6 per share in the form of a contingent value right (CVR) that will be payable if 89bio&#8217;s lead drug pegozafermin achieves certain unspecified objectives. If that occurs, the value of the deal will swell to $3.5 billion.<\/p>\n<p><a href=\"https:\/\/pharmaphorum.com\/news\/89bio-shows-its-nash-hand-boosting-fgf21-concept\" rel=\"nofollow noopener\" target=\"_blank\">Pegozafermin<\/a> is from a class known as FGF21 analogues, one of a group of drugs in clinical development for MASH with that mechanism of action that also includes Akero&#8217;s <a href=\"https:\/\/pharmaphorum.com\/news\/akero-rockets-as-nash-drug-hits-targets-in-phase-2b-trial\" rel=\"nofollow noopener\" target=\"_blank\">efruxifermin<\/a> in phase 3 development and GSK&#8217;s <a href=\"https:\/\/pharmaphorum.com\/news\/gsk-pays-12bn-liver-drug-it-culls-tigit-programme\" rel=\"nofollow noopener\" target=\"_blank\">efimosfermin<\/a>, which is being prepared for phase 3.<\/p>\n<p>Efruxifermin requires dosing once a week by injection, while pegozafermin is being tested in phase 3 with a dose every one or two weeks, depending on the indication, and efimosfermin lends itself to once-monthly dosing.<\/p>\n<p>89bio&#8217;s drug is in two phase 3 trials in MASH \u2013 ENLIGHTEN-Fibrosis in non-cirrhotic (F2-F3) MASH patients and ENLIGHTEN-Cirrhosis trial in compensated cirrhotic (F4) MASH \u2013 as well as a third pivotal study called ENTRUST in severe hypertriglyceridaemia (SHTG).<\/p>\n<p>MASH is a form of non-alcoholic fatty liver disease (NAFLD) that affects millions of people worldwide and has been billed as pharma&#8217;s next big growth area, with some analysts predicting a market potentially worth tens of billions of dollars a year.<\/p>\n<p>At the moment, the only two approved therapies for MASH are Madrigal Pharma&#8217;s oral THR \u03b2-selective agonist <a href=\"https:\/\/pharmaphorum.com\/news\/madrigal-pharma-first-over-mash-finish-line\" rel=\"nofollow noopener\" target=\"_blank\">Rezdiffra<\/a> (resmetirom), which was cleared in the US last year and looks to be on a path to blockbuster status with sales of $350 million in the first half of this year, and Novo Nordisk&#8217;s blockbuster GLP-1 agonist <a href=\"https:\/\/pharmaphorum.com\/news\/novo-nordisk-claims-first-glp-1-approval-mash\" rel=\"nofollow noopener\" target=\"_blank\">Wegovy<\/a> (semaglutide).<\/p>\n<p>Roche chief executive Thomas Schinecker said the merger agreement with 89bio \u2013 which would lead to the San Francisco-based biotech becoming a wholly-owned subsidiary of the Swiss group \u2013 will strengthen its pipeline in cardiovascular, renal, and metabolic diseases and &#8220;offers opportunities to explore combinations with existing programmes in our pipeline.&#8221;<\/p>\n<p>It is the second acquisition in the cardiometabolic category this year for Roche, coming after it <a href=\"https:\/\/pharmaphorum.com\/news\/roche-builds-obesity-53bn-zealand-licensing-deal\" rel=\"nofollow noopener\" target=\"_blank\">bought rights<\/a> to an anti-amylin obesity candidate (petrelintide) developed by Zealand Pharma in a deal worth up to $5.3 billion.<\/p>\n<p>If all goes to plan, the merger deal is expected to close before the end of the year.<\/p>\n","protected":false},"excerpt":{"rendered":"Roche has dipped its toe in the M&amp;A water with an agreement to buy US biotech 89bio and&hellip;\n","protected":false},"author":2,"featured_media":7209,"comment_status":"","ping_status":"","sticky":false,"template":"","format":"standard","meta":{"footnotes":"","_share_on_mastodon":"0"},"categories":[124],"tags":[4166,5692,2541,3265,5693,252,134],"class_list":["post-7208","post","type-post","status-publish","format-standard","has-post-thumbnail","category-roche","tag-89bio","tag-hepatology","tag-ma","tag-mash","tag-pegozafermin","tag-pharma-news","tag-roche"],"share_on_mastodon":{"url":"","error":""},"_links":{"self":[{"href":"https:\/\/www.europesays.com\/ch\/wp-json\/wp\/v2\/posts\/7208","targetHints":{"allow":["GET"]}}],"collection":[{"href":"https:\/\/www.europesays.com\/ch\/wp-json\/wp\/v2\/posts"}],"about":[{"href":"https:\/\/www.europesays.com\/ch\/wp-json\/wp\/v2\/types\/post"}],"author":[{"embeddable":true,"href":"https:\/\/www.europesays.com\/ch\/wp-json\/wp\/v2\/users\/2"}],"replies":[{"embeddable":true,"href":"https:\/\/www.europesays.com\/ch\/wp-json\/wp\/v2\/comments?post=7208"}],"version-history":[{"count":0,"href":"https:\/\/www.europesays.com\/ch\/wp-json\/wp\/v2\/posts\/7208\/revisions"}],"wp:featuredmedia":[{"embeddable":true,"href":"https:\/\/www.europesays.com\/ch\/wp-json\/wp\/v2\/media\/7209"}],"wp:attachment":[{"href":"https:\/\/www.europesays.com\/ch\/wp-json\/wp\/v2\/media?parent=7208"}],"wp:term":[{"taxonomy":"category","embeddable":true,"href":"https:\/\/www.europesays.com\/ch\/wp-json\/wp\/v2\/categories?post=7208"},{"taxonomy":"post_tag","embeddable":true,"href":"https:\/\/www.europesays.com\/ch\/wp-json\/wp\/v2\/tags?post=7208"}],"curies":[{"name":"wp","href":"https:\/\/api.w.org\/{rel}","templated":true}]}}
