Nestl\u00e9 first announced plans to sell part of its Waters business back in February 2025. <\/p>\n

Little has been said publicly on the matter since, though Nestl\u00e9 Waters circumstances have changed significantly, with allegations of consumer deception<\/a> and plastic pollution<\/a> levelled at the division.<\/p>\n

All this raises questions over whether the multinational will proceed with the sale and whether it will be able to find a buyer.<\/p>\n

Scandals surrounding Nestl\u00e9 Waters<\/p>\n

Nestl\u00e9 Waters is currently embroiled in a number of legal disputes.<\/p>\n

Last month, the multinational confirmed raids were carried out on two of its Waters sites in Verg\u00e8ze, and at a lab in the Vosges \u200bmountains.<\/p>\n

The raids involved officers \u200bfrom the France anti-fraud department and form part of an investigation into an alleged \u201cdeceit\u201d. The investigation follows a complaint filed to the Paris prosecutor by consumer group, FoodWatch, over a \u201cfraud involving illegally filtered water\u201d.<\/p>\n

This follows raids on Nestl\u00e9\u2018s Paris headquarters by French Authorities<\/a> in July 2025.<\/p>\n

\u201cWe continue to cooperate fully with the authorities involved,\u201d said a spokesperson for the food and beverage giant at the time.<\/p>\n

It is also facing accusations of illegally dumping hundreds of thousands of cubic meters of water bottles, leading to the contamination of soil and water sources surrounding the Contrex and H\u00e9par drilling sites. It\u2019s currently facing trial in France for this alleged contamination.<\/p>\n

Nestl\u00e9 Waters made the following statement in response to the claims and ongoing trial.<\/p>\n

\u201cNestl\u00e9 Waters France remains determined to present its arguments as the proceedings continue and is, meanwhile, pursuing its efforts to deal with the three remaining historic landfill sites responsibly, in coordination with the relevant authorities.\u201d<\/p>\n

Why is Nestl\u00e9 selling its Waters business?<\/p>\n

While the ongoing scandals surrounding Nestl\u00e9 Waters may well be a contributing factor to the decision to sell, they\u2019re not the only motive.<\/p>\n

\u201cWaters is a relatively small part of Nestl\u00e9\u2019s overall business and sits outside the four categories that management has identified as its main strategic priorities \u2013 Food & Snacks, Coffee, Nutrition and Petcare,\u201d says Nandini Roy Choudhury, principal consultant for food and beverage at analytics group Future Market Insights. \u201cSeparating the unit therefore has a clear portfolio rationale independent of the controversies.\u201d<\/p>\n

Though Choudhury acknowledges the investigations will have materially increased the cost and complexity of retaining the business. \u201cNestl\u00e9 faces continuing regulatory scrutiny, potential remediation costs, uncertainty over permitted treatment processes and extraction volumes, and reputational risks that extend beyond the Waters division. These issues make the business more management-intensive at a time when Nestl\u00e9 is trying to simplify its portfolio and improve operational performance.\u201d<\/p>\n

However, those issues may also complicate efforts to secure a successful sale.<\/p>\n

Will Nestl\u00e9 be able to sell its Waters unit?<\/p>\n

With internationally recognised brands in its portfolio, Nestl\u00e9 Waters presents a strong proposition for potential buyers. But will its ongoing issues act as a deterrent or drag the price down?<\/p>\n

\u201cIt is not currently possible to identify a precise \u2018contamination discount\u2019 because there is no publicly disclosed pre-investigation valuation for an equivalent perimeter,\u201d says Future Market Insights\u2019 Choudhury. \u201cThe reported process could value the European Waters business at approximately \u20ac5bn, with Nestl\u00e9 considering the sale of around a 50% stake. That valuation still reflects considerable value in brands such as Perrier, S.Pellegrino and Acqua Panna, their international distribution, premium positioning and cash-generating potential.”<\/p>\n

Having said that, Choudhury expects buyers to closely examine potential fines, clean-up obligations, required investment in filtration and source protection, possible restrictions on production and the risk of brands losing natural-mineral-water status before completing on any purchase.<\/p>\n

These risks, she says, could result in indemnities, warranties, retained liabilities, earn-outs or adjustments to the final price.<\/p>\n

Will Nestl\u00e9 exit Waters completely?<\/p>\n

The initial announcement that Nestl\u00e9 planned to sell part of its Waters business has been muddied by CEO Philipp Navratil<\/a> on a number of occasions, as he seems to imply the business is considering a full-scale exit. Most recently, during this year\u2019s dbAccess Global Consumer Conference in Paris, he referred to the company \u201cdisposing of Waters\u201d, rather than part of the Waters business.<\/p>\n

\u201cA full exit should not be ruled out,\u201d agrees Future Market Insights\u2019 Choudhury.<\/p>\n

That said, a partial sale would reduce execution risk compared with selling the entire portfolio while investigations remain ongoing.<\/p>\n

What\u2019s more, retaining a stake now does not necessarily represent a permanent commitment to the category. \u201cPrivate-equity partnerships commonly include mechanisms through which the original owner can sell its remaining interest later,\u201d explains Choudhury. \u201cIf a partner improves performance, resolves regulatory issues and creates a clearer valuation benchmark, a subsequent full exit could become easier and potentially more valuable.\u201d<\/p>\n

But which brands would Nestl\u00e9 hold onto, if it did decide on only a partial exit?<\/p>\n

\u201cThe decision is likely to be based on four considerations,\u201d says Choudhury. \u201cBrand strength, growth potential, regulatory exposure and transaction attractiveness.\u201d<\/p>\n
