The move came as two distinct developments offered fresh support for a restructuring that has so far only chipped away at a daunting \u20ac4 billion debt-reduction target. While the stock remains deep in the red on a year-to-date basis \u2014 down nearly 35% \u2014 the convergence of legislative and financial progress has given investors a sliver of momentum.<\/p>\n<p>The Bundestag\u2019s passage of the Kraftwerksgesetz on July 9 marked a pivotal moment for BayWa\u2019s beleaguered renewable energy business. The law calls for the auction of 11 gigawatts of new gas-fired power plant capacity by 2031, with a requirement that all units be fully hydrogen-ready by 2045. For BayWa, whose energy subsidiary BayWa r.e. has been under pressure from shifting US market conditions and shrinking margins, the legislation injects long-sought planning security. The state-backed capacity build-out could help stabilise the valuation of the group\u2019s remaining energy assets, a critical factor as BayWa pushes ahead with plans to sell the renewable energy division.<\/p>\n<p>On the financial front, the debt-reduction roadmap is becoming more concrete. BayWa and its creditor banks have agreed to convert up to \u20ac700 million of financial liabilities into a subordinated instrument, slicing the interest burden on a balance sheet that still carries more than \u20ac5 billion in debt. That move improves the equity ratio without diluting existing shareholders \u2014 at least for now. The group has already offloaded its trading subsidiary Cefetra, wiping more than \u20ac600 million in bank liabilities from the books. Combined with the \u20ac700 million debt conversion, BayWa has tackled roughly \u20ac1.3 billion of its \u20ac4 billion target since the start of 2025. The timeline now stretches to 2030, with the core focus narrowed to three segments: agricultural trading, farm machinery, and building materials. At the heart of the new concept is the separation from BayWa r.e. Both current owners \u2014 BayWa itself and investor EIP \u2014 will transfer their stakes to a transformation trustee, who will oversee the sale of the renewable business. In a related step, the two parties must write off billions in shareholder loans to the subsidiary. Meanwhile, the two largest shareholders, holding roughly 67% combined, have placed their shares in a fiduciary trust, effectively ceding control during the restructuring.<\/p>\n<p>Leadership change is also on the horizon. CEO Frank Hiller will step down on July 31, 2026, marking a clean break with the expansionist strategy that contributed to the group\u2019s excessive leverage.<\/p>\n<p>Despite Friday\u2019s rally, the stock remains in a precarious chart position. It trades at a 10.8% discount to its 50-day moving average of \u20ac12.22 and nearly 27% below the 200-day average of \u20ac14.93. The distance to the 52-week low of \u20ac9.72 is just 12%, while the value has more than halved from the December 2025 high of \u20ac23.90. Annualised volatility of 54% signals that calm is not returning anytime soon.<\/p>\n<p>A key catalyst for future moves will be the execution of planned disposals, notably the sale of New Zealand-based fruit marketer T&amp;G Global. But investors will have to wait for fuller clarity: BayWa has yet to publish an audited 2025 consolidated financial statement, which is now expected in the fourth quarter of 2026.
