Fondi t\u00fctarettev\u00f5tted tegid 2025. aastal uusi investeeringuid hooldekodude segmendis kokku 6,6 miljoni euro ning logistika segmendis 5,3 miljoni euro ulatuses. \u00dclej\u00e4\u00e4nud kinnisvaraportfelli tegi kontsern investeeringuid kokku 2,3 miljonit eurot.<\/p>\n<p align=\"justify\">EfTEN Real Estate Fund AS-i aktsia on eelk\u00f5ige dividendiaktsia. Fond teenis 2025. aastal vaba rahavoogu 13,088 miljonit eurot, mis on 18% rohkem kui eelmisel aastal. Teenitud rahavoost saaks fond vastavalt dividendipoliitikale maksta brutodividende 10,5 miljonit eurot. Arvestades fondi konservatiivset finantseerimispoliitikat ning laenude annuiteetmakseid, saavad fondi t\u00fctarettev\u00f5tted oma dividendiv\u00f5imekust suurendada, refinantseerides laene, mille LTV (Loan-to-Value) on langenud alla fondi kapitalijuhtimise p\u00f5him\u00f5tete ning mille \u00e4ritegevuse rahavood \u00fcletavad laenu- ja intressimakseid enam kui kaks korda. Arvestades laenude refinantseerimisest saadavaid lisavahendeid, teeb fondi juhatus n\u00f5ukogule ning \u00fcldkoosolekule ettepaneku maksta 2026. aasta kevadel jaotamata kasumist netodividende kokku 13,8 miljonit eurot (1,2 eurot aktsia kohta), s.o 8,1% rohkem kui eelmisel aastal.\u00a0<\/p>\n<p align=\"justify\">Pikalt kestnud madala majandusaktiivsuse tingimustes p\u00f6\u00f6rab kontsern suurt t\u00e4helepanu hoonete k\u00f5rge t\u00e4ituvuse s\u00e4ilitamisele. 2025. aasta l\u00f5pus oli kogu kontserni kinnisvaraportfelli t\u00e4ituvus 96,8% (31.12.2024: 97,4%). Madalaim on endiselt b\u00fcroosegmendi t\u00e4ituvus (85,6%), kus fond teeb j\u00e4tkuvalt investeeringuid, et vastata turuootustele v\u00e4iksemate b\u00fcroopindade n\u00f5udluse osas.<\/p>\n<p align=\"justify\">2025. aasta suvel valmis Tartu vallas asuva ERMi hooldekodu teine etapp, millelt saadav \u00fc\u00fcritulu t\u00f5usis j\u00e4rk-j\u00e4rgult lepinguj\u00e4rgsele tasemele augustiks. Koos aprillis lisandunud Hiiu hooldekodu ning Valkla hooldekodu uue etapi valmimisega kasvas hooldekodude segmendi \u00fc\u00fcritulu 2025. aastal 1,4 miljoni euroni, s.o 74%.<\/p>\n<p align=\"justify\">Arvestamata mitterahalisi kasumeid \/ kahjumeid ning tulumaksukulu, teenis kontsern 2025. aastal oma tegevusajaloo k\u00f5rgeima kasumi \u2013 20,24 miljonit eurot, mis on 12,5% rohkem kui 2024. aastal. Olulise osa suuremas kasumis andis peamiselt EURIBORi langusest tulenev intressikulu v\u00e4henemine. Kui 2024. aastal oli fondi laenuportfelli kaalutud keskmine intressim\u00e4\u00e4r 5,82%, siis 2025. aastal oli see 4,35%. 2025. aasta l\u00f5pus oli fondi laenude kaalutud keskmine intressim\u00e4\u00e4r 3,99%.<\/p>\n<p align=\"justify\">Majandustulemuste \u00fclevaade<\/p>\n<p align=\"justify\">EfTEN Real Estate Fund AS-i konsolideeritud 2025. aasta IV kvartali m\u00fc\u00fcgitulu oli 8,656 miljonit eurot (2024. aasta IV kvartal: 8,314 miljonit eurot) ning 12 kuu m\u00fc\u00fcgitulu 33,083 miljonit eurot (2024. aasta 12 kuud: 32,238 miljonit eurot). Neljanda kvartali m\u00fc\u00fcgitulu kasvas aastataguse perioodiga v\u00f5rreldes 4,1% ning 12 kuu m\u00fc\u00fcgitulu 2,6%. M\u00fc\u00fcgitulu kasvu toetasid eelk\u00f5ige uued investeeringud logistika- ja hooldekodude sektoris.<\/p>\n<p align=\"justify\">Fondi konsolideeritud neto \u00fc\u00fcritulu (NOI) oli 2025. aasta 12 kuuga kokku 30,685 miljonit eurot (2024. aasta 12 kuud: 29,977 miljonit eurot), kasvades 2,4%. Neto \u00fc\u00fcritulu 12 kuu marginaal p\u00fcsis 93% tasemel (2024: sama), mis t\u00e4hendab, et kinnistute haldamisega otseselt seotud kulud (sh maamaks, kindlustus, hooldus- ja parendust\u00f6\u00f6d) ning turunduskulud moodustasid 7% fondi m\u00fc\u00fcgitulust.<\/p>\n<p align=\"justify\">2025. aasta IV kvartalis teenis fond konsolideeritud puhaskahjumit 1,208 miljonit eurot (2024. aasta IV kvartal: puhaskasum 3,460 miljonit eurot), millest\u00a0 4,005 miljonit eurot moodustas kahjum kinnisvarainvesteeringute \u00f5iglase v\u00e4\u00e4rtuse muutusest (2024. aasta IV kvartal: kasum 0,831 miljonit eurot).<\/p>\n<p align=\"justify\">Fondi 2025. aasta 12 kuu konsolideeritud puhaskasum oli 12,235 miljonit eurot (2024. aasta 12 kuud: 13,564 miljonit eurot). Kinnisvarainvesteeringute \u00f5iglase v\u00e4\u00e4rtuse muutusest teenis fond 2025. aastal kokku 3,459 miljonit eurot kahjumit (2024. aasta: 1,080 miljonit eurot kahjumit). Intressikulu v\u00e4henes eelmise aasta sama perioodiga v\u00f5rreldes 1,996 miljoni euro ehk 23% v\u00f5rra.<\/p>\n<p align=\"justify\">Kontserni varade maht oli 31.12.2025 seisuga 405,851 miljonit eurot (31.12.2024: 398,763 miljonit eurot), s.h moodustas kinnisvarainvesteeringute \u00f5iglane v\u00e4\u00e4rtus varade mahust 93,9% (31.12.2024: 93,7%).\u00a0<\/p>\n<p align=\"justify\">Kinnisvaraportfell<\/p>\n<p align=\"justify\">Seisuga 31.12.2025 oli kontsernil 37 (31.12.2024: 36) \u00e4rikinnisvarainvesteeringut, mille \u00f5iglane v\u00e4\u00e4rtus bilansip\u00e4eval oli 381,032 miljonit eurot (31.12.2024: 373,815 miljonit eurot) ning soetusmaksumus 381,235 miljonit eurot (31.12.2024: 370,561 miljonit eurot). Lisaks fondi t\u00fctarettev\u00f5tetele kuuluvatele kinnisvarainvesteeringutele kuulub kontserni 50%-osalusega \u00fchisettev\u00f5ttele hotell Palace Tallinnas, mille \u00f5iglane v\u00e4\u00e4rtus 31.12.2025 seisuga oli 8,680 miljonit eurot (31.12.2024: 8,630 miljonit eurot).<\/p>\n<p align=\"justify\">Investeeringud 2025. aastal<\/p>\n<p align=\"justify\">Kontsern investeeris 2025. aasta 12 kuuga kokku 10,676 miljonit eurot nii uutesse kinnisvarainvesteeringutesse kui ka olemasoleva kinnisvaraportfelli arendamisse.<\/p>\n<p align=\"justify\">Kontserni t\u00fctarettev\u00f5te EfTEN Hiiu O\u00dc soetas m\u00e4rtsis kinnistu Tallinnas, Hiiu tn 42, makstes selle eest 4 miljonit eurot. Kehtiva \u00fc\u00fcrilepingu alusel j\u00e4tkab kinnistu osalist kasutamist Sihtasutus P\u00f5hja-Eesti Regionaalhaigla, \u00fclej\u00e4\u00e4nud pindadele s\u00f5lmiti pikaajaline (10 + 10 aastat) \u00fc\u00fcrileping ettev\u00f5ttega Hiiu S\u00fcdamekodu O\u00dc, mis kuulub S\u00fcdamekodud AS-i kontserni. Koost\u00f6\u00f6s \u00fc\u00fcrniku ja S\u00fcdamekodud AS-iga ehitatakse hoone osaliselt \u00fcmber \u00fcldhooldekoduks &#8220;N\u00f5mme S\u00fcdamekodu&#8221;, mis tulevikus mahutab kuni 170 hooldekodu klienti.<\/p>\n<p align=\"justify\">2025. aasta I poolaastal l\u00f5petati Valkla hooldekodu C-korpuse ehitust\u00f6\u00f6d ning kolmandas kvartalis valmis Tartus Ermi hooldekodu II etapp.<\/p>\n<p align=\"justify\">2025. aasta aprillis valmis eelmise aasta s\u00fcgisel soetatud Paemurru logistikakeskus, kuhu investeeriti aruandeaastal kokku 1,746 miljonit eurot.<\/p>\n<p align=\"justify\">\u00dc\u00fcritulu<\/p>\n<p align=\"justify\">2025. aasta 12 kuuga teenis kontsern kokku 32,013 miljonit eurot \u00fc\u00fcritulu, mis on 3% rohkem kui 2024. aastal samal perioodil.<\/p>\n<p align=\"justify\">Kontsernile kuuluvate kinnisvarainvesteeringute vakantsus portfelli kohta oli 31.12.2025 seisuga 3,2% (31.12.2024: 2,6%). Suurim oli vakantsus b\u00fcroohoonete segmendis (14,4%), kus vakantsete \u00fc\u00fcripindade t\u00e4itmine on v\u00f5tnud varasemast rohkem aega.<\/p>\n<p align=\"justify\">Finantseerimine<\/p>\n<p align=\"justify\">EfTEN Real Estate Fund AS t\u00fctarettev\u00f5tted suurendasid seoses parema finantsv\u00f5imekusega oma pangalaenude kogusummat 2025. aasta aprillis 7,32 miljoni euro v\u00f5rra. Lisaks rahastati 2025. aastal pangalaenudega Valkla ja Ermi hooldekodude ning Paemurru logistikakeskuse ehitust\u00f6id kogusummas 3,184 miljonit eurot. Fondi t\u00fctarettev\u00f5te EfTEN Hiiu O\u00dc s\u00f5lmis laenulepingu Hiiu tn. 42 hoone \u00fcmberehitust\u00f6\u00f6de finantseerimiseks summas 3,650 miljonit eurot, millest seisuga 31.12.2025 on kasutusse v\u00f5etud 0,7 miljonit eurot.<\/p>\n<p align=\"justify\">J\u00e4rgmise 12 kuu jooksul l\u00f5ppevad kontserni k\u00fcmne t\u00fctarettev\u00f5tte laenulepingud, mille j\u00e4\u00e4k oli 31.12.2025 seisuga kokku 37,057 miljonit eurot. L\u00f5ppevate laenulepingute LTV (Loan-to-Value) on 34% &#8211; 60% ning\u00a0 kinnisvarainvesteeringud omavad stabiilselt \u00fc\u00fcrirahavoogu, mist\u00f5ttu kontserni juhtkonna hinnangul ei teki laenulepingute pikendamisel takistusi.<\/p>\n<p align=\"justify\">Kontserni laenulepingute kaalutud keskmine intressim\u00e4\u00e4r oli 31.12.2025 seisuga 3,99% (31.12.2024: 4,89%) ning LTV (Loan to Value) 41% (31.12.2024: 40%). K\u00f5ik fondi t\u00fctarettev\u00f5tete laenulepingud on seotud ujuva intressim\u00e4\u00e4raga. Intressiriski maandamiseks s\u00f5lmisid kontserni kaks t\u00fctarettev\u00f5tet intressim\u00e4\u00e4ra vahetuslepingud kokku nominaalsummas 22,6 miljonit eurot, millega fikseeriti ujuv intressim\u00e4\u00e4r (1 kuu EURIBOR) tasemel 1,995% ja 2,2%.<\/p>\n<p align=\"justify\">Fondi laenude intresside kattekordaja (ICR) oli 2025. aastal 4,0 (2024: 3,0). ICR kasvas peamiselt madalama EURIBOR\u2019i toel.<\/p>\n<p align=\"justify\">Seoses kontserni kinnisvarainvesteeringute tagatisel v\u00f5etud laenude perioodiliste tagasimaksetega ning finantsv\u00f5imenduse madala tasemega plaanib fondi juhtkond ka 2026. aasta alguses laene refinantseerida ning suurendada sellega dividendide maksmise v\u00f5imekust.<\/p>\n<p align=\"justify\">Aktsiainfo<\/p>\n<p align=\"justify\">2025. aasta novembris emiteeris fond 84 506 uut aktsiat v\u00e4ljalaskehinnaga 19,11 eurot, millest nimiv\u00e4\u00e4rtus oli 10 eurot ning \u00fclekurss 9,11 eurot. Emissiooni tulemusena suurenes fondi aktsiakapital 845 tuhande euro v\u00f5rra ning \u00fclekurss 770 tuhande euro v\u00f5rra (kokku 1 615 tuhat eurot). Emissiooniga otseselt seotud kulutusi oli kokku 20 tuhat eurot. Aktsiakapitali suurendamine registreeriti \u00c4riregistris 27.11.2025.a.<\/p>\n<p align=\"justify\">EfTEN Real Estate Fund AS-i registreeritud aktsiakapitali suurus seisuga 31.12.2025 on 115 248 tuhat eurot (31.12.2024: 114 403). Aktsiakapital koosnes 11 524 846\u00a0\u00a0 aktsiast (31.12.2024: 11 440 340 aktsiat) nimiv\u00e4\u00e4rtusega 10 eurot (31.12.2024: sama).<\/p>\n<p align=\"justify\">EfTEN Real Estate Fund AS-i aktsia puhasv\u00e4\u00e4rtus (NAV) oli seisuga 31.12.2025 20,32 eurot (31.12.2024: 20,37 eurot). EfTEN Real Estate Fund ASi aktsia puhasv\u00e4\u00e4rtus v\u00e4henes 2025. aastal 0,25%. Ilma dividende jaotamata oleks fondi NAV aastaga kasvanud 4,7%.<\/p>\n<p align=\"justify\">EfTEN Real Estate Fund AS-i aktsia 2025. Aasta k\u00e4ive oli Tallinna v\u00e4\u00e4rtpaberib\u00f6rsil 6,16 miljonit eurot, kasvades aastaga kaks korda.<\/p>\n<p align=\"justify\">2025. aasta jooksul on kontsern teeninud korrigeeritud rahavoogu (EBITDA miinus laenude tagasimaksed miinus intressikulud) 13,088 miljonit eurot (2024: 11,109 miljonit eurot), mis on 18% rohkem kui eelmisel aastal samal ajal. Seda eelk\u00f5ige t\u00e4nu uutest soetustest ja arendustest lisandunud rahavoole ning madalamatele intressikuludele tulenevalt EURIBOR\u2019i langusest. Teenitud rahavoost saaks fond vastavalt dividendipoliitikale maksta brutodividende 10,5 miljonit eurot. Tulenevalt fondi konservatiivsest finantseerimispoliitikast ning laenude annuiteetmaksetest, saavad fondi t\u00fctarettev\u00f5tted oma dividendiv\u00f5imekust suurendada, refinantseerides laene, mille LTV (Loan-to-Value) on langenud alla fondi kapitalijuhtimise p\u00f5him\u00f5tete ning mille \u00e4ritegevuse rahavood \u00fcletavad laenu- ja intressimakseid enam kui kaks korda.
