ANNUAL GENERAL MEETING OF CR\u00c9DIT\u00a0AGRICOLE\u00a0S.A. <\/p>\n

The Annual General Meeting of Shareholders of Cr\u00e9dit\u00a0Agricole\u00a0S.A. was held in Saint-Brieuc (France) on Wednesday, 20\u00a0May\u00a02026, in the presence of Chairman, Mr \u00c9ric Vial, and Chief Executive Officer, Mr Olivier Gavalda.<\/p>\n

Over 1,300 people attended the General Meeting, either physically or remotely.<\/p>\n

With a quorum of 81.71%, the General Meeting approved all the resolutions put forward by the Board of Directors. All resolutions received a score of over 87% except for resolution A, which was rejected by more than 96%.<\/p>\n

Nearly 15,700 shareholders voted prior to the General Meeting, 84% of which voted online.<\/p>\n

Following the approval of the financial statements for the year ended 31\u00a0December\u00a02025, the Cr\u00e9dit\u00a0Agricole\u00a0S.A. Ordinary General Meeting confirmed a dividend payout of \u20ac1.13 per share.<\/p>\n

In addition, the General Meeting appointed Mr Marc Didier, Chaiman of the Pyr\u00e9n\u00e9es Gascogne Regional Bank, as a Director to replace Mr\u00a0Jean-Pierre Gaillard, who has reached the statutory age limit and Mr Richard Laborie, Chief Executive Officer of the Languedoc Regional Bank, as a Director to replace Ms\u00a0Nicole Gourmelon, who resigned following the General Meeting.<\/p>\n

The General Meeting ratified the co-optation of Mr\u00a0Franck Alexandre, Chairman of the Alpes Provence Regional Bank, as Director, who has replaced Mr Dominique Lefebvre since the 1st of January 2026.<\/p>\n

The General Meeting also renewed the terms of Ms\u00a0Agn\u00e8s Audier, Ms\u00a0Sonia Bonnet-Bernard, Ms\u00a0Marie-Claire Daveu, Ms\u00a0Alessia Mosca, Ms\u00a0Ga\u00eblle Regnard, Ms\u00a0Carol Sirou, Mr Pascal Lheureux and Mr \u00c9ric Vial.<\/p>\n

The Board of Directors of Cr\u00e9dit Agricole S.A., which met following the General Meeting, re-appointed Mr \u00c9ric Vial as Chairman.<\/p>\n
