Ltd. to Allianz<br \/>\nfor\u00a0a<br \/>\nconsideration of S$2.7\u00a0billion<br \/>\n(US$2.1 billion[1])<br \/>\nwith completion expected in the first half of 2027, subject to<br \/>\nregulatory approval.<\/p>\n<p>\u25cf\u00a0Disposal<br \/>\nexpected to generate a pre-tax gain of US$1.8billion and estimated<br \/>\nup to 15 basis-point increase to CET1 for the HSBC<br \/>\nGroup.\u00a0<\/p>\n<p>\u25cf\u00a0On<br \/>\ncompletion, HSBC and Allianz will enter an exclusive 15-year<br \/>\nbancassurance distribution agreement through which HSBC will<br \/>\ncontinue to distribute high quality insurance products to its<br \/>\ncustomers in Singapore. On entering the distribution agreement,<br \/>\nHSBC will receive a S$0.2bn (US$0.2bn[1])<br \/>\ninitial lump sum cash payment.<\/p>\n<p>\u25cf\u00a0HSBC<br \/>\nis committed to Singapore as an international wealth and wholesale<br \/>\nbanking hub. Singapore is crucial to HSBC&#8217;s strategy and is a key<br \/>\nfocus of investment and growth for the Group.<\/p>\n<p>\n\u00a0<\/p>\n<p>\nThis announcement is made by HSBC Holdings plc<br \/>\n(&#8220;HSBC<br \/>\nHoldings&#8221;, together with its<br \/>\nsubsidiaries, the &#8220;HSBC\u00a0Group&#8221;) on a voluntary basis.<\/p>\n<p>\u00a0<\/p>\n<p>THE DISPOSAL<\/p>\n<p>\u00a0<\/p>\n<p>\nHSBC Holdings announces that its indirect<br \/>\nwholly-owned subsidiary, HSBC\u00a0Insurance (Asia-Pacific)<br \/>\nHoldings Limited (the &#8220;Seller&#8221;), has today entered into a share purchase<br \/>\nagreement with\u00a0Allianz<br \/>\nAsia Holdings Pte. Ltd.\u00a0(the &#8220;Purchaser&#8221;)\u00a0for the sale of 100% of<br \/>\nthe\u00a0issued\u00a0share capital of HSBC<br \/>\nLife\u00a0(Singapore)\u00a0Pte. Ltd. (&#8220;HSBC Life SG&#8221;)\u00a0for a consideration of<br \/>\nS$2.7billion\u00a0(US$2.1<br \/>\nbillion[1])<br \/>\n(together, the &#8220;Disposal&#8221;).\u00a0HSBC Life SG is a leading insurance<br \/>\nbusiness in Singapore offering a broad range of life and health<br \/>\ninsurance products.<\/p>\n<p>\u00a0<\/p>\n<p>\nCompletion of the Disposal\u00a0is<br \/>\nexpected\u00a0in<br \/>\nthe first half of 2027,\u00a0subject<br \/>\nto obtaining the relevant approvals from the Monetary Authority of<br \/>\nSingapore. On completion of the Disposal, all employees will<br \/>\ncontinue to be employed by HSBC Life SG, which will be owned by the<br \/>\nPurchaser, and the parties will work closely together to enable a<br \/>\nsmooth transition for colleagues and customers.<\/p>\n<p>\u00a0<\/p>\n<p>\nOn completion of the Disposal, HSBC Holdings&#8217;<br \/>\nindirect wholly-owned subsidiary, HSBC Bank (Singapore) Limited<br \/>\n(&#8220;HSBC Bank<br \/>\nSG&#8221;), and HSBC Life SG (which<br \/>\nwill then be wholly-owned by the Purchaser and renamed following<br \/>\ncompletion) will enter into an exclusive 15-year bancassurance<br \/>\ndistribution agreement (the &#8220;Distribution<br \/>\nAgreement&#8221;, together with the<br \/>\nDisposal, the &#8220;Transaction&#8221;). Pursuant to the Distribution Agreement, HSBC<br \/>\nBank SG will distribute HSBC Life SG&#8217;s insurance products on an<br \/>\nexclusive basis to its retail banking and wealth customers in<br \/>\nSingapore. Upon entering into the Distribution<br \/>\nAgreement,\u00a0HSBC<br \/>\nwill receive an initial S$0.2 billion (US$0.2<br \/>\nbillion[1])<br \/>\nlump sum cash payment from Allianz reflecting the exclusive terms<br \/>\nof the agreement. This will be recognised in the income statement<br \/>\nover the term of the Distribution Agreement, along with the<br \/>\ncontractual variable additional consideration for performance under<br \/>\nthe agreement.<\/p>\n<p>\u00a0<\/p>\n<p>FINANCIAL IMPACT OF THE DISPOSAL<\/p>\n<p>\u00a0<\/p>\n<p>\nThe Disposal is expected to generate a pre-tax<br \/>\ngain on disposal of US$1.8 billion at the HSBC Group consolidated<br \/>\nlevel[2],<br \/>\nto be recognised largely upon completion and classified as a<br \/>\nmaterial notable item[3].<br \/>\nThe Disposal would not be subject to tax and is expected to<br \/>\ngenerate an estimated up to 15 basis-point increase to the HSBC<br \/>\nGroup&#8217;s consolidated Common Equity Tier 1 ratio[4],<br \/>\nupon subsequent upstreaming of the distributable gain on sale as<br \/>\nrecognised in HSBC Insurance (Asia-Pacific) Holdings<br \/>\nLimited.<\/p>\n<p>\u00a0<\/p>\n<p>REASONS FOR AND BENEFITS OF THE TRANSACTION<\/p>\n<p>\u00a0<\/p>\n<p>\nThe<br \/>\ntransaction follows the strategic review of HSBC Life SG, which<br \/>\nconcluded that a sale would be the best outcome for all parties.<br \/>\nThe Transaction forms part of the ongoing simplification of the<br \/>\nHSBC Group as it focuses on increasing leadership and market share<br \/>\nin the areas where it has a clear competitive advantage and the<br \/>\ngreatest opportunities to grow and support its<br \/>\nclients.<\/p>\n<p>\u00a0<\/p>\n<p>\nHSBC<br \/>\nis committed to Singapore as an international wealth and wholesale<br \/>\nbanking hub.
