{"id":149025,"date":"2025-10-28T05:57:14","date_gmt":"2025-10-28T05:57:14","guid":{"rendered":"https:\/\/www.europesays.com\/ie\/149025\/"},"modified":"2025-10-28T05:57:14","modified_gmt":"2025-10-28T05:57:14","slug":"uk-watchdog-raises-competition-concern-over-part-of-greencores-e1-38bn-bakkavor-takeover-the-irish-times","status":"publish","type":"post","link":"https:\/\/www.europesays.com\/ie\/149025\/","title":{"rendered":"UK watchdog raises competition concern over part of Greencore\u2019s \u20ac1.38bn Bakkavor takeover \u2013 The Irish Times"},"content":{"rendered":"<p class=\"c-paragraph paywall b-it-article-body__text--left\">Concerns over lack of competition in the supply of chilled sauces could hold up <a href=\"https:\/\/www.irishtimes.com\/tags\/greencore\/\" target=\"_self\" rel=\"nofollow noopener\" title=\"https:\/\/www.irishtimes.com\/tags\/greencore\/\">Greencore<\/a>\u2019s planned \u00a31.2 billion (\u20ac1.38 billion) purchase of London-based peer Bakkavor.<\/p>\n<p class=\"c-paragraph paywall b-it-article-body__text--left\">The companies, which now have just a week to address the issues raised by the UK competition authority before a more in-depth phase two investigation of the proposed merger to the two convenience food giants is triggered, welcomed the announcement.<\/p>\n<p class=\"c-paragraph paywall b-it-article-body__text--left\">The <a href=\"https:\/\/www.irishtimes.com\/tags\/competition-and-markets-authority\/\" target=\"_self\" rel=\"nofollow noopener\" title=\"https:\/\/www.irishtimes.com\/tags\/competition-and-markets-authority\/\">Competition and Markets Authority<\/a> (CMA) said the deal has \u201ca realistic prospect of a substantial lessening of competition\u201d in the supply of own-label chilled sauces in the UK. Only two rivals \u2013 Two Sisters Food Group and Billington Foods \u2013 would provide \u201cmaterial\u201d competition, it said, adding they are both \u201cweaker\u201d.<\/p>\n<p class=\"c-paragraph paywall \">Dublin-headquartered convenience food group Greencore and rival Bakkavor noted in a statement that they were \u201cpleased\u201d the watchdog had not raised competition concerns \u201cin the vast majority of areas reviewed.\u201d<\/p>\n<p class=\"c-paragraph paywall \">This sales sector amounts to less than 1 per cent of the combined revenue of the two firms, they said. The companies said they will \u201cwork constructively\u201d with the competition authority to get the deal over the line. <\/p>\n<p class=\"c-paragraph paywall \">Analysts at RBC said remedies to CMA competition concerns tend to involve divestment by one or other party to the transaction of their interest in the business segment causing concern.<\/p>\n<p class=\"c-paragraph paywall \">Once the companies offer their remedies by November 3rd, the CMA will have five days to decide whether they go far enough. If approved, the companies would have 50 days to find a buyer and complete a transaction, a process that can be extended for a further 40 days.<\/p>\n<p class=\"c-paragraph paywall \">\u201cGiven there has been ongoing communication with the CAM throughout this process, we expect Greencore and Bakkavor have already identified a potential remedy and are ready to move forward with further discussions with the CMA,\u201d wrote RBC analysts Tania Maciver and Ben Pfannes-Varrow.<\/p>\n<p class=\"c-paragraph paywall \">The CMA also examined the potential impact of the deal on the supply of own-label Italian chilled ready meals and own-label salads but did not raise concerns.<\/p>\n<p class=\"c-paragraph paywall \">Dalton Philips, the chief executive of Greencore described the CMA process has \u201cconstructive\u201d. He said the decision was a \u201cwelcome one\u201d, noting that it confirmed \u201chighly complementary nature of our businesses\u201d.<\/p>\n<p class=\"c-paragraph paywall \">Mr Philips said the company is working with the competition authority and Bakkavor \u201cto complete the Bakkavor transaction early next year\u201d.<\/p>\n<p class=\"c-paragraph paywall \">\u201cI\u2019m genuinely excited about what 2026 has in store as we bring these two great businesses together to create a true UK national food champion to deliver high-quality, innovative food to customers and consumers,\u201d he said.<\/p>\n<p class=\"c-paragraph paywall \">Bakkavor chief executive Mike Edwards said the CMA decision was \u201cpositive news\u201d which would allow the companies to \u201ccollectively work at pace and stay on track to complete the transaction in early 2026\u2033.<\/p>\n<p class=\"c-paragraph paywall \">Greencore secured backing from Bakkavor\u2019s board for a \u00a31.2 billion purchase of its London-based peer in April.
