{"id":149343,"date":"2025-10-28T10:11:08","date_gmt":"2025-10-28T10:11:08","guid":{"rendered":"https:\/\/www.europesays.com\/ie\/149343\/"},"modified":"2025-10-28T10:11:08","modified_gmt":"2025-10-28T10:11:08","slug":"three-irish-billionaires-to-share-most-of-e5-9bn-deal-for-uk-nursing-homes-business-the-irish-times","status":"publish","type":"post","link":"https:\/\/www.europesays.com\/ie\/149343\/","title":{"rendered":"Three Irish billionaires to share most of \u20ac5.9bn deal for UK nursing homes business \u2013 The Irish Times"},"content":{"rendered":"<p class=\"c-paragraph paywall b-it-article-body__text--left\">US healthcare property group Welltower has confirmed that it is acquiring the portfolio of the Barchester Healthcare nursing home group mainly owned by Irish billionaires <a href=\"https:\/\/www.irishtimes.com\/tags\/jp-mcmanus\" rel=\"nofollow noopener\" title=\"https:\/\/www.irishtimes.com\/tags\/jp-mcmanus\" target=\"_blank\">JP McManus<\/a>, <a href=\"https:\/\/www.irishtimes.com\/tags\/dermot-desmond\" rel=\"nofollow noopener\" title=\"https:\/\/www.irishtimes.com\/tags\/dermot-desmond\" target=\"_blank\">Dermot Desmond<\/a> and <a href=\"https:\/\/www.irishtimes.com\/tags\/john-magnier\" rel=\"nofollow noopener\" title=\"https:\/\/www.irishtimes.com\/tags\/john-magnier\" target=\"_blank\">John Magnier<\/a> for \u00a35.2 billion (\u20ac5.96 billion). <\/p>\n<p class=\"c-paragraph paywall \">As part of the transaction, Welltower has formed an exclusive long-term partnership with Barchester, which is considered to be among the best performing operators in the UK, the New York-listed company said in a statement. <\/p>\n<p class=\"c-paragraph paywall \">The portfolio comprises 263 homes, with 111 managed on a type of contract where the owner of the property shares the operating income from the underlying homes, and a further 152 so-called triple-net lease properties, where the operator pays the lease and any operating expenses. A further 21 homes are being developed. <\/p>\n<p class=\"c-paragraph paywall \">It is not clear whether the Irish trio will remain owners of the operating company. <\/p>\n<p class=\"c-paragraph paywall \">The Barchester group is essentially made up of two companies owned by common shareholders: the operating company, Barchester Healthcare; and a company that owns the underlying homes, Limecay Ltd. <\/p>\n<p class=\"c-paragraph b-it-article-body__interstitial-link\">[\u00a0<a aria-label=\"Open related story\" class=\"c-link\" href=\"https:\/\/www.irishtimes.com\/business\/2025\/10\/06\/irish-owned-barchester-healthcare-sees-profits-jump\/\" rel=\"noreferrer nofollow noopener\" target=\"_blank\">Irish owned Barchester Healthcare sees profits jumpOpens in new window<\/a>\u00a0]<\/p>\n<p class=\"c-paragraph paywall \">The value of the deal is much higher than the expected figure of north of \u00a34 billion, reported last week. <\/p>\n<p class=\"c-paragraph paywall \">Welltower said it believes that the deal \u201chas significant long-term growth potential\u201d for the US group. <\/p>\n<p class=\"c-paragraph paywall \">\u201cThe operating portfolio, comprised of both stabilised and lease up properties, is positioned for significant future growth with current blended portfolio occupancy in the high 70 per cents,\u201d it said. <\/p>\n<p class=\"c-paragraph paywall \">\u201cMoreover, the triple-net lease is structured with 3.5 per cent annual escalators and a coverage-based rent reset every five years at Welltower\u2019s election.\u201d<\/p>\n<p class=\"c-paragraph paywall \">\u201cThrough our strategic partnership with Welltower and their significant and ongoing investment into their operating platform, we expect to continue to meaningfully enhance the lives of thousands of older adults,\u201d said Dr Pete Calveley, Barchester\u2019s chief executive. <\/p>\n<p class=\"c-paragraph paywall \">Barchester and Limecay each have little underlying debt when intergroup loans are stripped out.<\/p>\n<p class=\"c-paragraph paywall \">Barchester owed \u00a3103.6 million to related parties and had \u00a3366.4 million of external loans at the end of last year, according to its latest accounts filed recently with Companies House, London.<\/p>\n<p class=\"c-paragraph paywall \">Limecay has \u00a31.09 billion of loan notes issued to its parent company in the British Virgin Islands. These are due for repayment at the end of 2027, its most recent accounts state. Loan notes can be a tax-efficient way to structure investments. Limecay\u2019s property portfolio had a gross value of \u00a31.91 billion at the end of December.<\/p>\n<p class=\"c-paragraph paywall \">Barchester and the related properties came close to being sold six years ago to Macquarie for \u00a32.5 billion before the Australian financial services giant pulled out of the deal, blaming uncertainty caused by Brexit. <\/p>\n<p class=\"c-paragraph paywall \">Welltower was also among runners and riders in that abandoned sales process.<\/p>\n<p class=\"c-paragraph paywall \">The Irish tycoons invested in Barchester in 1994, a little over a year after the business was set up by British entrepreneur Mike Parsons.
