{"id":634789,"date":"2026-08-13T10:05:21","date_gmt":"2026-08-13T10:05:21","guid":{"rendered":"https:\/\/www.europesays.com\/ie\/634789\/"},"modified":"2026-08-13T10:05:21","modified_gmt":"2026-08-13T10:05:21","slug":"major-icg-shareholders-oppose-e1-2bn-management-buyout-as-undervaluing-group-the-irish-times","status":"publish","type":"post","link":"https:\/\/www.europesays.com\/ie\/634789\/","title":{"rendered":"Major ICG shareholders oppose \u20ac1.2bn management buyout as undervaluing group \u2013 The Irish Times"},"content":{"rendered":"<p class=\"c-paragraph paywall \">A number of big shareholders in <a href=\"https:\/\/www.irishtimes.com\/tags\/irish-continental\/\" target=\"_self\" rel=\"nofollow noopener\" title=\"https:\/\/www.irishtimes.com\/tags\/irish-continental\/\">Irish Continental Group<\/a> (ICG) are opposing the planned sale of the <a href=\"https:\/\/www.irishtimes.com\/tags\/irish-ferries\/\" target=\"_self\" rel=\"nofollow noopener\" title=\"https:\/\/www.irishtimes.com\/tags\/irish-ferries\/\">ferries operator<\/a> to management, led by chief executive <a href=\"https:\/\/www.irishtimes.com\/tags\/eamonn-rothwell\/\" target=\"_self\" rel=\"nofollow noopener\" title=\"https:\/\/www.irishtimes.com\/tags\/eamonn-rothwell\/\">Eamonn Rothwell<\/a>, arguing that the \u20ac1.2 billion deal announced late last month undervalues the business. <\/p>\n<p class=\"c-paragraph paywall \">The investors, who include Marathon Asset Management which has a 4.1 per cent stake in ICG, 2.1 per cent shareholder Janus Henderson and Irish businessman Nick Furlong\u2019s Pageant Investments, which holds about 2 per cent of the stock, are understood to have written to the company on Wednesday voicing their objections to the value of the deal, according to sources. <\/p>\n<p class=\"c-paragraph paywall \">Equus Global, which has an almost 1.3 per cent interest in ICG and Oxy Capital, with a 1.4 per cent stake, are also known to be among the signatories. However, each is acting independently and the investors have stated they are not acting in concert. Together they own almost 11 per cent of the business. <\/p>\n<p class=\"c-paragraph paywall \">The bid by Rothwell (71), who owns 21.7 per cent of the business, and other senior managers, who hold a further 2 per cent of the stock, comes 19 years after a previous failed attempt by the long-standing chief executive to lead a management buyout. <\/p>\n<p class=\"c-paragraph paywall \">The \u20ac8-a-share offer represented a 28.2 per cent premium to the closing price of ICG\u2019s stock on July 24th, an hour and a half before the bid was announced. <\/p>\n<p class=\"c-paragraph paywall \">ICG said in its announcement that it put an enterprise value \u2013 including debt and equity \u2013 of 9.8 times the group\u2019s earnings before interest, tax, depreciation and amortisation (Ebitda) for 2025. <\/p>\n<p class=\"c-paragraph paywall \">However, some minority shareholders highlighted that the Ebitda level was affected last year by some disruption on its principal route between Dublin and Holyhead \u2013 and argue that it does not reflect the full benefits of a capacity-sharing agreement with peer P&amp;O on the Dover to Calais route. <\/p>\n<p class=\"c-paragraph paywall \">They also say that ICG\u2019s net debt of \u20ac256 million at the end of 2025 represented a peak level of borrowings, as it had just acquired its previously leased James Joyce ferry, the largest passenger cruise vessel operating on the Irish Sea, and prepared for a final payment two months ago on its Oscar Wilde, to give it full ownership of its ferry fleet. <\/p>\n<p class=\"c-paragraph paywall \">It is estimated that ICG\u2019s net debt was on track to fall rapidly from the end of 2025. <\/p>\n<p class=\"c-paragraph paywall \">Some investors are also known to be disappointed that shareholders \u2013 other than members of the management buyout team \u2013 are not being given an opportunity to roll their equity into the bid vehicle. <\/p>\n<p class=\"c-paragraph paywall \">Others are concerned that the extraordinary general meeting (EGM) to seek shareholder backing for the deal is set to take place on August 28th, a little over a month after the deal was first announced \u2013 with many investors likely to be unable to give the bid their full attention in the meantime as they are on vacation. <\/p>\n<p class=\"c-paragraph paywall \">Dissent among minority shareholders in ICG echoes discontent among some shareholders in PTSB and DCC, which are also currently under offer. <\/p>\n<p class=\"c-paragraph paywall \"><a href=\"https:\/\/eur01.safelinks.protection.outlook.com\/?url=https%3A%2F%2Fwww.irishtimes.com%2Ftags%2Fptsb%2F&amp;data=05%7C02%7CDominic.Coyle%40irishtimes.com%7C62965e6057fe4900bece08def8954a8f%7Ce6c8e7dc529047f68b07209934781091%7C0%7C0%7C639221517244003267%7CUnknown%7CTWFpbGZsb3d8eyJFbXB0eU1hcGkiOnRydWUsIlYiOiIwLjAuMDAwMCIsIlAiOiJXaW4zMiIsIkFOIjoiTWFpbCIsIldUIjoyfQ%3D%3D%7C0%7C%7C%7C&amp;sdata=RD7M4UrOvw6RXx7j3oZc3000vUzDjsWLfsT0iQkl3VY%3D&amp;reserved=0\" rel=\"nofollow noopener\" title=\"https:\/\/www.irishtimes.com\/tags\/ptsb\/\" target=\"_blank\">PTSB<\/a> secured backing from 91.3 per cent of shareholders last month for its takeover by Austria\u2019s <a href=\"https:\/\/eur01.safelinks.protection.outlook.com\/?url=https%3A%2F%2Fwww.irishtimes.com%2Ftags%2Fbawag%2F&amp;data=05%7C02%7CDominic.Coyle%40irishtimes.com%7C62965e6057fe4900bece08def8954a8f%7Ce6c8e7dc529047f68b07209934781091%7C0%7C0%7C639221517244026381%7CUnknown%7CTWFpbGZsb3d8eyJFbXB0eU1hcGkiOnRydWUsIlYiOiIwLjAuMDAwMCIsIlAiOiJXaW4zMiIsIkFOIjoiTWFpbCIsIldUIjoyfQ%3D%3D%7C0%7C%7C%7C&amp;sdata=aYga0VnPEblkHNd2cVslSUO%2Bw%2FjGEXP6w121jx7ZGok%3D&amp;reserved=0\" rel=\"nofollow noopener\" title=\"https:\/\/www.irishtimes.com\/tags\/bawag\/\" target=\"_blank\">Bawag<\/a> at an EGM. <\/p>\n<p class=\"c-paragraph paywall \">Uncertainty remains nevertheless over whether a separate count of minority shareholders will be required to approve the deal after the Government\u2019s 57.5 per cent stake drove the overall result. <\/p>\n<p class=\"c-paragraph paywall \">Some 36 per cent of minority investors voted against the transaction at the EGM.
