Two of Canada\u2019s largest pension funds own significant stakes in the company. <\/p>\n<p class=\"c-article-body__text text-pr-5\">The Caisse de d\u00e9p\u00f4t et placement du Qu\u00e9bec, the Montreal-based pension fund that manages $552-billion, is FNZ\u2019s largest shareholder and invested early in the startup in 2018.<\/p>\n<p class=\"c-article-body__text text-pr-5\">The Canada Pension Plan Investment Board (CPPIB), the country\u2019s largest pension fund with $864-billion of assets, invested US$1.1-billion in FNZ in 2022.<\/p>\n<p class=\"c-article-body__text text-pr-5\">Since then, the company, which was founded in 2003<b> <\/b>in Wellington, New Zealand has run into significant challenges that include <a href=\"https:\/\/www.theglobeandmail.com\/business\/article-caisse-cppib-pension-funds-fnz-group-software-round-equity\/\" target=\"_self\" rel=\"nofollow noopener\" title=\"https:\/\/www.theglobeandmail.com\/business\/article-caisse-cppib-pension-funds-fnz-group-software-round-equity\/\">a lawsuit from minority shareholders<\/a> and rising financial losses that FNZ incurred as it expanded rapidly into Europe, North America and Asia.<\/p>\n<p class=\"c-article-body__text mv-16 l-inset text-pb-8\" data-sophi-feature=\"interstitial\"><a href=\"https:\/\/www.theglobeandmail.com\/business\/article-software-company-fnz-and-canadian-pension-funds-caught-in-legal\/\" rel=\"nofollow noopener\" target=\"_blank\">Software company FNZ and Canadian pension funds caught in legal dispute as shareholders claim unfair treatment<\/a><\/p>\n<p class=\"c-article-body__text text-pr-5\">The<b> <\/b>overhauled board with several new directors has a mandate to revamp the company\u2019s business model to bring it \u201cto a more sustainable, more mature level,\u201d Caisse chief executive officer Charles Emond said in a recent interview. <\/p>\n<p class=\"c-article-body__text text-pr-5\">FNZ has a \u201cgreat product\u201d but also a high \u201ccash burn rate\u201d that needs to be reined in, he said. <\/p>\n<p class=\"c-article-body__text text-pr-5\">Earlier this month, FNZ swapped its board chair, appointing Stephen Welch and citing his experience working with regulated financial services businesses in Britain. Previous chair Gregor Stewart is staying on the board as chair of its risk committee.<\/p>\n<p class=\"c-article-body__text text-pr-5\">Five of the company\u2019s 14 directors were replaced previously, including two board seats controlled by the Caisse. As of July, new appointees include Justin Shaw, an operating partner in the Caisse\u2019s private equity division, and<b> <\/b>Denis Turcotte, managing partner of<b> <\/b>Brookfield Asset Management Ltd.<\/p>\n<p class=\"c-article-body__text text-pr-5\">FNZ\u2019s chief financial officer, Aashish Kamat, left the company in July after a year-and-a-half in his role.<\/p>\n<p class=\"c-article-body__text text-pr-5\">The company reported a pre-tax loss of US$1.36-billion in 2025 \u2013 roughly double its loss in the previous year \u2013 even as revenue rose 9 per cent to US$1.13-billion, according to the company\u2019s most recent filings. <\/p>\n<p class=\"c-article-body__text text-pr-5\">\u201cWe brought in a new chair because we think, you know, there\u2019s a lot of challenges in that situation,\u201d Mr. Emond said. \u201cHe\u2019s just not a chair there for governance. He\u2019s really an executive chair that has experience as to how to assist us.\u201d<\/p>\n<p class=\"c-article-body__text text-pr-5\">Spokespeople for the Caisse and CPPIB declined to comment on the lawsuit against FNZ as it is before the court. A spokesperson for FNZ could not immediately be reached for comment. <\/p>\n<p class=\"c-article-body__text text-pr-5\">The minority shareholder group that is suing FNZ in a New Zealand court has criticized the company\u2019s leadership and its largest shareholders, alleging that employee morale is at a low ebb, based on internal engagement metrics. <\/p>\n<p class=\"c-article-body__text text-pr-5\">Instead of sticking to prior cost-cutting measures, FNZ raised billions of dollars and then ramped up its spending, only to now \u201cdo another U-turn and heavily reduce costs,\u201d FNZ co-founder Mike Stevens, a former employee who is part of the shareholder group suing the company, said in a news release. <\/p>\n<p class=\"c-article-body__text text-pr-5\">\u201cA number of things here simply don\u2019t add up,\u201d he said. <\/p>\n<p class=\"c-article-body__text text-pr-5\">The group alleged in the lawsuit that their ownership stakes <a href=\"https:\/\/www.theglobeandmail.com\/business\/article-software-company-fnz-and-canadian-pension-funds-caught-in-legal\/\" target=\"_self\" rel=\"nofollow noopener\" title=\"https:\/\/www.theglobeandmail.com\/business\/article-software-company-fnz-and-canadian-pension-funds-caught-in-legal\/\">were unfairly diluted<\/a> when the company raised new capital several times, starting in 2024, on terms that gave its largest investors preferential terms.<\/p>\n<p class=\"c-article-body__text text-pr-5\">The Caisse and CPPIB participated in those fundraising rounds, including a US$650-million equity injection that was undertaken after the lawsuit was filed. <\/p>\n<p class=\"c-article-body__text mv-16 l-inset text-pb-8\" data-sophi-feature=\"interstitial\"><a href=\"https:\/\/www.theglobeandmail.com\/business\/article-caisse-cppib-pension-funds-fnz-group-software-round-equity\/\" rel=\"nofollow noopener\" target=\"_blank\">Caisse and CPPIB increase investment in FNZ as software firm battles shareholders over dilution<\/a><\/p>\n<p class=\"c-article-body__text text-pr-5\">The minority shareholders are seeking US$4.6-billion in restitution.
