Discovery approved an $81 billion sale of the US company to Paramount Skydance on Thursday.<\/p>\n<p>While the deal still faces regulatory review, the megamerger would vastly reshape Hollywood and the wider media landscape, further consolidating power in an industry already run by just a handful of major players.<\/p>\n<p>The new merger would put CBS and CNN under the umbrella of two <a href=\"https:\/\/www.timesofisrael.com\/could-paramount-acquisition-of-cnn-shift-coverage-of-israel\/\" rel=\"nofollow noopener\" target=\"_blank\">business leaders with longstanding ties to Israel<\/a>: Larry Ellison and his son David. Their expanding media empire has alarmed liberal newsrooms, White House critics and anti-Zionist activists.<\/p>\n<p>Critics view the Ellisons as more conservative and friendly to the Trump administration and Israel than many legacy media outlets. The acquisitions have drawn criticism from groups like the\u00a0<a href=\"https:\/\/freedom.press\/issues\/more-news-holdings-for-paramount-harms-press-and-bottom-line\/\" target=\"_blank\" rel=\"noopener nofollow\">Freedom of the Press Foundation<\/a>.<\/p>\n<p>US President Donald Trump has been harshly critical of CNN coverage and backed the Ellisons, and US Defense Secretary Pete Hegseth has <a href=\"https:\/\/www.reuters.com\/business\/media-telecom\/pentagon-chief-says-hes-eager-trump-ally-buy-cnn-he-blasts-war-coverage-2026-03-13\/\" target=\"_blank\" rel=\"noopener nofollow\">supported<\/a>\u00a0the CNN acquisition.<\/p>\n<p>\n\t\t\tGet The Times of Israel&#8217;s Daily Edition<br \/>\n\t\t\tby email and never miss our top stories\n\t\t<\/p>\n<p>\t\t\t\tBy signing up, you agree to the <a href=\"https:\/\/www.timesofisrael.com\/terms\" rel=\"nofollow noopener\" target=\"_blank\">terms<\/a><\/p>\n<p>Oracle\u2019s Larry Ellison, who was raised in a Reform Jewish household, is a longtime supporter of Jewish and Israeli causes. Ellison is the world\u2019s wealthiest Jewish individual and one of the richest people alive, <a href=\"https:\/\/www.timesofisrael.com\/oracle-exec-larry-ellison-briefly-surpasses-elon-musk-as-richest-man-alive\/\" rel=\"nofollow noopener\" target=\"_blank\">briefly surpassing<\/a>\u00a0Tesla CEO Elon Musk last year.<\/p>\n<p>He has a record of\u00a0<a href=\"https:\/\/www.timesofisrael.com\/record-53-8-million-raised-for-idf-soldiers-at-beverly-hills-gala\/\" rel=\"nofollow noopener\" target=\"_blank\">pro-Israel philanthropy<\/a>\u00a0and\u00a0<a href=\"https:\/\/www.timesofisrael.com\/netanyahu-on-vacation-at-island-owned-by-larry-ellison-a-witness-in-graft-trial\/\" rel=\"nofollow noopener\" target=\"_blank\">ties<\/a>\u00a0to Prime Minister Benjamin Netanyahu.<\/p>\n<p>Oracle has also had business ties in Israel for more than 20 years. The company has hundreds of employees in Israel, built an\u00a0<a href=\"https:\/\/www.timesofisrael.com\/oracle-inaugurates-regional-cloud-center-in-jerusalem-plans-to-open-2nd-site\/\" rel=\"nofollow noopener\" target=\"_blank\">underground data center<\/a>\u00a0in Jerusalem for $319 million in 2021, and\u00a0<a href=\"https:\/\/www.timesofisrael.com\/tech-giants-from-google-to-oracle-condemn-horrific-hamas-attack-pledge-israel-aid\/\" rel=\"nofollow noopener\" target=\"_blank\">supported<\/a> Israeli first responders with fundraising after the October 7, 2023, Hamas attack.<\/p>\n<p>At the same time, it <a href=\"https:\/\/www.timesofisrael.com\/ellisons-oracle-poised-to-run-tiktok-raising-hopes-for-tougher-antisemitism-rules\/\" rel=\"nofollow noopener\" target=\"_blank\">owns a significant stake<\/a> in short-form video network TikTok\u2019s US business operations. (AP\/Julia Demaree Nikhinson)<\/p>\n<p>Skydance, run by David Ellison \u2014 the Oracle co-founder\u2019s son \u2014 also donated to Magen David Adom after the October 7 attack. \u201cSkydance stands with Israel,\u201d the company <a href=\"https:\/\/www.instagram.com\/p\/CyWzpIKJhwf\/?hl=en\" target=\"_blank\" rel=\"noopener nofollow\">said<\/a>\u00a0at the time.<\/p>\n<p>Paramount\u00a0<a href=\"https:\/\/variety.com\/2025\/film\/news\/paramount-condemns-israeli-film-boycott-1236516511\/\" target=\"_blank\" rel=\"noopener nofollow\">condemned<\/a> a Hollywood boycott of Israel last year, becoming the first major studio to push back, saying, \u201cSilencing individual creative artists based on their nationality does not promote better understanding or advance the cause of peace.\u201d<\/p>\n<p>Paramount has distributed several series or films related to the October 7 attack, including \u201cThe Children of October 7,\u201d \u201cWe Will Dance Again,\u201d and \u201c<a href=\"https:\/\/www.timesofisrael.com\/paramount-acquires-keshet-12s-red-alert-series-about-october-7\/\" rel=\"nofollow noopener\" target=\"_blank\">Red Alert<\/a>.\u201d<\/p>\n<p>News<\/p>\n<p>Under the merger, CNN would come under the same roof as Paramount-owned CBS. That would bring together two of America\u2019s biggest names in television news, although whether CNN would continue to operate as a separate brand from CBS is yet to be confirmed.<\/p>\n<p>Regardless, there is a lot of anxiety about Paramount taking control of CNN \u2014 a network that has long attracted ire from Trump and his allies. Critics point to Trump\u2019s close relationship with the Ellison family, and to alleged bias by the new editor-in-chief of CBS News, Bari Weiss.<\/p>\n<p>Weiss became the network\u2019s editor after Skydance acquired The Free Press, a news outlet she founded that presents itself as a centrist and independent alternative to the liberal-leaning mainstream media, has been critical of the media\u2019s Israel coverage, and often reports on antisemitism.<\/p>\n<p>\t<a href=\"https:\/\/static-cdn.toi-media.com\/www\/uploads\/2025\/10\/AFP__20241202__2187869220__v2__HighRes__BookClubEventWithPeggyNoonan-e1759757559586.jpg\" rel=\"nofollow noopener\" target=\"_blank\"><img loading=\"lazy\" decoding=\"async\" class=\"size-large wp-image-3657965\" src=\"https:\/\/www.europesays.com\/iran\/wp-content\/uploads\/2026\/04\/AFP__20241202__2187869220__v2__HighRes__BookClubEventWithPeggyNoonan-e1759757559586-640x400.jpg\" alt=\"\" width=\"600\" height=\"375\"\/><\/a><br \/>\n\t\tJournalist Bari Weiss speaks onstage during a Book Club event with author Peggy Noonan (not in picture) in New York on November 19, 2024. (Noam Galai\/Getty Images for The Free Press\/AFP)<\/p>\n<p>CBS has continued to publish\u00a0<a href=\"https:\/\/www.cbsnews.com\/news\/israeli-gaza-war-strikes-despite-us-ceasefire-kill-infants-hospitals-say\/?intcid=CNM-00-10abd1h\" target=\"_blank\" rel=\"noopener nofollow\">articles<\/a> containing criticism of Israel since Weiss stepped in, drawing <a href=\"https:\/\/www.camera.org\/article\/cbs-journalistic-failures-on-journalists-killed-in-gaza\/\" target=\"_blank\" rel=\"noopener nofollow\">criticism<\/a> from pro-Israel media watchdog activists. Jacki Alexander, the head of HonestReporting, a nonprofit that monitors media for anti-Israel bias, also said recently that CBS had not significantly changed its coverage of Israel since Weiss became its editor in chief.<\/p>\n<p>Some officials in the Trump administration have made their support of CNN\u2019s future ownership clear. In March, the White House attacked CNN for its coverage of the US and Israel\u2019s war against Iran \u2014 and Secretary of Defense Pete Hegseth told reporters that \u201cthe sooner David Ellison takes over that network, the better.\u201d<\/p>\n<p>Ellison has said that editorial independence \u201cwill absolutely be maintained\u201d under Paramount ownership. \u201cIt\u2019s maintained at CBS. It\u2019ll be maintained at CNN,\u201d Ellison told CNBC\u2019s \u201cSquawk on the Street\u201d in March, while noting that his company wants to speak to \u201cthe 70%\u201d of viewers who he said identify as center-left or center-right.<\/p>\n<p>Streaming<\/p>\n<p>Paramount Skydance would own both Paramount+ and, with the sale approved by shareholders Thursday, Warner\u2019s HBO Max. Executives have said that they would combine these streamers into one platform.<\/p>\n<p>What that combined service would look like (or be named) is unclear. But David Ellison suggested that HBO could still have some level of independence, at least production-wise.<\/p>\n<p>\u201cOur viewpoint is, HBO should stay HBO,\u201d Ellison said during a conference call last month. \u201cThey built a phenomenal brand, they are a leader in this space and we just want them to continue doing more of it. (AP\/Chris Pizzello)<\/p>\n<p>Warner and its HBO streaming platform have a powerful lineup that includes \u201cThe Pitt,\u201d \u201cGame of Thrones\u201d and \u201cSex and the City.\u201d And beyond \u201cHarry Potter,\u201d Warner\u2019s library lists blockbuster films such as \u201cSinners,\u201d \u201cBarbie\u201d and \u201cSuperman\u201d (the company also owns DC Studios). Titles like \u201cTop Gun,\u201d \u201cTitanic,\u201d \u201cThe Godfather\u201d and \u201cYellowstone\u201d fill Paramount\u2019s catalog.<\/p>\n<p>In the US, according to streaming guide JustWatch, HBO Max controlled about 12 percent of on-demand subscriptions in the first quarter of this year \u2014 compared to 3% for Paramount+. Combining those two services would still fall slightly below Prime Video\u2019s 17% market share and the 19% of the market commanded by Netflix. Disney owns about 27% of the market between Hulu and Disney+.<\/p>\n<p>Beyond HBO Max, Paramount would also acquire Warner\u2019s smaller Discovery+ streamer. And apart from Paramount+, Paramount owns Pluto TV and BET+, too.<\/p>\n<p>Critics are skeptical of the consumer benefits touted by Paramount. While company executives have continued to laud larger content libraries and the potential for Paramount to better compete with bigger rivals, a combination with Warner Bros. would mean fewer platform choices when it comes to streaming overall. Critics warn that this could actually mean higher prices at a time when the price of almost all subscriptions continues to tick higher.<\/p>\n<p>Moviemaking and theatrical releases<\/p>\n<p>Paramount and Warner Bros. are two of Hollywood\u2019s oldest studios. A merger would mean fewer companies control legacy film production.<\/p>\n<p>Ellison has said he wants the combined company to grow a slate to more than 30 movies a year, keeping Paramount and Warner Bros. as stand-alone operations. And in a star-studded CinemaCon appearance last week, he promised a 45-day exclusive window for films in theaters, pledging a \u201ccomplete commitment\u201d to the industry.<\/p>\n<p>Still, others are wary about what further consolidation could mean for jobs and which projects are greenlit down the road. Regulatory filings have indicated that the new ownership will be looking for ways to cut costs, including layoffs and downsizing some overlapping operations. The studio racked up 30 Oscar nominations thanks to \u201cSinners,\u201d \u201cWeapons,\u201d and \u201cOne Battle After Another\u201d (which took home the Oscar for best picture). Paramount received zero. And in 2025, Warner Bros. movies \u2014 including \u201cA Minecraft Movie,\u201d \u201cSuperman\u201d and \u201cSinners\u201d \u2014 accounted for 21% of the domestic box office. Paramount\u2019s market share was only 6%, driven largely by \u201cMission: Impossible \u2014 The Final Reckoning.\u201d<\/p>\n<p>The industry has already experienced a sizeable consolidation. Almost 10 years ago, Hollywood\u2019s big six became the big five when Disney bought most of 20th Century Fox. If the Warner sale goes through, a new \u201cbig four\u201d era would be underway \u2014 with a bigger Paramount standing alongside Disney, Universal and Sony.<\/p>\n<p>The acting head of the US Justice Department\u2019s antitrust division has also said that its regulatory review will not be political. Still, critics are skeptical \u2014 particularly following Skydance\u2019s acquisition of Paramount. That merger was approved by the Federal Communications Commission just weeks after the company agreed to pay Trump $16 million to settle a lawsuit over editing at CBS\u2019s \u201c60 Minutes\u201d program. The president has continued to publicly lash out at \u201c60 Minutes\u201d programming since.<\/p>\n<p>Other TV and cable networks<\/p>\n<p>CNN is just one of the cable operations that Warner is selling. And the proposed merger would make Paramount\u2019s TV footprint even bigger.<\/p>\n<p>The company also owns Discovery, TNT, TBS, Food Network, Cartoon Network and Animal Planet, among other networks \u2014 all of which would come under Paramount ownership if the deal goes through. Meanwhile, Paramount already has its own sizeable broadcast lineup. Beyond CBS, that includes Nickelodeon, MTV, BET, Comedy Central, Showtime and more.<\/p>\n<p>\t\t\t\t<script async src=\"\/\/www.instagram.com\/embed.js\"><\/script><\/p>\n","protected":false},"excerpt":{"rendered":"NEW YORK \u2014 Shareholders of Warner Bros.
