Their aim is to shore up market share across regions and offer more products to savings-rich Italians, while streamlining operations by closing extra branches and combining systems.  <\/p>\n<p class=\"text text-block paragraph text-left neo-font-paragraph-xl-reg  yf-18d6y07\" style=\"text-decoration: none; font-style: normal; text-transform: none; text-align: inherit; font-variant-numeric: normal;\">Monte dei Paschi said it wants to create a business with capabilities across banking, advisory and wealth management, with more than \u20ac810 billion in total financial assets. These include the French bank Cr\u00e9dit Agricole, which owns almost 30% of Banco BPM, and Italian insurer Assicurazioni Generali, the majority owner of Banca Generali.  <\/p>\n<p class=\"text text-block paragraph text-left neo-font-paragraph-xl-reg  yf-18d6y07\" style=\"text-decoration: none; font-style: normal; text-transform: none; text-align: inherit; font-variant-numeric: normal;\">The bank sees projected annual run-rate synergies of around \u20ac2.6 billion. It is offering 6.958 of its shares for each Banca Generali share.  <\/p>\n<p class=\"text text-block paragraph text-left neo-font-paragraph-xl-reg  yf-18d6y07\" style=\"text-decoration: none; font-style: normal; text-transform: none; text-align: inherit; font-variant-numeric: normal;\">The offers value Banco BPM at \u20ac25.3 billion and Banca Generali at \u20ac8.72 billion for a total of \u20ac34.02 billion. Monte dei Paschi said the Banco BPM price implies a combination of equals at market, while the Banca Generali offer represents a 10% premium to the bank&#8217;s closing price on Wednesday.  <\/p>\n<p class=\"text text-block paragraph text-left neo-font-paragraph-xl-reg  yf-18d6y07\" style=\"text-decoration: none; font-style: normal; text-transform: none; text-align: inherit; font-variant-numeric: normal;\">Monte dei Paschi said it would distribute \u20ac4 billion to shareholders as an extraordinary distribution, to be paid with \u20ac1 billion in cash and \u20ac3 billion in Assicurazioni Generali shares.
