U.S. memory technology and patent powerhouse Netlist (NLST) announced a five-year strategic alliance with South Korea’s Samsung Electronics, spanning patent portfolio cross-licensing, memory product supply, and technology collaboration. The deal not only ends past litigation disputes between the two parties but also includes Samsung directly subscribing for up to 10 million shares of Netlist common stock, deeply binding the two companies’ future development in the artificial intelligence (AI) memory sector.

Netlist CEO C.K. Hong stated in the announcement: “We are pleased to renew this partnership and look forward to working closely with Samsung. These strategic agreements reflect a shared commitment to innovation in AI memory and validate the value of Netlist’s intellectual property.”

Under the terms of the agreement, Samsung will gain access to Netlist’s complete patent portfolio, which covers key technologies including server DIMM (Dual In-line Memory Module) and High Bandwidth Memory (HBM). Concurrently, Samsung will supply DRAM and NAND flash memory products to Netlist, ensuring the company has a secure source of components for next-generation memory solutions. Both parties also agreed to settle and mutually dismiss all pending legal disputes, completely clearing the legal landmines previously triggered by patent infringement issues.

The most closely watched aspect of this alliance by the market is the equity investment. Accompanying the memory product supply agreement, Samsung will purchase 10 million shares of Netlist common stock. This move not only injects capital into Netlist but also symbolizes Samsung’s endorsement of its technology value. Netlist has disclosed the relevant transaction details in an 8-K report filed with the U.S. Securities and Exchange Commission (SEC).

Netlist has long been engaged in litigation battles with tech giants such as Samsung, Micron, and Google over patent infringement issues. Turning a former adversary into an ally and securing a direct equity investment from Samsung is being interpreted by the market as a major breakthrough in its patent monetization strategy. Netlist has long been deeply engaged in high-performance memory module technology, and its inventions are considered foundational to advancing AI computing. Through this alliance, Netlist will be able to focus more on technology development, while Samsung can strengthen its positioning in the server and AI memory market by obtaining key patent licenses.
