LG Chem (051910.KS) will send an independent director to its first overseas governance non-deal roadshow (NDR), aiming to expand direct communication between its board and shareholders as part of efforts to improve corporate governance.

The company said independent director Lee Young-han will take part in the overseas governance NDR held on the 13th in Hong Kong and Singapore for global institutional investors. It marks the first time an LG Chem independent director has joined an NDR directly.

Unlike previous roadshows aimed at sharing business strategy or operating results, this NDR focuses on governance topics, including how the board operates, changes under the revised Commercial Act and the activities of the compensation committee. Most of the investor participants are stewardship officers.

Lee was newly appointed as a separately elected audit committee member at LG Chem in March 2024 and currently serves as chair of the audit committee. Lee is a professor in the tax department and dean of the College of Liberal Arts and Convergence Studies at the University of Seoul, and an expert in accounting, tax and finance with policy and advisory experience at the National Tax Service, the Financial Services Commission and the Korea Exchange.

Lee will meet with global institutional investors to share the results of the recent shareholders’ meeting and the status and plans for advancing governance. Through these meetings, the company plans to gather a range of shareholder views and build broader consensus on its governance structure and measures to enhance corporate and shareholder value.

“I will carry out an independent and responsible role by continuously expanding constructive communication with investors, listening to diverse opinions and ensuring that shareholders’ voices are faithfully reflected in the board’s decision-making process,” Lee said.

LG Chem appointed independent director Cho Hwa-soon as chair of the board in February this year, separating the roles of chief executive and board chair to further strengthen the board’s independence and management transparency. The company is also actively pursuing governance improvements, including establishing a system to report the views of domestic and overseas investors and shareholders separately to the independent board each quarter.
