Samsung Biologics will make large-scale growth investments through a paid-in capital increase of KRW 3 trillion. This is to increase the production capacity of antibody drugs, which is the world’s largest, to 1385,000 liters, and to expand its business area to the peptide field through the acquisition of the polypeptide group. With the funds secured through this bequest, the company plans to expand its production capacity, portfolio, and global base at the same time to solidify its leading position in the consignment development production (CDMO) market.
On the 28th, Samsung Biologics held a board meeting and announced that it had decided to raise the capital by a total of KRW 3.9 trillion. The number of shares to be issued is 2.27 million, which is 4.904% of the existing issued shares. At this point, the planned issuance price is 1.32 million won per share, 17% lower than the previous day’s closing price of 1.594 million won. Most of the financing goes into mergers and acquisitions (M&A). About 90% of the total procurement, or 2.706.2 trillion won, will be spent on the acquisition of global peptide CDMO company Polypeptide Group, and the remaining 294.8 billion won will be allocated to the expansion of the second bio-campus in Songdo, Incheon. In July, Samsung Biologics decided to acquire Polypeptide Group for 1.46 billion Swiss francs (about 2.7 trillion won). This is the largest M&A in the domestic pharmaceutical and bio industries. If the acquisition is completed by the end of this year, the business area will be expanded to include existing antibody drugs, messenger ribonucleic acid (mRNA), and antibody drug conjugate (ADC).
With the remaining funds, the production capacity of antibody drugs will also be increased. Following the 5th plant completed last year at Songdo’s 2nd Bio Campus, 6~8 plants with a capacity of 180,000 liters will be constructed sequentially. The capital increase will be carried out in a general public offering method for real rights stocks after allocation of shareholders. However, Samsung Biologics’ stock price closed at 1,486,000 won on the same day, down 6.78% from the previous trading day, as concerns over dilution of shareholder value due to trillions of bequests were highlighted.
