The two companies also established a strategic partnership that includes a long-term memory supply agreement and an equity investment. (See this newspaper’s online article of March 30.)

Netlist said on the 5th that the two companies had agreed to drop all legal disputes and enter into a strategic alliance. Samsung Electronics (005930.KS) will first pay Netlist $239 million (about 340 billion won) in licensing fees. From the third quarter through the second quarter of 2031, over five years, Samsung will additionally pay up to $32.9 million (about 47 billion won) per quarter on a revenue-linked basis. Samsung will also make an equity investment, purchasing 10 million Netlist shares for $1 million (about 1.4 billion won).

Netlist will provide Samsung Electronics with technology licenses for five years related to server dual in-line memory modules (DIMM) and high-bandwidth memory (HBM), the technologies Netlist had claimed Samsung infringed. During this period, Netlist will also purchase Samsung’s DRAM and NAND products.

“We are very pleased to resume our partnership with Samsung Electronics and look forward to the two companies working closely together in the future,” Netlist CEO Chun Hong-ki said. “This strategic alliance demonstrates both companies’ shared commitment to innovation in artificial intelligence (AI) memory, while also validating the value of Netlist’s intellectual property (IP).”

Netlist filed a lawsuit in 2021, claiming Samsung Electronics had infringed on its memory-related technology patents. Samsung countered that the patents were invalid and that the two companies’ technologies were different. U.S. courts subsequently ruled against Samsung in 2023 and 2024, but many of the patents Netlist had asserted were later found invalid. Both companies appealed the rulings and continued multiple lawsuits.

Earlier this year, Samsung Electronics pushed back by submitting a response to the U.S. International Trade Commission (ITC), arguing that the patents were based on already-disclosed prior art and thus difficult to recognize as new inventions.

“The patent dispute between the two companies had been entering a prolonged phase as complex interests became entangled,” an industry official said. “It appears the two companies chose practical benefits by shifting from a legal battle to a cooperative relationship.”

Samsung Electronics logo.
