CEO Harold Rogers is selling approximately 4.5 billion won (approximately $3.2 million) worth of company stock to meet tax obligations. Rogers submitted a Form 144 to the U.S. Securities and Exchange Commission (SEC) detailing his plan to dispose of 192,110 shares of Class A common stock.<\/p>\n<p>Based on the per-share price listed in the filing, the total value of the planned sale amounts to $3,107,973 (approximately 4.5 billion won). Form 144 is a notice of proposed sale of securities that corporate insiders are required to file with the SEC before selling restricted stock above a certain threshold.<\/p>\n<p>According to Rogers&#8217; most recent SEC filings, he holds a total of 933,041 shares, meaning the planned sale represents roughly 20.6% of his total holdings. The shares being sold are Restricted Stock Units (RSUs) he acquired as performance-based compensation in 2025 and 2026.<\/p>\n<p>The sale is being executed under a pre-arranged Rule 10b5-1 trading plan. According to Coupang Inc.&#8217;s first-quarter consolidated earnings report, Rogers adopted a plan allowing him to dispose of up to 352,602 shares of Class A common stock for the purpose of paying taxes. The trading window for this plan runs from June 15 of this year through March 12 of next year.<\/p>\n<p>A Coupang Inc. representative explained that the plan was &#8220;established to fulfill specific tax obligations.&#8221; RSUs are structured such that they are considered income at the time the shares are actually delivered, triggering a significant tax liability. As a result, Rogers has sold a portion of his holdings each year to generate the funds needed to pay taxes. While this Form 144 does not explicitly state &#8220;tax payment&#8221; as the purpose\u2014unlike some past disclosures\u2014it is interpreted as a continuation of the existing plan.<\/p>\n<p>Meanwhile, Rogers received 269,588 performance stock units (PSUs) this February after meeting performance-linked conditions set for the 2022 to 2025 period. He was granted an additional 213,884 RSUs in April. These RSUs will vest in four equal quarterly installments beginning July 1, contingent on his continued employment with the company through each vesting date.<\/p>\n<p>On the same day, Coupang Inc. Chief Financial Officer Jonathan Lee also filed a notice of planned sale with the SEC for 5,519 shares of Class A common stock.
