Yonhap News<\/p>\n<p class=\"mb-4 text-[var(--color-text)] leading-relaxed\">The Financial Supervisory Service (FSS) said it will continue to demand revisions to Hanwha Solutions&#8217; securities registration statement unless the company provides sufficient information and makes adequate efforts to persuade investors regarding its trillion-won rights offering.<\/p>\n<p class=\"mb-4 text-[var(--color-text)] leading-relaxed\">Hwang Sun-oh, FSS Deputy Governor for Capital Markets and Accounting, held a briefing at the FSS headquarters in Yeouido, Seoul, on Tuesday. &#8220;When we determine that the securities registration statement fails to properly disclose information necessary for investment decisions, we have no choice but to keep demanding corrections,&#8221; he said.<\/p>\n<p class=\"mb-4 text-[var(--color-text)] leading-relaxed\">In April last year, during the rights offering by Hanwha Aerospace, another Hanwha Group affiliate, former FSS Governor Lee Bok-hyun stated that &#8220;if there are deficiencies, we will demand corrections to the securities registration statement as many times as necessary.&#8221; The current stance is seen as maintaining the same investor protection policy established when the agency introduced its focused review system for rights offerings.<\/p>\n<p class=\"mb-4 text-[var(--color-text)] leading-relaxed\">The FSS presented three key review points regarding Hanwha Solutions&#8217; rights offering. &#8220;The statement was insufficient in specifying what liquidity risks the company faces, whether there are truly no alternative funding methods other than the rights offering, and what specific grounds support the company&#8217;s projection that its earnings will improve significantly from current levels,&#8221; Hwang said.<\/p>\n<p class=\"mb-4 text-[var(--color-text)] leading-relaxed\">Hanwha Solutions initially filed a securities registration statement on March 26 for a 2.4 trillion won rights offering, but received its first correction demand from the FSS on April 9. The company submitted a revised statement on April 17, sharply reducing the offering size to 1.8 trillion won and supplementing the justification for the rights offering, but the FSS issued a second correction demand on April 30.<\/p>\n<p class=\"mb-4 text-[var(--color-text)] leading-relaxed\">Hanwha Solutions said, &#8220;We take the FSS&#8217;s second correction demand very seriously.
