The move aims to expand the ride-hailing company&#8217;s stage to global capital markets and win a fresh valuation, overcoming controversy over dual listing.<\/p>\n<p><img decoding=\"async\" src=\"https:\/\/www.europesays.com\/korea\/wp-content\/uploads\/2026\/08\/news-p.v1.20260223.f59b433e9c044a10829c51f778aedd76_P1.png\" alt=\"Kakao Mobility Board Approves U.S. ADR Listing as TPG Takes the Lead\" class=\"block w-auto h-auto max-h-[600px] max-w-full mx-auto border\" style=\"border-color:#e6e8eb\"\/>Camo CI. Camo<\/p>\n<p class=\"text-[16px] md:text-[17px] leading-[1.75] mt-5\" style=\"color:#333333;font-family:'Times New Roman', Times, serif\">Kakao Mobility set up a shareholder value committee within its board in the first half of this year and gave final approval to a detailed execution plan covering the costs and timeline of the ADR listing and a post-listing board reshuffle, according to investment banking sources on the 17th. Under a shareholders&#8217; agreement between Kakao, the largest shareholder, and the second-largest shareholder consortium, items cleared by the committee carry effectively the same force as a board resolution.<\/p>\n<p class=\"text-[16px] md:text-[17px] leading-[1.75] mt-5\" style=\"color:#333333;font-family:'Times New Roman', Times, serif\">Kakao Mobility had earlier selected global investment banks including Bank of America (BofA), Morgan Stanley and UBS as underwriters for the ADR listing. &#8220;Along with the selection of underwriters, they have formalized through the top decision-making body the various matters and budget spending involved in actually pursuing the ADR listing,&#8221; an investment banking source said.<\/p>\n<p class=\"text-[16px] md:text-[17px] leading-[1.75] mt-5\" style=\"color:#333333;font-family:'Times New Roman', Times, serif\">The committee that led the resolution is made up of three people: TPG Vice President Yoon Shin-won, who chairs it; TPG Director Son Seung-heon; and Chung Jong-wook, head of Kakao&#8217;s responsible management committee. With TPG holding a majority on the panel and taking the lead, some analysts say the company&#8217;s key decision-making authority has effectively passed to the second-largest shareholder and financial investor (FI). It is also read as a sign that the FI, which had until now watched the initial public offering (IPO) process from the sidelines, has confirmed within the Kakao group its intent to step in and resolve the matter directly from here on.<\/p>\n<p class=\"text-[16px] md:text-[17px] leading-[1.75] mt-5\" style=\"color:#333333;font-family:'Times New Roman', Times, serif\">The TPG consortium has invested about 640 billion won ($462 million) in Kakao Mobility since 2017 and holds a roughly 29% stake. The shareholders&#8217; agreement signed at the time is understood to include a clause stating that if an IPO falls through or is delayed within a certain period, TPG gains leading authority over the company&#8217;s overall management and over exit options. TPG appears to be drawing on this authority to set up the committee and lead the current ADR issuance.<\/p>\n<p class=\"text-[16px] md:text-[17px] leading-[1.75] mt-5\" style=\"color:#333333;font-family:'Times New Roman', Times, serif\">With the board hurdle now cleared, Kakao Mobility&#8217;s move to the United States is expected to gain further momentum. In particular, the company has begun preparing concrete measures to tackle head-on the dual-listing controversy that has been an obstacle at home. The committee is said to have delegated to an outside advisory firm the tasks of tracking dual-listing regulatory trends and reviewing legal risks. With financial authorities recently allowing, through guidelines, dual-listing rules to be applied to overseas exchange listings as well, the company has set out to build a case in response.<\/p>\n<p class=\"text-[16px] md:text-[17px] leading-[1.75] mt-5\" style=\"color:#333333;font-family:'Times New Roman', Times, serif\">Some analysts say there is room for Kakao Mobility&#8217;s ADR issuance not to fall under dual-listing regulation. Unlike a typical IPO that raises funds by issuing new shares, this ADR is largely a matter of using the existing FI&#8217;s old shares to replace the second-largest shareholder. Because no new shares are issued, existing shareholders&#8217; stakes are not diluted, and there is little concern of harming the value held by shareholders of parent company Kakao. Rather, observers say that if Kakao Mobility wins a high valuation after entering the U.S. market, it could serve as a catalyst to lift the company&#8217;s worth a notch higher.<\/p>\n<p class=\"text-[16px] md:text-[17px] leading-[1.75] mt-5\" style=\"color:#333333;font-family:'Times New Roman', Times, serif\">The board approval is also significant in that it resolves the structural and legal risks that TPG would have faced acting on its own. Current law requires the consent of the issuer of the underlying shares before overseas DRs can be issued.
