(006400.KS) will sell a portion of its stake in affiliate Samsung Display Co. back to the display panel maker for approximately 4.45 trillion won ($3.21 billion), a move aimed at securing capital for investments in future growth areas.<\/p>\n<p>The battery maker said in a regulatory filing on Friday that it will transfer 13.09 million shares in Samsung Display at 340,000 won apiece. Samsung Display plans to repurchase the shares as treasury stock, with the transaction scheduled to close on August 27. The final share count and total value could still be adjusted during the buyback process.<\/p>\n<p>After the deal, Samsung SDI will hold 26.77 million Samsung Display shares, representing a 10.22 percent stake, down from roughly 15.2 percent before the transaction, according to the company&#8217;s disclosure to the Financial Supervisory Service.<\/p>\n<p>Samsung SDI said the purpose of the equity transfer is to &#8220;secure investment resources for future growth engines.&#8221; The company has been expanding aggressively in the electric vehicle battery sector, building new plants in the United States and elsewhere as it competes with rivals such as LG Energy Solution and China&#8217;s CATL.<\/p>\n<p>The sale comes as Samsung SDI navigates a challenging period for battery demand. Global EV sales growth has moderated from the breakneck pace of recent years, prompting battery manufacturers to reassess capital expenditure plans. By monetizing a portion of its non-core holdings, Samsung SDI is strengthening its balance sheet while maintaining a meaningful stake in the display affiliate.<\/p>\n<p>Samsung Display, the world&#8217;s leading producer of OLED panels for smartphones and other devices, is not publicly traded. The buyback effectively consolidates ownership within the Samsung Group ecosystem, reducing cross-shareholding complexity among affiliates.<\/p>\n<p>The transaction underscores a broader trend among South Korean conglomerates to streamline ownership structures and unlock value from non-core assets. Samsung Group has been gradually simplifying its web of cross-holdings in recent years, partly in response to shareholder pressure for greater transparency and corporate governance improvements.<\/p>\n<p>For investors, the deal provides Samsung SDI with immediate liquidity without resorting to debt issuance or equity dilution. The company has substantial capital requirements ahead, including ongoing construction of battery plants in Indiana and other locations.<\/p>\n<p>Samsung SDI shares have been volatile this year amid uncertainty over the pace of EV adoption.
