Management also purchased a combined \u20a9500 million (approximately $360,000) worth of company stock as part of its commitment to responsible management.<\/p>\n<p>Kakao Games announced on the 24th that it held an extraordinary general shareholders&#8217; meeting at the Kakao AI Campus in Yongin, Gyeonggi Province, where two agenda items were approved as originally proposed: &#8220;Approval of Treasury Share Holding and Disposal Plan&#8221; and &#8220;Transfer of Capital Reserves to Retained Earnings for Deficit Recovery.&#8221; Both measures are part of the company&#8217;s long-term shareholder return strategy.<\/p>\n<p>With shareholder approval, Kakao Games will reduce its capital reserves by approximately \u20a91.54 trillion to cover accumulated deficits and transfer the remainder to retained earnings. The company plans to establish mid- to long-term shareholder return policies\u2014including dividends and treasury share buybacks and cancellations\u2014based on future business performance and cash flow considerations.<\/p>\n<p>Kakao Games previously cancelled 500,000 treasury shares in July. The remaining approximately 350,000 treasury shares will be used to fund Restricted Stock Units (RSUs) for employees. RSUs are a long-term compensation mechanism that grants shares to employees who meet tenure requirements or achieve performance targets set by the company.<\/p>\n<p>The company intends to design its RSU program around conditions tied to mid- to long-term business performance, corporate value, and shareholder value. Details such as grant recipients, share quantities, performance conditions, and vesting schedules will be determined by the board of directors at a later date. Since the program does not involve issuing new shares, the total number of outstanding shares will remain unchanged; however, treasury shares granted to employees will regain voting and dividend rights, effectively increasing the number of shares in circulation.<\/p>\n<p>Management has also stepped up to demonstrate its commitment to shareholder value. Co-CEOs Kim Tae-hwan and Lee Si-woo, along with CFO Shin Kwon-ho, purchased a combined total of approximately \u20a9500 million worth of company stock. Following these purchases, CEO Kim Tae-hwan now holds 16,793 shares, while CEO Lee Si-woo holds 23,358 shares.<\/p>\n<p>CEO Lee Si-woo stated, &#8220;We will continue to pursue shareholder return policies from a mid- to long-term perspective, promoting the shared growth of shareholder value and corporate value.&#8221;<\/p>\n<p>Kakao Games&#8217; decision aligns with the broader trend of strengthening shareholder returns that has been spreading across South Korea&#8217;s gaming industry. Transferring capital reserves to retained earnings is an accounting measure that expands distributable reserves without actual cash outflow, making it a preferred approach among companies seeking to enhance their dividend capacity.<\/p>\n<p>However, this measure does not immediately translate into dividends or share buybacks. The company has indicated it will determine the specific scale and timing of shareholder returns based on business performance and cash flow.
