The tender offer price was set 50% above the previous trading day&#8217;s close, prompting a flood of buy orders from investors.<\/p>\n<p>According to the Korea Exchange on the 31st, TKG Aikang was trading at \u20a9780 (approximately $0.57), up \u20a9180 (approximately $0.13), or 30.00%, from the previous session as of the morning. This represents the upper limit of the KOSDAQ Market&#8217;s daily price band.<\/p>\n<p>The direct catalyst was a regulatory filing released before market open. Largest shareholder TKG Taekwang announced it would tender for 16,076,041 shares\u2014equivalent to 31.04% of TKG Aikang&#8217;s total outstanding shares\u2014at \u20a9900 per share (approximately $0.65), with the goal of voluntarily delisting the company. The purchase period runs from today through the 19th of next month.<\/p>\n<p>The tender offer price of \u20a9900 is 50% higher than the previous trading day&#8217;s close of \u20a9600 (approximately $0.44). Compared to today&#8217;s upper limit of \u20a9780, there remains roughly 15.4% in additional upside. The announcement that the company plans to buy shares at a price above the market level drove the stock to its daily price limit, analysts said.<\/p>\n<p>This tender offer marks the second step in TKG Taekwang&#8217;s process to voluntarily delist the company. The largest shareholder conducted an identical tender offer at \u20a9900 per share in March this year, purchasing all shares tendered. As a result, TKG Taekwang&#8217;s stake in TKG Aikang expanded from 47.53% to 68.96%. The plan is to secure additional remaining shares through this second tender offer and then complete the delisting.<\/p>\n<p>TKG Aikang had been designated as an administrative issue on the KOSDAQ Market on the 13th of this month due to its share price falling below the minimum threshold. KOSDAQ-listed companies become subject to administrative issue designation if their share price remains below \u20a91,000 (approximately $0.73) for a certain period. If the share price criteria are not met within the designated period after administrative issue designation, grounds for delisting may arise.<\/p>\n<p>The company manufactures piping for water supply, heating, and fire suppression systems, as well as sprinkler heads and flow control valves. Both business segments generate demand from new construction starts, including apartments and residential housing.<\/p>\n<p>The largest shareholder stated in the filing: &#8220;The contraction of downstream industries due to the construction downturn is a structural factor that is unlikely to be resolved in the short term,&#8221; adding that it is &#8220;pursuing the tender offer to convert the target company into a privately held entity, thereby enhancing responsiveness to the deteriorating industry environment through a faster decision-making system and more efficient capital allocation.&#8221;<\/p>\n<p>Market observers note that this tender offer is highly likely to be the final step in the delisting process. With the largest shareholder&#8217;s stake already at 68.96% following the first tender offer, purchasing an additional 31.04% of total outstanding shares would bring the stake close to 100%. Under KOSDAQ listing rules, a voluntary delisting can be pursued once the largest shareholder&#8217;s stake exceeds a certain threshold.<\/p>\n<p>From an investor&#8217;s perspective, the tender offer price exceeding the market price could attract buying interest seeking short-term arbitrage gains.
