Yonhap News<\/p>\n<p class=\"mb-4 text-[var(--color-text)] leading-relaxed\">Samsung Electronics (005930.KS) and SK hynix (000660.KS) are sharply strengthening their dedicated merger and acquisition (M&amp;A) teams, backed by tens of trillions of won earned during the boom in artificial intelligence (AI) memory chips. The companies are individually approaching experts from major global consulting firms including McKinsey, while pouring resources into recruiting core personnel such as foreign lawyers who will oversee everything from deal sourcing to post-merger integration (PMI).<\/p>\n<p class=\"mb-4 text-[var(--color-text)] leading-relaxed\">Samsung Electronics and SK hynix are carrying out a major reorganization of their in-house M&amp;A teams to proactively secure future growth drivers, according to industry sources Tuesday. Both companies plan to uncover global big deals by establishing M&amp;A teams reporting directly to the chief executive officer (CEO) or by strengthening working-level groups.<\/p>\n<p class=\"mb-4 text-[var(--color-text)] leading-relaxed\">Within Samsung Electronics, the Device eXperience (DX) division is the most active in expanding M&amp;A personnel. Centered on the Corporate Development Group under the planning team of the division&#8217;s management support office, it is recruiting experts from &#8220;MBB&#8221;\u2014the global Big 3 consulting firms McKinsey, Boston Consulting Group (BCG), and Bain &amp; Company. They will take charge of the entire M&amp;A process, from deal sourcing to transaction structuring and PMI.<\/p>\n<p class=\"mb-4 text-[var(--color-text)] leading-relaxed\">Until now, Samsung Electronics&#8217; large M&amp;A deals had been drafted and overseen by the M&amp;A team within the Business Support Task Force, the group&#8217;s control tower. The DX division&#8217;s separate launch of its own M&amp;A group is interpreted as a move to spearhead technology internalization by stepping up &#8220;pinpoint M&amp;A&#8221; in future new businesses such as on-device AI, robotics, and digital healthcare.<\/p>\n<p class=\"mb-4 text-[var(--color-text)] leading-relaxed\">Earlier, Samsung Electronics acquired Germany&#8217;s Fl\u00e4ktGroup (about 2.4 trillion won) and ZF&#8217;s advanced driver assistance systems (ADAS) business (about 2.6 trillion won) in succession. More recently, it became the largest shareholder of Element (about 270 billion won), a promising medical AI company, diversifying its M&amp;A activities.<\/p>\n<p class=\"mb-4 text-[var(--color-text)] leading-relaxed\">SK hynix has also realigned itself by establishing a &#8220;Growth Strategy Division&#8221; within the Corporate Center reporting directly to CEO Kwak Noh-jung. The organization, dedicated to exploring next-generation technologies and establishing investment plans, will expand from about 10 members currently to around 60. This month, it began recruiting experienced foreign lawyers with extensive investment banking (IB) and private equity (PE) advisory experience. It is seeking core personnel to handle legal advisory and deal review for cross-border M&amp;A. Expanding the M&amp;A team reporting directly to CEO Kwak appears to be part of a plan to gain an edge in securing key global AI companies.<\/p>\n<p class=\"mb-4 text-[var(--color-text)] leading-relaxed\">Behind the two companies&#8217; shift from facility investment toward M&amp;A lies the enormous cash-generating power driven by the semiconductor supercycle. According to financial information provider FnGuide, the combined operating profit the two companies are forecast to earn over the three years from this year through 2028 reaches a staggering 2,320 trillion won. The calculation is to boldly channel the liquidity that remains even after pouring hundreds of trillions of won into expanding domestic and overseas production lines into uncovering future growth drivers.<\/p>\n<p class=\"mb-4 text-[var(--color-text)] leading-relaxed\">&#8220;Samsung and SK are giving concrete shape to a strategy of preemptively buying up promising companies to position themselves as leading players in the global AI competition,&#8221; a financial investment industry official said.<\/p>\n<p><img alt=\"Employees walk in front of SK hynix headquarters in Icheon, Gyeonggi Province.
