On March 13, 2026, the Luxembourg Court of Appeal dismissed the appeal of minority shareholders of Kernel Holding S.A., upholding the decision of the first instance court dated November 27, 2024.

The plaintiffs sought to challenge and suspend the resolutions of the Annual General Meeting of Shareholders held on December 11, 2023, which included approving the company’s annual financial statements, extending the powers of the company’s directors, and appointing an auditor. The appellate instance completely rejected these claims and ordered the opponents to compensate Kernel for legal costs.
This is the third consecutive victory for Kernel in legal proceedings in Luxembourg initiated by a group of minority shareholders, confirming that Kernel’s actions fully comply with legislation and corporate governance practices, and the claims of the minority are legally unfounded.

The systematic nature of decisions in our favor indicates that any attempts to pressure the company through unfounded legal claims and procedural delays have no judicial perspective,” noted Artem Filipiev, Director of the Legal Department at Kernel Holding S.A.
