The deal was valued at roughly \u20ac100 million.<\/p>\n<p>State Secretary Willemijn Aerdts of Economic Affairs issued the prohibition on Monday under the WOZT, the Dutch Act on Undesirable Control in Telecommunications. The central concern was the <a href=\"https:\/\/www.congress.gov\/bill\/115th-congress\/house-bill\/4943\" rel=\"nofollow noopener\" target=\"_blank\">US CLOUD Act<\/a>, which authorizes American authorities to compel US-headquartered companies to produce data held on servers anywhere in the world.\u00a0<\/p>\n<p lang=\"en\" dir=\"ltr\">The Netherlands BLOCKS American takeover of their Digital ID App.<\/p>\n<p>This due to risks with the CLOUD act, which mandates American companies to provide all data they possess, even abroad to the US Gov.<\/p>\n<p>The risk to Dutch citizens private data was deemed too large, thus blocked. <a href=\"https:\/\/t.co\/6NUWuF6vSD\" rel=\"nofollow\">pic.twitter.com\/6NUWuF6vSD<\/a><\/p>\n<p>\u2014 NXT EU (@NXT4EU) <a href=\"https:\/\/twitter.com\/NXT4EU\/status\/2059236783569682590?ref_src=twsrc%5Etfw\" rel=\"nofollow noopener\" target=\"_blank\">May 26, 2026<\/a><\/p>\n<p>A Kyndryl-owned Solvinity would fall under US jurisdiction in ways the Dutch state could not legally prevent \u2014 giving American agencies potential reach over DigiD data belonging to the 16.5 million Dutch citizens who use the platform to access tax, healthcare, pension, and government services.<\/p>\n<p>Solvinity\u2019s majority owner is British private equity firm Vitruvian Partners, which agreed last November to sell to Kyndryl. The ACM, the Netherlands\u2019 competition authority, cleared the deal on antitrust grounds in February \u2014 but the national security screening process runs separately, and the ACM\u2019s approval did not bind the Investment Screening Bureau.\u00a0<\/p>\n<p>Kyndryl said it was<a href=\"https:\/\/nltimes.nl\/2026\/05\/26\/strong-reactions-netherlands-blocks-us-takeover-solvinity-digid-operator\" rel=\"nofollow noopener\" target=\"_blank\"> \u201cextremely disappointed\u201d<\/a> and had cooperated \u201cin good faith\u201d throughout the review.<\/p>\n<p>Aerdts described the screening as \u201ccountry-neutral, risk-based, and proportionate,\u201d noting that the Netherlands \u201cattaches great value to the presence of foreign technology companies \u2014 especially American ones\u201d \u2014 careful language for a government that has just become the first in Europe to block a US acquisition on CLOUD Act grounds.
