Shares remained sharply lower following the results, extending a 5.6% regular-session decline as investors weighed margin and memory-supply uncertainty. The results arrived weeks after a report that NXP was in talks to acquire the company, talks that might not produce a deal. Ambarella, Inc. (NASDAQ:AMBA<\/a>) supplies edge-AI vision chips; NXP Semiconductors N.V. (NASDAQ:NXPI<\/a>) could add distribution across vehicles and industrial systems. <\/p>\n

Management guided fiscal Q3 revenue to $115 million to $124 million, indicating continued growth. Insider Monkey counted 33 hedge funds holding AMBA at June 30, down from 35 at March 31. Millennium Management reported 41,318 shares at June 30 after sharply reducing its position during the quarter. <\/p>\n

The bear case sits in expectations. The acquisition report lifted Ambarella about 19% on July 31, so part of the takeover premium was already embedded before earnings. A buyer could walk away, negotiate a lower price, or face integration challenges. Even without a deal, memory constraints and customer timing can pressure revenue, while other supply-chain costs can weigh on margins. <\/p>\n

NXP’s rationale would be strategic breadth. Ambarella could strengthen software-defined vehicle, radar, vision, and edge-inference offerings inside NXP’s automotive relationships. Hedge-fund participation rose to 60 funds holding NXP Semiconductors N.V. (NASDAQ:NXPI) in Q2 from 51 in Q1. Lyrical Asset Management held 887,619 shares after trimming 5%. <\/p>\n

NXP shareholders face acquisition discipline. Buying a volatile growth company after a rumor-driven rise could dilute returns, and combining roadmaps does not guarantee design wins. NXP shares fell about 3% when the talks were reported, showing that investors recognized the cost side. <\/p>\n

The August 14 settlement showed 4.07 million AMBA shares sold short, about 9.72% of float, with 3.42 days to cover. It predates earnings but follows the takeover report. Ambarella’s edge-AI opportunity remains intact; the stock now asks investors to underwrite both execution and optional deal value. Guidance, gross margin, and a definitive filing matter more than continuing speculation. <\/p>\n

If no agreement emerges, the share price will have to rest on standalone design wins. Automotive production schedules are long and cancellations can be painful, making customer concentration and backlog conversion essential checks.
