MUMBAI: Nadella’s pay packet is certainly keeping pace with Microsoft’s cloud ambitions. Microsoft CEO Satya Nadella’s total compensation rose to about $96.5 million in fiscal 2025, up from approximately $79.1 million a year earlier, as the technology giant delivered stronger financial and cloud performance.
The headline figure is eye-catching, but the bigger story sits in the fine print. Nadella’s base salary was about $2.5 million, while he received roughly $9.5 million in cash incentives. The largest slice came from stock awards, which accounted for more than $84 million.
That means fixed salary made up only a small part of the overall package. More than 95 per cent of Nadella’s target annual compensation is tied to performance, with at least 70 per cent linked to equity, according to Microsoft’s executive compensation structure.
The arrangement is also designed to look beyond a single year. Parts of Nadella’s equity awards are assessed over longer periods, allowing the board to link compensation with sustained business performance rather than simply one year’s results.
Nadella’s higher compensation came during a strong fiscal 2025 for Microsoft. Revenue increased approximately 15 per cent, while operating income climbed 17 per cent.
The company’s cloud business was a major contributor, with cloud revenue rising 23 per cent to nearly $169 billion. Azure revenue increased 34 per cent to more than $75 billion.
Those metrics are particularly relevant to Nadella’s pay because Microsoft’s performance assessment considers measures including overall revenue, Azure and other cloud-services revenue, Microsoft Cloud performance and shareholder returns relative to the S&P 500.
Artificial intelligence has also become increasingly central to Microsoft’s strategy, with the company directing substantial resources towards AI infrastructure, products and cloud capabilities.
While the formal compensation measures remain focused on financial and shareholder performance, Microsoft’s board also recognised the company’s progress in AI when assessing Nadella’s leadership.
Nadella’s compensation was also dramatically higher than that of the typical Microsoft employee. The company’s CEO-to-median-worker pay ratio was close to 480:1 in fiscal 2025.
The comparison, however, comes with an important caveat: most of Nadella’s package is made up of equity and performance-linked awards rather than fixed salary. Its value is therefore closely tied to Microsoft’s financial results and share performance.
For Microsoft, the pay rise comes as the company continues to scale its cloud and AI businesses. For Nadella, it means the bulk of the reward remains tied not simply to occupying the CEO’s chair, but to how well Microsoft performs from it.
