Discovery<\/a>\u2018s board had rejected <a href=\"https:\/\/nlpc.org\/tag\/david-ellison\" rel=\"nofollow noopener\" target=\"_blank\">David Ellison<\/a>\u2018s <a href=\"https:\/\/nlpc.org\/tag\/paramount-skydance\" rel=\"nofollow noopener\" target=\"_blank\">Paramount Skydance<\/a> in favor of a <a href=\"https:\/\/nlpc.org\/tag\/netflix\" rel=\"nofollow noopener\" target=\"_blank\">Netflix<\/a> offer, <a class=\"underline underline underline-offset-2 decoration-1 decoration-current\/40 hover:decoration-current focus:decoration-current\" href=\"https:\/\/www.nbcnews.com\/business\/media\/paramount-warner-bros-larry-ellison-rcna250453\" target=\"_blank\" rel=\"noopener nofollow\">branding Paramount\u2019s financing \u201cillusory.\u201d<\/a> The <a href=\"https:\/\/nlpc.org\/tag\/oracle\" rel=\"nofollow noopener\" target=\"_blank\">Oracle<\/a> founder \u2014 then among the three richest people alive \u2014 responded with an irrevocable guarantee of $40.4 billion in equity, plus a <a class=\"underline underline underline-offset-2 decoration-1 decoration-current\/40 hover:decoration-current focus:decoration-current\" href=\"https:\/\/www.hollywoodreporter.com\/business\/business-news\/larry-ellison-guarantee-paramount-bid-warner-bros-1236456983\/\" target=\"_blank\" rel=\"noopener nofollow\">promise not to revoke the family trust<\/a> or shift its assets while the deal remained pending.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\">Paramount went further, publishing <a class=\"underline underline underline-offset-2 decoration-1 decoration-current\/40 hover:decoration-current focus:decoration-current\" href=\"https:\/\/www.sec.gov\/Archives\/edgar\/data\/1437107\/000110465926002526\/tm2533570d29_dfan14a.htm\" target=\"_blank\" rel=\"noopener nofollow\">records to prove the trust holds 1.16 billion Oracle shares<\/a>. Warner\u2019s board ultimately reversed course, the offer <a class=\"underline underline underline-offset-2 decoration-1 decoration-current\/40 hover:decoration-current focus:decoration-current\" href=\"https:\/\/www.forbes.com\/sites\/phoebeliu\/2026\/02\/27\/what-paramount-warner-bros-merger-means-for-larry-ellisons-fortune\/\" target=\"_blank\" rel=\"noopener nofollow\">bringing the enterprise value of the transaction above $110 billion in total value<\/a>, and the acquisition now stands poised to close as soon as this month.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\">It reads as a heartwarming tale of paternal devotion. Unless you own Oracle stock.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\">NLPC does, and we have a shareholder proposal pending at the company. From where we sit, the founder\u2019s <a href=\"https:\/\/nlpc.org\/tag\/hollywood\" rel=\"nofollow noopener\" target=\"_blank\">Hollywood<\/a> adventure looks less like devotion and more like a transfer of risk onto Oracle\u2019s other owners.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\">Start with how the guarantee gets funded. <a class=\"underline underline underline-offset-2 decoration-1 decoration-current\/40 hover:decoration-current focus:decoration-current\" href=\"https:\/\/www.forbes.com\/sites\/phoebeliu\/2026\/02\/27\/what-paramount-warner-bros-merger-means-for-larry-ellisons-fortune\/\" target=\"_blank\" rel=\"noopener nofollow\">Forbes crunched the numbers in February<\/a>: Ellison holds under $10 billion in cash, about $15 billion in <a href=\"https:\/\/nlpc.org\/tag\/tesla\" rel=\"nofollow noopener\" target=\"_blank\">Tesla<\/a> stock, and has sold a mere $4.7 billion of Oracle shares since the turn of the century.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\">His trust\u2019s equity commitment to the Warner takeover reached $45.7 billion. The one asset large enough to bridge that gap appears to be his 1.16 billion Oracle shares, worth about $164 billion when Forbes ran its analysis.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\">He has form here. A September 2025 disclosure revealed 346 million Oracle shares pledged as collateral for personal business ventures outside the company \u2014 a block worth north of $100 billion at the time.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\">Then Oracle\u2019s stock declined by more than half. The pledged shares lost half their value by late February, and the price has now <a class=\"underline underline underline-offset-2 decoration-1 decoration-current\/40 hover:decoration-current focus:decoration-current\" href=\"https:\/\/www.fool.com\/investing\/2026\/07\/07\/oracle-stock-plummeted-by-25-in-the-first-half-of\/\" target=\"_blank\" rel=\"noopener nofollow\">fallen more than 50 percent from last year\u2019s peak<\/a>.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\">Falling collateral can trigger margin spirals. Lenders demand more stock or force sales; sales depress the price; the cycle feeds itself \u2014 with outside shareholders along for the ride.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\">The timing could not be worse for Oracle. The company ended May with <a class=\"underline underline underline-offset-2 decoration-1 decoration-current\/40 hover:decoration-current focus:decoration-current\" href=\"https:\/\/www.cnbc.com\/2026\/06\/26\/oracle-stock-ends-worst-week-since-2001-as-investors-dwell-on-finances.html\" target=\"_blank\" rel=\"noopener nofollow\">about $130 billion in debt<\/a>, negative free cash flow of $23.7 billion, and capital spending up 162 percent as it races to build data centers for OpenAI and other artificial intelligence customers.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\"><a href=\"https:\/\/nlpc.org\/tag\/wall-street\" rel=\"nofollow noopener\" target=\"_blank\">Wall Street<\/a> frets that <a class=\"underline underline underline-offset-2 decoration-1 decoration-current\/40 hover:decoration-current focus:decoration-current\" href=\"https:\/\/www.fool.com\/investing\/2026\/07\/07\/oracle-stock-plummeted-by-25-in-the-first-half-of\/\" target=\"_blank\" rel=\"noopener nofollow\">some of those customers lack the resources to fulfill their commitments<\/a> \u2014 a grim prospect for a business that borrowed on this scale to serve them. Oracle\u2019s own annual report, released in June, carried unusual warnings about the risks in its infrastructure business.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\">Management plans to raise another $40 billion this fiscal year, including a <a class=\"underline underline underline-offset-2 decoration-1 decoration-current\/40 hover:decoration-current focus:decoration-current\" href=\"https:\/\/www.cnbc.com\/2026\/06\/11\/oracle-shares-tumble-11percent-on-increased-capital-raise-cash-concerns.html\" target=\"_blank\" rel=\"noopener nofollow\">$20 billion share sale<\/a> that dilutes every existing holder. Picture the split screen: a firm issuing equity at depressed prices while its founder-chairman mortgages his own block to bankroll a media empire.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\">June brought Oracle\u2019s <a class=\"underline underline underline-offset-2 decoration-1 decoration-current\/40 hover:decoration-current focus:decoration-current\" href=\"https:\/\/www.cnbc.com\/2026\/06\/26\/oracle-stock-ends-worst-week-since-2001-as-investors-dwell-on-finances.html\" target=\"_blank\" rel=\"noopener nofollow\">worst week on Wall Street since 2001<\/a> \u2014 a 19 percent plunge \u2014 along with word that headcount shrank 13 percent over the fiscal year. Ellison, the chief technology officer and owner of more than 40 percent of its shares, skipped the earnings call.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\">Two co-chief executives new to their roles and a finance chief hired weeks earlier fielded analysts\u2019 questions instead. The man whose name is synonymous with Oracle was busy buying Warner Bros.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\">And what a purchase it is. <a class=\"underline underline underline-offset-2 decoration-1 decoration-current\/40 hover:decoration-current focus:decoration-current\" href=\"https:\/\/www.wsj.com\/business\/media\/the-80-billion-debt-cloud-hanging-over-david-ellisons-warner-deal-aaf8aabd\" target=\"_blank\" rel=\"noopener nofollow\">The Wall Street Journal reports<\/a> the combined company will stagger out of the gate under almost $80 billion in debt, about 6.5 times annual earnings \u2014 leverage that MoffettNathanson analysts labeled \u201cstaggering.\u201d<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\">The merged giant must service that burden from declining television networks while promising no asset sales and no cuts to content spending. If those promises break, or if streaming synergies fall short, the guarantee behind the deal traces straight back to a mountain of Oracle stock.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\">To be clear, Oracle the corporation owes nothing on this transaction. The harm to shareholders arrives through side doors: the overhang from potential share sales, margin exposure on pledged holdings, dilution timed against insider borrowing, and an absentee chairman during its roughest patch in decades.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\">None of it is illegal. All of it deserves sunlight.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\">Before Oracle\u2019s annual meeting this fall, investors should demand to know how the Warner equity was funded, whether the pledged share count has grown since September, and what limits the board enforces on pledging by its own insiders \u2014 starting with the one who controls two-fifths of the company.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal\">Larry Ellison spent five decades building one of America\u2019s great enterprises, and his fortune is his to spend on his son\u2019s dreams.
