Microsoft CEO Satya Nadella\u2019s total compensation rose to about $96.5 million in fiscal 2025, up from approximately $79.1 million a year earlier, as the technology giant delivered stronger financial and cloud performance.<\/p>\n<p class=\"wp-block-paragraph\">The headline figure is eye-catching, but the bigger story sits in the fine print. Nadella\u2019s base salary was about $2.5 million, while he received roughly $9.5 million in cash incentives. The largest slice came from stock awards, which accounted for more than $84 million.<\/p>\n<p class=\"wp-block-paragraph\">That means fixed salary made up only a small part of the overall package. More than 95 per cent of Nadella\u2019s target annual compensation is tied to performance, with at least 70 per cent linked to equity, according to Microsoft\u2019s executive compensation structure.<\/p>\n<p class=\"wp-block-paragraph\">The arrangement is also designed to look beyond a single year. Parts of Nadella\u2019s equity awards are assessed over longer periods, allowing the board to link compensation with sustained business performance rather than simply one year\u2019s results.<\/p>\n<p class=\"wp-block-paragraph\">Nadella\u2019s higher compensation came during a strong fiscal 2025 for Microsoft. Revenue increased approximately 15 per cent, while operating income climbed 17 per cent.<\/p>\n<p class=\"wp-block-paragraph\">The company\u2019s cloud business was a major contributor, with cloud revenue rising 23 per cent to nearly $169 billion. Azure revenue increased 34 per cent to more than $75 billion.<\/p>\n<p class=\"wp-block-paragraph\">Those metrics are particularly relevant to Nadella\u2019s pay because Microsoft\u2019s performance assessment considers measures including overall revenue, Azure and other cloud-services revenue, Microsoft Cloud performance and shareholder returns relative to the S&amp;P 500.<\/p>\n<p class=\"wp-block-paragraph\">Artificial intelligence has also become increasingly central to Microsoft\u2019s strategy, with the company directing substantial resources towards AI infrastructure, products and cloud capabilities.<\/p>\n<p class=\"wp-block-paragraph\">While the formal compensation measures remain focused on financial and shareholder performance, Microsoft\u2019s board also recognised the company\u2019s progress in AI when assessing Nadella\u2019s leadership.<\/p>\n<p class=\"wp-block-paragraph\">Nadella\u2019s compensation was also dramatically higher than that of the typical Microsoft employee. The company\u2019s CEO-to-median-worker pay ratio was close to 480:1 in fiscal 2025.<\/p>\n<p class=\"wp-block-paragraph\">The comparison, however, comes with an important caveat: most of Nadella\u2019s package is made up of equity and performance-linked awards rather than fixed salary. Its value is therefore closely tied to Microsoft\u2019s financial results and share performance.<\/p>\n<p class=\"wp-block-paragraph\">For Microsoft, the pay rise comes as the company continues to scale its cloud and AI businesses.
