According to the media reports, the pay scale has reached to Rs 919 crore in an year. The increase came as Microsoft delivered stronger revenue, operating income and cloud growth, while its board credited Nadella with making significant progress in artificial intelligence during a major technology shift.  <\/p>\n<p class=\"forfirstp\">Microsoft CEO Satya Nadella\u2019s total compensation has reportedly reached about $96.5 million (around Rs 919 crore) in fiscal 2025, marking a substantial increase from the $79.1 million (around Rs 753.5 crore) he received the previous year.<\/p>\n<p>The 22 per cent rise came during a year of strong financial growth for Microsoft, as the company expanded its cloud business and stepped up its focus on artificial intelligence. In its assessment of Nadella\u2019s performance, the board highlighted what it described as \u201cexceptional progress in artificial intelligence\u201d, pointing to his role in steering the company through a major shift in technology, according to the media reports.<\/p>\n<p>The composition of the package is as significant as its headline value. More than $84 million came through stock awards, while Nadella received a base salary of $2.5 million and about $9.5 million in cash incentives. The figures underline how little of his overall remuneration comes from fixed pay.<\/p>\n<p>Most of Nadella\u2019s compensation depends on performance<\/p>\n<p>Microsoft\u2019s executive compensation structure places considerable emphasis on incentives tied to the company\u2019s longer-term results. More than 95 per cent of Nadella\u2019s target annual compensation is performance-based, with at least 70 per cent of that amount linked to equity, reports TOI.<\/p>\n<p><img src=\"https:\/\/images.firstpost.com\/dlxczavtqcctuei\/news18\/static\/images\/fp\/revamp_v1\/tech.svg\" alt=\"tech\" width=\"32\" height=\"32\" class=\"nvicsvg\" loading=\"lazy\" decoding=\"async\"\/>More from Tech<\/p>\n<p>The performance measures extend beyond the company\u2019s share price. They include Microsoft\u2019s total shareholder return relative to the S&amp;P 500, revenue under its incentive plan, Azure and other cloud services revenue, and Microsoft Cloud revenue.<\/p>\n<p>That approach means Nadella\u2019s eventual payout can change significantly depending on how Microsoft performs over time. His equity awards are also affected by movements in the company\u2019s share price, giving investors a direct connection between a large portion of the CEO\u2019s remuneration and shareholder outcomes.<\/p>\n<p>Strong cloud growth underpins the increase<\/p>\n<p>Microsoft\u2019s financial results provide the backdrop to the larger package. Revenue for fiscal 2025 increased by roughly 15 per cent, while operating income climbed 17 per cent.<\/p>\n<p>Its cloud operations delivered particularly strong growth. Cloud revenue rose 23 per cent to just under $169 billion, while Azure revenue increased 34 per cent to more than $75 billion.<\/p>\n<p>Those figures matter because cloud computing has become one of the central pillars of Microsoft\u2019s AI strategy. The company has been investing heavily in infrastructure and services intended to support the growing demand for AI, while Azure remains a key part of its broader enterprise offering.<\/p>\n<p>Nadella\u2019s compensation therefore reflects several interconnected areas of Microsoft&#8217;s business rather than AI performance alone. Financial growth, cloud expansion, shareholder returns and longer-term results all feed into the measures used to determine his rewards.<\/p>\n<p>Pay is designed around years, not just one<\/p>\n<p>Microsoft has also structured parts of Nadella\u2019s compensation around multi-year performance. His equity arrangements use overlapping performance periods, modifiers based on shareholder returns and vesting schedules that extend over several years.<\/p>\n<p>The intention is to make a sizeable portion of his financial reward dependent on sustained results rather than a single year&#8217;s performance.<\/p>\n<p>That approach also helps explain why Nadella\u2019s compensation cannot be viewed simply as a $96.5 million annual salary. A substantial share represents equity whose value is connected to Microsoft\u2019s future performance and share price.<\/p>\n<p>Even so, the scale of the package stands out compared with typical employee compensation. Microsoft\u2019s CEO-to-median-employee pay ratio reached nearly 480-to-1 in fiscal 2025, according to the company\u2019s figures.<\/p>\n<p>The increase comes as Microsoft continues to position AI and cloud computing at the centre of its growth strategy.
