JOSH EDELSON \/ AFP via Getty Images<\/p>\n<p>On the heels of <a href=\"https:\/\/observer.com\/person\/sam-altman\/\" title=\"Sam Altman\" class=\"company-link\" rel=\"nofollow noopener\" target=\"_blank\">Sam Altman<\/a>\u2019s testimony in the ongoing trial over <a href=\"https:\/\/observer.com\/person\/elon-musk\/\" title=\"Elon Musk\" class=\"company-link\" rel=\"nofollow noopener\" target=\"_blank\">Elon Musk<\/a>\u2019s lawsuit against <a href=\"https:\/\/observer.com\/company\/openai\/\" title=\"OpenAI\" class=\"company-link\" rel=\"nofollow noopener\" target=\"_blank\">OpenAI<\/a>, a clearer picture is emerging of how Musk might have run the company differently. Musk, a co-founder of OpenAI as a nonprofit, is suing the company, its CEO Altman and president <a href=\"https:\/\/observer.com\/person\/greg-brockman\/\" title=\"Greg Brockman\" class=\"company-link\" rel=\"nofollow noopener\" target=\"_blank\">Greg Brockman<\/a> for \u201c<a href=\"https:\/\/observer.com\/2026\/04\/elon-musk-openai-sam-altman-lawsuit-trial\/\" rel=\"nofollow noopener\" target=\"_blank\">stealing a charity<\/a>.\u201d He is seeking to have the now $852 billion A.I. company return to its original nonprofit structure and is also pursuing up to $180 billion in damages to be transferred from OpenAI\u2019s for-profit arm to its nonprofit parent.<\/p>\n<p>Taking the stand yesterday (May 12), Altman described Musk as a \u201cmercurial\u201d leader, saying he felt like Musk \u201chad abandoned us, not come through on his promises, put the company in a very difficult place, jeopardized the mission, [and] didn\u2019t really care about the things I thought he cared about.\u201d<\/p>\n<p>Musk invested $44 million in OpenAI over five years before stepping down from its board in 2018 following a power struggle. He has not been involved with the company since.<\/p>\n<p>Despite Musk\u2019s stated desire to keep OpenAI a nonprofit, Altman testified that Musk repeatedly sought control of the organization. In 2017, Musk allegedly proposed merging OpenAI with <a href=\"https:\/\/observer.com\/company\/tesla\/\" title=\"Tesla\" class=\"company-link\" rel=\"nofollow noopener\" target=\"_blank\">Tesla<\/a>, a for-profit company, a move Altman opposed because of their conflicting missions. According to Altman, Musk believed the merger would create a stronger competitor to <a href=\"https:\/\/observer.com\/company\/google\/\" title=\"Google\" class=\"company-link\" rel=\"nofollow noopener\" target=\"_blank\">Google<\/a>.<\/p>\n<p>Altman also claimed Musk initially asked for 90 percent equity in OpenAI. \u201cIt then softened, but it always was a majority,\u201d he testified.<\/p>\n<p>He further recounted what he described as a \u201cparticularly hair-raising moment,\u201d when co-founders asked Musk what would happen to OpenAI if he were in control and then died. Musk allegedly responded that control should pass to his children. Altman\u2019s legal team has used such claims to portray Musk as seeking outsized control.<\/p>\n<p>For his part, Musk last week testified that his concerns about OpenAI intensified after <a href=\"https:\/\/observer.com\/company\/microsoft\/\" title=\"Microsoft\" class=\"company-link\" rel=\"nofollow noopener\" target=\"_blank\">Microsoft<\/a>\u2019s first $10 billion investment in 2022, which he characterized as a \u201cbait and switch\u201d aimed at profit. He argued that Microsoft would only make such a large investment if it expected financial returns, adding that this would effectively give Microsoft control over AGI\u2014technology he believes was originally intended to remain under a nonprofit structure.<\/p>\n<p>Today, OpenAI\u2019s ownership is <a target=\"_blank\" rel=\"noopener nofollow\" href=\"https:\/\/openai.com\/our-structure\/\">spread among several major stakeholders:<\/a> its nonprofit foundation holds about 26 percent, Microsoft holds roughly 27 percent, and current and former employees collectively hold another 26 percent, with smaller stakes owned by venture capital firms.<\/p>\n<p>While Musk has argued that OpenAI should have remained a nonprofit, Altman\u2019s testimony presents a different narrative, one in which Musk sought majority control and was unwilling to rule out future dominance of the organization. He said Musk \u201cwas unwilling to commit in writing that he would not have long-term control.\u201d<\/p>\n<p>Meanwhile, Musk\u2019s own AI company, <a href=\"https:\/\/observer.com\/company\/xai\/\" title=\"xAI\" class=\"company-link\" rel=\"nofollow noopener\" target=\"_blank\">xAI<\/a>, founded in March 2023, operates as a for-profit entity and is valued at $250 billion, or as much as $1.25 trillion when considered alongside <a href=\"https:\/\/observer.com\/company\/spacex\/\" title=\"SpaceX\" class=\"company-link\" rel=\"nofollow noopener\" target=\"_blank\">SpaceX<\/a>.<\/p>\n<p>Altman\u2019s credibility has also come under scrutiny during the trial. Musk\u2019s lead attorney, <a href=\"https:\/\/observer.com\/person\/steven-molo\/\" title=\"Steven Molo\" class=\"company-link\" rel=\"nofollow noopener\" target=\"_blank\">Steven Molo<\/a>, directly asked him, \u201cAre you completely trustworthy?\u201d<\/p>\n<p>Earlier testimony from other witnesses has added to the complexity of the case. These include OpenAI co-founder and former chief scientist <a href=\"https:\/\/observer.com\/person\/ilya-sutskever\/\" title=\"Ilya Sutskever\" class=\"company-link\" rel=\"nofollow noopener\" target=\"_blank\">Ilya Sutskever<\/a>, Microsoft CEO <a href=\"https:\/\/observer.com\/person\/satya-nadella\/\" title=\"Satya Nadella\" class=\"company-link\" rel=\"nofollow noopener\" target=\"_blank\">Satya Nadella<\/a>, and Musk himself. Sutskever, who led Altman\u2019s brief ouster in November 2023, had previously described him as someone who \u201cexhibits a consistent pattern of lying, undermining his execs, and pitting his execs against one another,\u201d He testified this week that <a href=\"https:\/\/observer.com\/2026\/05\/ilya-sutskever-revisits-openai-ouster\/\" rel=\"nofollow noopener\" target=\"_blank\">he began compiling evidence of what he saw as Altman\u2019s dishonesty<\/a> in the year leading up to the 2023 ouster, though he later reversed course and supported Altman\u2019s return.
