{"id":1127655,"date":"2026-08-03T10:10:26","date_gmt":"2026-08-03T10:10:26","guid":{"rendered":"https:\/\/www.europesays.com\/uk\/1127655\/"},"modified":"2026-08-03T10:10:26","modified_gmt":"2026-08-03T10:10:26","slug":"saipems-merger-with-subsea7-clears-crucial-us-antitrust-hurdle","status":"publish","type":"post","link":"https:\/\/www.europesays.com\/uk\/1127655\/","title":{"rendered":"Saipem\u2019s merger with Subsea7 clears crucial US antitrust hurdle"},"content":{"rendered":"<p><strong>Italy\u2019s engineering, drilling, and construction services giant Saipem and the Luxembourg-domiciled Subsea7 have made progress in advancing their proposed business combination with a U.S. antitrust milestone; however, the merger\u2019s fate remains uncertain pending the review of potential offshore market concentration issues in the European Union (EU).<\/strong><\/p>\n<p><img loading=\"lazy\" decoding=\"async\" width=\"1024\" height=\"427\" src=\"https:\/\/www.europesays.com\/uk\/wp-content\/uploads\/2026\/08\/saipem-1024x427-1.jpg\" alt=\"Illustration; Source: Saipem\" class=\"wp-image-749859\"  \/>Illustration; Source: Saipem<\/p>\n<p>Saipem and Subsea7 have confirmed the end of the U.S. antitrust review period, as all applicable waiting periods under the U.S. Hart-Scott-Rodino (HSR) Antitrust Improvements Act of 1976 have expired.<\/p>\n<p>As a result, the two players are permitted to close the transaction in America, but the completion of the business combination is still subject to certain regulatory approvals outside the United States.<\/p>\n<p>This includes the conclusion of the European Commission\u2019s recently launched <a href=\"https:\/\/www.offshore-energy.biz\/saipem-subsea7-merger-under-the-microscope-as-eu-flags-competition-concerns\/\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">in-depth investigation<\/a> under the EU Merger Regulation to assess the\u00a0<a href=\"https:\/\/www.offshore-energy.biz\/energy-giants-sign-binding-merger-deal-bringing-saipem7-closer-to-reality\/\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">proposed merger<\/a>, which aims to give birth to\u00a0<strong>Saipem7<\/strong>\u00a0as\u00a0<a href=\"https:\/\/www.offshore-energy.biz\/saipem-and-subsea7-unveil-merger-plan\/\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">a combined company<\/a>.<\/p>\n<p>The Commission\u2019s final say on this consolidation move is expected to be disclosed by November 26, 2026.<\/p>\n<p>The probe was opened due to concerns that the proposed Saipem-Subsea7 business combination may significantly impact effective competition in some offshore engineering and construction service markets.<\/p>\n<p>The European Commission\u2019s preliminary investigation indicates that the merger may significantly reduce competition on the subsea umbilicals, risers, and flowlines (SURF) services market for oil and gas and carbon capture and storage (CCS) projects.<\/p>\n<p>\t\t\t\t<img loading=\"lazy\" decoding=\"async\" width=\"600\" height=\"600\" src=\"https:\/\/www.europesays.com\/uk\/wp-content\/uploads\/2025\/11\/admin-ajax.jpg\" class=\"attachment-large size-large\" alt=\"OE logo\"  \/><\/p>\n<p>Power Your Brand With Offshore Energy \u2935\ufe0f<\/p>\n<p>Take the spotlight and anchor your brand in the heart of the offshore world!
