{"id":46550,"date":"2025-04-24T12:07:09","date_gmt":"2025-04-24T12:07:09","guid":{"rendered":"https:\/\/www.europesays.com\/uk\/46550\/"},"modified":"2025-04-24T12:07:09","modified_gmt":"2025-04-24T12:07:09","slug":"inside-the-fight-for-myprotein","status":"publish","type":"post","link":"https:\/\/www.europesays.com\/uk\/46550\/","title":{"rendered":"Inside the fight for Myprotein"},"content":{"rendered":"<p>Penny for Matt Moulding\u2019s thoughts.<\/p>\n<p>THG\u2019s CEO and founder isn\u2019t normally backwards about coming forwards when it comes to sharing his opinion\u00a0 but he\u2019s not yet commented on <a href=\"https:\/\/businesscloud.co.uk\/news\/thg-unequivocally-rejects-bid-for-myprotein\/\" target=\"_blank\" rel=\"noopener\">Selkirk\u2019s preliminary bid of between \u00a3400m-\u00a3600m for THG\u2019s prime asset Myprotein<\/a>.<\/p>\n<p>The fact that Moulding has previously described the man making the bid \u2013 former THG director Iain McDonald \u2013 as his \u2018anchor\u2019 is an added subplot.<\/p>\n<p>THG gave the bid short shrift, describing it as \u2018wholly unsolicited, largely unfunded and highly conditional\u2019.<\/p>\n<p>The nature of the emphatic rebuff raised a few eyebrows but could there be more to it than meets the eye?<\/p>\n<p>Before we answer that a quick recap.<\/p>\n<blockquote class=\"wp-embedded-content\" data-secret=\"IVB00pPMKw\">\n<p><a href=\"https:\/\/businesscloud.co.uk\/news\/thg-unequivocally-rejects-bid-for-myprotein\/\" target=\"_blank\" rel=\"noopener\">THG \u2018unequivocally rejects\u2019 bid for Myprotein from former director<\/a><\/p>\n<\/blockquote>\n<p>It would be disingenuous to suggest Myprotein is THG is but there\u2019s no disputing that the brand is an integral part of the online retail giant\u2019s overall business.<\/p>\n<p>It was back in 2011 that THG (then called The Hut Group) announced its entry into the fast-growing sports nutrition market by buying Myprotein.com for a bargain \u00a358m.<\/p>\n<p>Myprotein, which was founded by Oliver Cookson in 2004, is now an established global brand and is a pivotal part of the wider THG Nutrition.<\/p>\n<p>Earlier this year THG de-merged its loss-making tech arm Ingenuity from the profitable bits \u2013 Beauty and Nutrition.<\/p>\n<p>THG Nutrition had a tough first half of 2024 with revenues down 7.5 per cent to \u00a3299m, blamed largely on a rebrand and currency headwinds.<\/p>\n<p>Despite that THG Nutrition, complete with Myprotein\u2019s readymade global reach, would have obvious appeal to a purchaser.<\/p>\n<p>All of which brings us back \u00a0to this week\u2019s rejected bid worth \u00a3400-\u00a3600m from former director Iain McDonald.<\/p>\n<p>McDonald \u2013 an early investor in ASOS \u2013 is the executive chair of Selkirk Group PLC, a shell company founded last year.<\/p>\n<p>In March 2024 he stepped down from the board of THG after 14 years with a<a href=\"https:\/\/businesscloud.co.uk\/news\/thg-founder-recalls-humdinger-in-tribute-to-outgoing-director\/\" target=\"_blank\" rel=\"noopener\"> gushing tribute from Moulding ringing in his ears<\/a>.<\/p>\n<p>\u201cThere\u2019s no doubt whatsoever that THG would not be in such a strong position as it is today had Iain not joined us 14 years ago,\u201d Moulding wrote.<\/p>\n<p>\u201cIn this world of relentless chaos, I rely on a small group of \u2018anchors\u2019 to keep me and THG steady. Iain is one such anchor.\u201d<\/p>\n<p>The two appear to have remained on good terms, evidenced by the fact that McDonald\u2019s last post on LinkedIn was to congratulate Moulding and his co-founder John Gallemore on the 20th anniversary of THG.<\/p>\n<p>\u201cYou\u2019re a great team and both a pleasure to work with,\u201d he wrote. \u201cA monumental achievement in 20 years, I\u2019m very proud of both of you.\u201d<\/p>\n<p>Moulding is known to value loyalty, which is why McDonald\u2019s attempts to prise the nutrition brand away from THG via Selkirk have put the proverbial cat amongst the pigeons.<\/p>\n<blockquote class=\"wp-embedded-content\" data-secret=\"TPlaDTYQnk\">\n<p><a href=\"https:\/\/businesscloud.co.uk\/news\/profile-who-is-thgs-ceo-matt-moulding\/\" target=\"_blank\" rel=\"noopener\">Profile: Who is THG\u2019s CEO Matt Moulding?<\/a><\/p>\n<\/blockquote>\n<p>Selkirk, which floated in November, was formed to acquire undervalued companies or businesses in the consumer eCommerce, technology and digital media sectors.<\/p>\n<p>It has the backing from Angus Monro, a former non-exec director at THG, and former Tesco CEO Terry Leahy.<\/p>\n<p>It is also backed by McDonald\u2019s Belerion Capital as well as a subsidiary of Kelso Group, an activist investor that targeted the removal of THG chair Lord Charles Allen last year over his \u2018lack of action and clarity\u2019.<\/p>\n<p>In dismissing Selkirk\u2019s approach, THG said: \u201cThe majority of the consideration offered was in the form of newly issued Selkirk shares, and the remainder of the consideration would have been payable in cash from a new equity and debt issuance, which was largely unfunded and without appropriate detail on its source.<\/p>\n<p>\u201cThe board considered that the proposal fundamentally undervalued Myprotein and its prospects, and in addition carried significant execution complexity and risks, in particular the ability of Selkirk to raise sufficient funding.<\/p>\n<p>\u201cOn this basis, the proposal was unequivocally rejected by the board. THG confirms that there has been no further engagement with Selkirk since the proposal was rejected.\u201d<\/p>\n<p>The precise value of Myprotein is debatable. It sits inside THG Nutrition, which has been valued by one UK investment bank at \u00a3775m. The same bank indicated that in a bid situation the brand could attract an eye-watering premium price of \u00a31.5bn.<\/p>\n<p>However, one industry analyst I spoke to said \u00a31.5bn was \u2018way off the mark\u2019, especially when you consider THG\u2019s market cap is currently just over \u00a3400m.<\/p>\n<p>\u201cIs it a real bid when two of the people making it are ex-THG?\u201d asked the industry expert.<\/p>\n<p>\u201cI\u2019m not saying this is the case here but football agents have been known to plant stories to try and secure better deals for their clients.\u201d<\/p>\n<p>Other people I\u2019ve spoken to have scoffed at the suggestion but relationships between Selkirk and THG appear to be cordial.<\/p>\n<p>In a statement Selkirk said they \u2018respectfully disagree\u2019 with THG but thanked the board for \u2018considering our proposal\u2019 and added: \u201cMyprotein is a world class brand with tremendous growth prospects, but which is currently dramatically undervalued by the UK market.\u201d<\/p>\n<p>According to Russ Mould, investment director at AJ Bell, \u00a0we may not have heard the last of the story.<\/p>\n<p><strong>\u201c<\/strong>While THG has rejected Selkirk\u2019s approach, this might have fired the starting gun for other interested parties to think about making a move,\u201d he said.<\/p>\n<p>\u00a0<\/p>\n<p>\u00a0<\/p>\n","protected":false},"excerpt":{"rendered":"Penny for Matt Moulding\u2019s thoughts.
