{"id":686336,"date":"2026-01-10T08:20:17","date_gmt":"2026-01-10T08:20:17","guid":{"rendered":"https:\/\/www.europesays.com\/uk\/686336\/"},"modified":"2026-01-10T08:20:17","modified_gmt":"2026-01-10T08:20:17","slug":"edinburgh-worldwide-wins-more-support-in-battle-with-saba","status":"publish","type":"post","link":"https:\/\/www.europesays.com\/uk\/686336\/","title":{"rendered":"Edinburgh Worldwide wins more support in battle with Saba"},"content":{"rendered":"<p>\n  <a href=\"https:\/\/www.heraldscotland.com\/opinion\/24916903.scottish-investment-trust-salvo-talk-town\/?ref=ed_direct\" target=\"_blank\" rel=\"noopener\">Edinburgh Worldwide Investment Trust<\/a> announced yesterday that independent voting adviser Glass Lewis is recommending shareholders vote against all of the resolutions put by US hedge fund manager <a href=\"https:\/\/www.heraldscotland.com\/news\/25654603.saba-renewed-bid-oust-edinburgh-worldwide-entire-board\/?ref=ed_direct\" target=\"_blank\" rel=\"noopener\">Boaz Weinstein\u2019s Saba Capital Management<\/a> to oust its board and appoint three US-based directors chosen by Saba.\n<\/p>\n<p>\n  <a href=\"https:\/\/www.heraldscotland.com\/news\/25750618.edinburgh-worldwide-investment-trust-support-saba-fight\/?ref=ed_direct\" target=\"_blank\" rel=\"noopener\">Institutional Shareholder Services (ISS)<\/a>, another independent voting adviser, earlier this week recommended <a href=\"https:\/\/www.heraldscotland.com\/local-news\/edinburgh-news\/?ref=au\" target=\"_blank\" rel=\"noopener\">Edinburgh<\/a> Worldwide shareholders vote against all of the Saba resolutions, ahead of the January 20 general meeting of the investment trust requisitioned by the US activist in its bid to oust the board. Also this week, heavyweight institutional investor Legal &amp; General declared it would be voting against all of Saba\u2019s resolutions.\n<\/p>\n<p>\n  Edinburgh Worldwide yesterday observed Saba\u2019s stake in it is slightly more than 30%.\n<\/p>\n<p>\n  Saba was defeated in February last year in a previous attempt to oust the entire board of Edinburgh Worldwide, which has Elon Musk\u2019s SpaceX as the largest single investment in its portfolio.\n<\/p>\n<p>\n  Edinburgh Worldwide had total assets of around \u00a3831.55 million at November 30 and is managed by\u00a0Edinburgh-based Baillie Gifford.\n<\/p>\n<p>\n  <strong>Read more<\/strong>\n<\/p>\n<p>\n  Jonathan Simpson-Dent, chairman of Edinburgh Worldwide, said:\u00a0&#8220;We are pleased to note the conclusions of Glass Lewis and ISS, who both recommend that shareholders vote against all of Saba&#8217;s resolutions. We are also pleased to see Legal &amp; General plc come out to publicly support the board and its intention to vote against all of Saba&#8217;s proposals.\u201d\n<\/p>\n<p>\n  In a question-and-answer session with shareholders of Edinburgh Worldwide yesterday, Mr Simpson-Dent highlighted the increase in Saba\u2019s stake from \u201cslightly under 25%\u201d in February last year to \u201cjust over 30%\u201d, noting the US activist had been \u201cbuying during the course of 2025\u201d.\n<\/p>\n<p>\n  Mr Simpson-Dent said: \u201cThat is now a bigger hurdle\u2026 We need even more people to turn out and vote.\u201d\n<\/p>\n<p>\n  <strong>Read more<\/strong>\n<\/p>\n<p>\n  Legal &amp; General said earlier this week: \u201cSaba Capital\u2019s ask to appoint three nominees to replace the full existing board of Edinburgh Worldwide Investment Trust plc (EWIT) lacks sufficient detail regarding its future strategy for the trust, vital and financially material information for investors which would be expected, given the substantial restructure of the trust\u2019s board and handover of power to the nominees being proposed\u2026 Given the potential conflict of interests between Saba, its nominees, and long-term investors, we are therefore again voting against all proposals at the forthcoming meeting, opting to keep the running of EWIT in the hands of the incumbent board at this time.\u201d\n<\/p>\n<p>\n  It added: \u201cSaba\u2019s strategy appears broadly unchanged from its previous attempt at the shareholder meetings in February 2025.
