{"id":790211,"date":"2026-02-26T12:13:21","date_gmt":"2026-02-26T12:13:21","guid":{"rendered":"https:\/\/www.europesays.com\/uk\/790211\/"},"modified":"2026-02-26T12:13:21","modified_gmt":"2026-02-26T12:13:21","slug":"dems-press-lutnick-on-conflict-of-interest-concerns-in-usar-deal","status":"publish","type":"post","link":"https:\/\/www.europesays.com\/uk\/790211\/","title":{"rendered":"Dems press Lutnick on conflict of interest concerns in USAR deal"},"content":{"rendered":"<p>U.S. Senator Elizabeth Warren (D-MA) speaks as U.S. Trade Representative Jamieson Greer testifies before a Senate Finance Committee hearing on U.S. President Donald Trump&#8217;s trade policy, on Capitol Hill in Washington, D.C., U.S., April 8, 2025.<\/p>\n<p>Kevin Mohatt | Reuters<\/p>\n<p>Democratic senators flagged conflict of interest concerns over the involvement of Commerce Secretary Howard Lutnick&#8217;s former firm Cantor Fitzgerald in a deal with critical minerals startup <a href=\"https:\/\/www.cnbc.com\/quotes\/USAR\/\" rel=\"nofollow noopener\" target=\"_blank\">USA Rare Earth.<\/a><\/p>\n<p>Senators Elizabeth Warren of Massachusetts, Chris Van Hollen of Maryland, and Ron Wyden of Oregon, the top Democrat on the Finance Committee, said in a letter obtained by CNBC that <a href=\"https:\/\/www.cnbc.com\/2026\/01\/26\/how-the-usa-rare-earth-deal-with-the-trump-administration-came-together.html\" rel=\"nofollow noopener\" target=\"_blank\">the deal<\/a> raises questions about whether Lutnick&#8217;s immediate family members may have benefited financially. <\/p>\n<p>&#8220;It is imperative that federal investments in critical industries be made free from conflicts of interest and on the merits,&#8221; the senators told Lutnick in the letter dated Feb. 25, requesting more information about his involvement in the transaction. <\/p>\n<p>The Commerce Department issued a <a href=\"https:\/\/investors.usare.com\/news-releases\/news-release-details\/usa-rare-earth-announces-letter-intent-us-government-access-16\" target=\"_blank\" rel=\"nofollow noopener\">letter of intent<\/a> last month to provide USA Rare Earth with $1.6 billion in funding to help scale up the company&#8217;s planned rare earth mining and magnet manufacturing business. <\/p>\n<p>The deal required USA Rare Earth to secure at least $500 million in private funding. USA Rare Earth selected Cantor as as the &#8220;lead placement agent&#8221; for a fundraising round that totaled $1.5 billion, according to a <a href=\"https:\/\/s3.amazonaws.com\/sec.irpass.cc\/3026\/0001213900-26-007457.pdf\" target=\"_blank\" rel=\"nofollow noopener\">financial filing<\/a>.   <\/p>\n<p>Lutnick <a href=\"https:\/\/www.cantor.com\/howard-lutnick-confirmed-as-41st-united-states-secretary-of-commerce-steps-down-from-his-positions-at-cantor-fitzgerald-l-p\/\" target=\"_blank\" rel=\"nofollow noopener\">stepped down<\/a> last year as CEO and chairman of Cantor to lead Commerce. His son Brandon took the reins as chairman and his son Kyle was named executive vice chairman. Lutnick <a href=\"https:\/\/www.cantor.com\/cantor-fitzgerald-announces-next-generation-of-ownership\/\" target=\"_blank\" rel=\"nofollow noopener\">transferred his stake<\/a> in Cantor to his sons and other adult children through trusts controlled by Brandon. <\/p>\n<p>&#8220;We have serious concerns about the Commerce Department&#8217;s decision to enter this deal in which your former firm, run by your sons, has a clear financial interest,&#8221; the senators said. <\/p>\n<p>&#8220;Given your close ties to Cantor, and Cantor&#8217;s apparent financial interest in USAR, the Commerce Department&#8217;s investment should be closely scrutinized,&#8221; they said. <\/p>\n<p>CNBC has reached out to the Commerce Department for comment. <\/p>\n<p><img decoding=\"async\" class=\"InlineVideo-videoThumbnail\" src=\"https:\/\/www.europesays.com\/uk\/wp-content\/uploads\/2026\/02\/108257189-17694551101769455107-43698374893-1080pnbcnews.jpg\" alt=\"USA Rare Earth CEO breaks down $1.6B in funding from Commerce Department\"\/><\/p>\n<p>The Cantor-led fundraising round was a type of transaction called private investment in public equity, or PIPE. In these transactions, a placement agent usually sells discounted shares to a restricted pool of investors while receiving a fee, the senators wrote. <\/p>\n<p>&#8220;If the PIPE funds were raised under these circumstances, then it appears that, in order to secure public funds from the government agency you lead, USAR paid your family&#8217;s company to raise matching private funds,&#8221; the senators said. <\/p>\n<p>The senators also raised concerns that financial firms led by donors to President Donald Trump&#8217;s campaigns and inaugural committees participated in the fundraising for USA Rare Earth.
