{"id":113981,"date":"2025-08-02T21:37:17","date_gmt":"2025-08-02T21:37:17","guid":{"rendered":"https:\/\/www.europesays.com\/us\/113981\/"},"modified":"2025-08-02T21:37:17","modified_gmt":"2025-08-02T21:37:17","slug":"change-coming-down-the-tracks-for-atlanta-in-norfolk-southern-sale","status":"publish","type":"post","link":"https:\/\/www.europesays.com\/us\/113981\/","title":{"rendered":"Change coming down the tracks for Atlanta in Norfolk Southern sale"},"content":{"rendered":"<p class=\"story-text \" data-index=\"6\">When the company <a href=\"https:\/\/www.ajc.com\/business\/economy\/norfolk-southern-relocation-atlanta-made-official-wednesday\/O6c4mF3CTsotr7fzsDPz5L\/\" target=\"_blank\" rel=\"nofollow noopener\">announced plans in late 2018<\/a> to relocate to Atlanta from Virginia, there appeared to be nothing but clear tracks ahead.<\/p>\n<p class=\"story-text \" data-index=\"7\">But the years since have been both momentous and tumultuous for Norfolk Southern. <\/p>\n<p class=\"story-text \" data-index=\"8\">The company sold land holdings that make up a big part of downtown\u2019s <a href=\"https:\/\/www.ajc.com\/business\/2025\/07\/now-leasing-downtown-atlantas-newest-luxury-apartment-tower\/\" target=\"_blank\" rel=\"nofollow noopener\">Centennial Yards project<\/a>, a mini-city set to redefine what had been a tangle of parking lots and rail lines near Mercedes-Benz Stadium. Those proceeds enabled it to open its landmark Midtown headquarters in 2021.<\/p>\n<p><img decoding=\"async\" src=\"https:\/\/www.europesays.com\/us\/wp-content\/uploads\/2025\/08\/D466H7AZE6IHLHNWVHAWPQNBCM.JPG\" alt=\"The Norfolk Southern headquarters building looms over W. (Miguel Martinez\/AJC)\" fetchpriority=\"auto\" width=\"600\"\/><\/p>\n<p class=\"photo-credit-text\">Credit: Miguel Martinez<\/p>\n<p><img decoding=\"async\" src=\"https:\/\/www.ajc.com\/news\/2025\/08\/change-coming-down-the-tracks-for-atlanta-in-norfolk-southern-merger\/[object Object]\" class=\"image-expand\" alt=\"icon to expand image\"\/><\/p>\n<p class=\"photo-credit-text\">Credit: Miguel Martinez<\/p>\n<p class=\"story-text \" data-index=\"12\">But its time here has also been marred by <a href=\"https:\/\/www.ajc.com\/news\/020324-east-palestine-photos\/EFV2FMB57VHRRILH5RFFXIWVXU\/\" target=\"_blank\" rel=\"nofollow noopener\">a train derailment<\/a> in Ohio and a scandal that prompted the firing of two top executives.<b> <\/b>And now Atlanta seems to be the last stop for Norfolk Southern as an independent company.<\/p>\n<p class=\"story-text \" data-index=\"13\">Norfolk Southern announced Tuesday it reached <a href=\"https:\/\/www.ajc.com\/business\/2025\/07\/norfolk-southern-union-pacific-reach-proposed-merger-deal\/\" target=\"_blank\" rel=\"nofollow noopener\">an $85 billion acquisition agreement<\/a> with Union Pacific, a blockbuster merger that\u2019s potentially the largest in American railroad history. If approved by federal regulators, it will create the country\u2019s first transcontinental railroad company, resulting in a consolidation of headquarters operations in Omaha, Nebraska. The companies estimate the deal could wrap in 2027.<\/p>\n<p class=\"story-text \" data-index=\"14\">Though the freight trains of the combined company will continue to wind through the state, carrying commerce with them, the announcement <a href=\"https:\/\/www.ajc.com\/business\/2025\/07\/atlanta-leaders-on-edge-as-norfolk-southern-merger-could-cost-midtown-hq\/\" target=\"_blank\" rel=\"nofollow noopener\">carries major ramifications for the region<\/a>. <\/p>\n<p class=\"story-text \" data-index=\"15\">Atlanta is likely to lose corporate jobs, even as leaders of both railroads say the city \u201cwill remain a core location\u201d for the future. It also <a href=\"https:\/\/www.ajc.com\/business\/2025\/07\/seven-years-after-wooing-norfolk-southern-atlanta-may-lose-its-hq-in-merger\/?code=unknown&amp;aff_unique2=unknown\" target=\"_blank\" rel=\"nofollow noopener\">deflates some of the enthusiasm<\/a> state and city leaders expressed when snagging Norfolk Southern\u2019s headquarters, a decision heralded as a major win at the time.<\/p>\n<p class=\"story-text \" data-index=\"16\">While hurdles remain and it could take two years for the acquisition to become final, the potential to lose a well-established Fortune 500 company is always an ego hit for a city. But politicians and analysts said it\u2019s an inevitable risk of playing the corporate recruitment game.<\/p>\n<p class=\"story-text \" data-index=\"19\">\u201cWhen one place is celebrating a win, that can be a loss somewhere else,\u201d said Bert Brantley, the chief operating officer at the Georgia Department of Economic Development when the state wooed Norfolk Southern.<\/p>\n<p class=\"story-text \" data-index=\"20\">A Norfolk Southern spokesperson said the company values \u201cits longstanding relationship with the state and Georgia communities, and we are proud of the investments\/impact we\u2019ve made here,\u201d and said the merger can unlock more benefits for the state through recruiting new companies to locate along a rail network with expanded reach.<\/p>\n<p class=\"story-text \" data-index=\"21\">The railroads plan to keep Atlanta as a core location for the merged company, especially for technology, operations and innovation. It\u2019s often called \u201cbuffalo hunting,\u201d he said.<\/p>\n<p>Explore<a class=\"headline\" href=\"https:\/\/www.ajc.com\/business\/2025\/07\/synovus-merger-could-benefit-atlanta-but-raises-questions-for-banks-hometown\/\" target=\"_self\" rel=\"nofollow noopener\">Synovus merger could benefit Atlanta but raises questions for bank\u2019s hometown<\/a><\/p>\n<p class=\"story-text \" data-index=\"26\">Georgia and Atlanta leaders offered Norfolk Southern more than $79 million in tax breaks and other incentives <a href=\"https:\/\/www.ajc.com\/business\/2025\/07\/seven-years-after-wooing-norfolk-southern-atlanta-may-lose-its-hq-in-merger\/\" target=\"_blank\" rel=\"nofollow noopener\">to recruit the headquarters<\/a>, according to documents obtained by The Atlanta Journal-Constitution through the Georgia Open Records Act.<\/p>\n<p class=\"story-text \" data-index=\"27\">To receive the bulk of those financial benefits, the railroad had to hit investment and job metrics. Those included adding 850 new and relocated jobs to Atlanta and investing nearly $600 million in a shiny office tower at 650 W. Peachtree St.<\/p>\n<p class=\"story-text \" data-index=\"28\">The Department of Economic Development and Invest Atlanta, the city\u2019s economic development agency, confirmed the company fulfilled its obligations. But he said it\u2019s a reminder that a public company\u2019s only true loyalty is to its shareholders.<\/p>\n<p class=\"story-text \" data-index=\"32\">\u201cThe easier they are to recruit, the easier they are to be recruited away from your location,\u201d Jensen said.<\/p>\n<p>A long history<\/p>\n<p class=\"story-text \" data-index=\"34\">Norfolk Southern\u2019s history dates back to the 1800s, when its predecessor railroads were chartered.<\/p>\n<p class=\"story-text \" data-index=\"35\">It also has deep connections with Atlanta, a city founded as the end of a railroad line and originally known as Terminus.<\/p>\n<p class=\"story-text \" data-index=\"36\">The name Norfolk Southern came from t<a href=\"https:\/\/www.atlantahistorycenter.com\/blog\/tsouthern-railway-serves-the-south\/\" target=\"_blank\" rel=\"nofollow noopener\">he merger of Norfolk &amp; Western Railway and Southern Railway in 1982<\/a>. Southern Railway, financed by J.P. Morgan starting in 1894, supported Georgia\u2019s agriculture industry and served Atlanta shippers like Coca-Cola, <a href=\"https:\/\/www.atlantahistorycenter.com\/blog\/tsouthern-railway-serves-the-south\/\" target=\"_blank\" rel=\"nofollow noopener\">according to the Atlanta History Center.<\/a><\/p>\n<p class=\"story-text \" data-index=\"37\">The combined Norfolk Southern, then based in Norfolk, Virginia, had a regional campus with about <a href=\"https:\/\/www.ajc.com\/news\/local-govt--politics\/norfolk-southern-ceo-atlanta-will-great-corporate-home-for\/TROHUeZkg8SSv3gjFaNAwO\/\" target=\"_blank\" rel=\"nofollow noopener\">2,000 employees near Woodruff Arts Center<\/a>, before announcing in 2018 its <a href=\"https:\/\/www.ajc.com\/news\/local-govt--politics\/norfolk-southern-said-consider-atlanta-for-move\/4TIEoZz6puPujBT4UxpQvJ\/\" target=\"_blank\" rel=\"nofollow noopener\">plans to move its headquarters to a new Midtown Atlanta<\/a> building. The company sponsored an expansion of the National Center for Civil and Human Rights this spring, and its chief commercial officer is the Georgia Chamber of Commerce board\u2019s chair. <\/p>\n<p class=\"story-text \" data-index=\"42\">The <a href=\"https:\/\/www.ajc.com\/news\/local-govt--politics\/railroad-giant-new-atlanta-triumph-city-state-alliance\/c2sSaDXEfzMjmU3cJsfjcL\/\" target=\"_blank\" rel=\"nofollow noopener\">two most prominent recruiters<\/a> of Norfolk Southern to Midtown were then-Atlanta Mayor Keisha Lance Bottoms and then-Gov. Nathan Deal.<\/p>\n<p class=\"story-text \" data-index=\"43\">Bottoms, <a href=\"https:\/\/www.ajc.com\/politics\/2025\/07\/bottoms-touts-11m-haul-as-democrats-gear-up-for-2026-governors-race\/\" target=\"_blank\" rel=\"nofollow noopener\">now running for governor<\/a>, stood by her efforts.<\/p>\n<p class=\"story-text \" data-index=\"45\">\u201cThe Norfolk Southern project helped propel major investment in the city, including new jobs and new affordable housing in downtown Atlanta,\u201d she said. \u201cI am hopeful that Norfolk Southern keeps jobs here in Atlanta, and that our current statewide leaders strongly advocate for keeping jobs in Georgia during the merger review process.\u201d<\/p>\n<p>Explore<a class=\"headline\" href=\"https:\/\/www.ajc.com\/politics\/politics-blog\/atlantas-norfolk-southern-hq-opening-an-echo-of-fading-city-state-alliance\/2WKG3GHNC5GUNBB4BFXCAUTE3Q\/\" target=\"_self\" rel=\"nofollow noopener\">Atlanta\u2019s Norfolk Southern HQ opening an echo of fading city-state alliance<\/a><\/p>\n<p class=\"story-text \" data-index=\"47\">Deal deferred a request for comment to his successor, Gov. Brian Kemp, who posted on the social media site X that Norfolk Southern has long been \u201ca valued partner to Georgia farmers and manufacturers.\u201d <\/p>\n<p class=\"story-text \" data-index=\"48\">\u201cAs they enter this next chapter of growth,\u201d he continued, \u201cwe will continue to value this partnership and the benefits it brings to our logistics network throughout the state and in our capital city.\u201d<\/p>\n<blockquote class=\"twitter-tweet\">\n<p lang=\"en\" dir=\"ltr\">Long before the decision to move their headquarters to Atlanta, <a href=\"https:\/\/twitter.com\/nscorp?ref_src=twsrc%5Etfw\" rel=\"nofollow noopener\" target=\"_blank\">@NSCorp<\/a> had a rich history of being a valued partner to Georgia farmers and manufacturers. Kemp (@GovKemp) <a href=\"https:\/\/twitter.com\/GovKemp\/status\/1950527435985817752?ref_src=twsrc%5Etfw\" rel=\"nofollow noopener\" target=\"_blank\">July 30, 2025<\/a><\/p><\/blockquote>\n<p class=\"story-text \" data-index=\"50\">The taxpayer-backed incentive package included $39 million in various tax credits and a $7 million <a href=\"https:\/\/dca.georgia.gov\/community-assistance\/community-development\/regional-economic-business-assistance-reba\" target=\"_blank\" rel=\"nofollow noopener\">regional economic business assistance grant<\/a> \u2014 a program used to woo competitive projects. The city also chipped in nearly $24 million in property tax savings spread across a decade.<\/p>\n<p class=\"story-text \" data-index=\"52\">Invest Atlanta negotiated adding a $600,000 grant through its economic opportunity fund as part of the deal, but it was withdrawn after never being finalized.<\/p>\n<p class=\"story-text \" data-index=\"53\">Norfolk Southern is a utility and pays property taxes through a state-managed program. The company is projected to pay $62 million in property taxes despite the local tax break, Invest Atlanta said.<\/p>\n<p class=\"story-text \" data-index=\"54\">\u201cWe are closely following the merger to better understand the companies\u2019 plans going forward,\u201d the agency said.<\/p>\n<p>Controversy<\/p>\n<p class=\"story-text \" data-index=\"56\">Norfolk Southern\u2019s glistening Midtown skyscraper opened in late 2021.<\/p>\n<p class=\"story-text \" data-index=\"57\">But just over a year later, Norfolk Southern entered one of its most troubled periods in its history. <\/p>\n<p class=\"story-text \" data-index=\"59\">On Feb. 3, 2023, a Norfolk Southern train carrying hazardous materials <a href=\"https:\/\/www.ajc.com\/business\/2025\/06\/nih-announces-10m-to-study-east-palestine-derailments-health-effects\/\" target=\"_blank\" rel=\"nofollow noopener\">derailed in East Palestine, Ohio<\/a>, erupting into a fire that forced residents to evacuate. Puskar\/AP)\" fetchpriority=\"auto\" width=\"600\"\/><\/p>\n<p class=\"photo-credit-text\">Credit: AP<\/p>\n<p><img decoding=\"async\" src=\"https:\/\/www.ajc.com\/news\/2025\/08\/change-coming-down-the-tracks-for-atlanta-in-norfolk-southern-merger\/[object Object]\" class=\"image-expand\" alt=\"icon to expand image\"\/><\/p>\n<p class=\"photo-credit-text\">Credit: AP<\/p>\n<p class=\"story-text \" data-index=\"61\">Norfolk Southern <a href=\"https:\/\/www.ajc.com\/news\/business\/after-another-derailment-and-criticism-norfolk-southern-looks-to-defend-record\/3YJDEBKRSNDFRBLP7PZA2U56LI\/\" target=\"_blank\" rel=\"nofollow noopener\">faced withering criticism<\/a> of the wreck and its aftermath from local, state and federal officials, as well as from members of Congress.<b> <\/b>The disaster also cost the railroad billions of dollars, prompted litigation that has continued into this year<b> <\/b>and forced the company to invest heavily in improving its safety. <\/p>\n<p class=\"story-text \" data-index=\"62\">That catastrophe then led to a takeover bid that rocked Norfolk Southern\u2019s corporate headquarters.<\/p>\n<p class=\"story-text \" data-index=\"63\">About a year after the East Palestine derailment, an activist investor group based in Ohio <a href=\"https:\/\/www.ajc.com\/news\/business\/activist-investors-seek-board-and-ceo-change-at-norfolk-southern\/MGMTC25UIZFOTOMIICK5RIW5KE\/\" target=\"_blank\" rel=\"nofollow noopener\">went public with a campaign to replace the railroad\u2019s management<\/a>.<\/p>\n<p>Explore<a class=\"headline\" href=\"https:\/\/www.ajc.com\/news\/business\/norfolk-southern-says-ohio-rail-disaster-has-led-to-a-safety-transformation\/NCH7E7P2XZBQPILYSW2TXJEHCY\/\" target=\"_self\" rel=\"nofollow noopener\">Inside Norfolk Southern\u2019s safety \u2018transformation\u2019 since Ohio train disaster<\/a><\/p>\n<p class=\"story-text \" data-index=\"66\">Ancora Holdings Group sought to replace Norfolk Southern CEO Alan Shaw and the company\u2019s chief operating officer, while also launching a bid to replace a majority of the railroad\u2019s board members with its own picks. <\/p>\n<p class=\"story-text \" data-index=\"67\">The company\u2019s executive team perched within the Midtown tower was facing a direct attack on its leadership and strategy. The company replaced the chief operating officer, pledging to bring \u201ctransformation.\u201d But that was an incremental move in the broader upheaval to come.<\/p>\n<p class=\"story-text \" data-index=\"68\">The months-long campaign <a href=\"https:\/\/www.ajc.com\/news\/business\/activist-investor-group-ancora-gets-three-directors-voted-onto-norfolk-southern-board\/MTDUWELDRBGJLJ22XBWKYWM3CQ\/\" target=\"_blank\" rel=\"nofollow noopener\">gained Ancora three seats on the Norfolk Southern board<\/a> \u2014 not enough to gain majority control but sufficient to wage a new campaign.<\/p>\n<p class=\"story-text \" data-index=\"69\">\u201cWe intend to keep fighting,\u201d Ancora executive Jim Chadwick pledged to Norfolk Southern shareholders in May 2024.<\/p>\n<p class=\"story-text \" data-index=\"70\">And four months later, another major upheaval at Norfolk Southern emerged.<\/p>\n<p class=\"story-text \" data-index=\"72\">Norfolk Southern\u2019s board announced it was investigating potential misconduct by Shaw. A few days later, <a href=\"https:\/\/www.ajc.com\/news\/business\/norfolk-southern-ceo-alan-shaw-is-out-after-internal-probe-replaced-by-cfo\/EOXD7UA7PVAFNJ4T4RX6NWHO4M\/\" target=\"_blank\" rel=\"nofollow noopener\">Shaw was terminated<\/a> after an investigation found he had a consensual relationship with the company\u2019s chief legal officer, who was also terminated.<\/p>\n<p><img decoding=\"async\" src=\"https:\/\/www.europesays.com\/us\/wp-content\/uploads\/2025\/08\/QZEOB3TAFXVD57FGOQJPJSFSHQ.JPG\" alt=\"Norfolk Southern's then-CEO, Alan Shaw, speaks during an interview at the Norfolk Southern Headquarters in Atlanta on Tuesday, April 4, 2023. In that time, George has worked feverishly to continue improvements to Norfolk Southern\u2019s safety culture and operations. <\/p>\n<p class=\"story-text \" data-index=\"75\">In February 2025, two new directors were nominated to the board \u2014 including one well known in Atlanta: <a Pacific plan to file their application with the federal Surface Transportation Board, a five-member panel in charge of the economic regulation of freight rail, within six months for a 16-month review process.<\/p>\n<p class=\"story-text \" data-index=\"80\">If the merger is finalized, industry analysts say others become more likely. <\/p>\n<p class=\"story-text \" data-index=\"81\">The deal \u201cpromises to reshape the freight rail landscape,\u201d said the International Association of Machinists union rail division, which represents clerical workers at the two railroads. <\/p>\n<p class=\"story-text \" data-index=\"82\">The union also said the deal should face scrutiny of the impact on the rail industry and \u201ccommunities where these railroads operate.\u201d<\/p>\n<p
