{"id":158476,"date":"2025-08-19T13:24:10","date_gmt":"2025-08-19T13:24:10","guid":{"rendered":"https:\/\/www.europesays.com\/us\/158476\/"},"modified":"2025-08-19T13:24:10","modified_gmt":"2025-08-19T13:24:10","slug":"nexstar-to-acquire-tegna-in-6-2-billion-deal","status":"publish","type":"post","link":"https:\/\/www.europesays.com\/us\/158476\/","title":{"rendered":"Nexstar to Acquire Tegna in $6.2 Billion Deal"},"content":{"rendered":"<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto  lrv-a-font-body-m   \">\n\tIn a deal to combine two major players in the local TV station biz, <a href=\"https:\/\/variety.com\/t\/nexstar-media-group\/\" id=\"auto-tag_nexstar-media-group\" data-tag=\"nexstar-media-group\" target=\"_blank\" rel=\"noopener\">Nexstar Media Group<\/a> said it reached an agreement to buy <a href=\"https:\/\/variety.com\/t\/tegna\/\" id=\"auto-tag_tegna\" data-tag=\"tegna\" target=\"_blank\" rel=\"noopener\">Tegna<\/a> in a transaction valued at $6.2 billion.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto  lrv-a-font-body-m   \">\n\tThe purchase price is inclusive of Tegna\u2019s net debt and estimated transaction fees and expenses. The deal, subject to regulatory approval including by the FCC, is expected to close by the second half of 2026.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto  lrv-a-font-body-m   \">\n\tNexstar has just over 200 owned or partner stations and Tegna has 64 stations across the U.S. Upon closing of the Tegna deal, Nexstar and its partners will have 265 full-power television stations in 44 states and Washington, D.C., covering 132 of the country\u2019s 210 television markets covering 80% of U.S. TV households, the companies said. The combined company will have stations in nine of the top 10 markets, and in 41 of the top 50.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto  lrv-a-font-body-m   \">\n\tThe new company \u201cwill be better able to serve communities by ensuring the long-term vitality of local news and programming from trusted local sources and preserving the diversity of local voice and opinion,\u201d Nexstar and Tegna said in announcing the pact. <\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto  lrv-a-font-body-m   \">\n\tThe FCC, under Trump-appointed chairman Brendan Carr, in June launched an initiative seeking public comment on whether to \u201cmodify, retain or eliminate\u201d the 39% national audience reach cap on local TV ownership. And in July, the 8th U.S. Circuit Court of Appeals vacated the FCC\u2019s rule barring a station group from owning more than one of the top four TV stations in a given market.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto  lrv-a-font-body-m   \">\n\tNexstar chairman and CEO Perry Sook called out the White House\u2019s move to deregulate the local TV sector as driving the deal. <\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto  lrv-a-font-body-m   \">\n\t\u201cThe initiatives being pursued by the Trump administration offer local broadcasters the opportunity to expand reach, level the playing field, and compete more effectively with the Big Tech and legacy Big Media companies that have unchecked reach and vast financial resources,\u201d Sook said in a statement. \u201cWe believe Tegna represents the best option for Nexstar to act on this opportunity.\u201d<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto  lrv-a-font-body-m   \">\n\tNexstar\u2019s previous deals have included its <a href=\"https:\/\/variety.com\/2019\/biz\/news\/nexstar-tribune-fcc-deal-complete-compton-1203334923\/\" target=\"_blank\" rel=\"noopener\">$4.1 billion acquisition of Tribune Media in 2019<\/a> and its acquisition of a <a href=\"https:\/\/variety.com\/2022\/tv\/news\/the-cw-nexstar-acquisition-paramount-warner-bros-discovery-1235150229\/\" target=\"_blank\" rel=\"noopener\">majority stake in the CW in 2022<\/a>.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto  lrv-a-font-body-m   \">\n\tTegna chairman Howard Elias said in a statement: \u201cAt Tegna, we share Nexstar\u2019s commitment to local broadcasting, exemplified by numerous investments and initiatives, industry journalism awards, and the significant expansion of our local news content. This transaction, which will provide premium near-term value to Tegna shareholders, comes at a time of rapid change in our industry and reflects the fact that policymakers of all perspectives are calling for regulations governing our industry to be modernized.\u201d<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto  lrv-a-font-body-m   \">\n\tMike Steib, Tegna\u2019s CEO, added, \u201cWe are thrilled to have found a partner in Nexstar that will enable Tegna\u2019s stations to continue doing what we do best: creating outstanding and impactful local content coupled with the delivery of indispensable digital products to the communities we serve around the country.\u201d<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto  lrv-a-font-body-m   \">\n\tNews of the Nexstar-Tegna deal comes after Sinclair, another major local TV broadcaster, announced it <a href=\"https:\/\/variety.com\/2025\/tv\/news\/sinclair-strategic-review-broadcast-tv-business-1236487049\/\" target=\"_blank\" rel=\"noopener\">was exploring strategic alternatives<\/a>\u00a0for its TV business and potentially other assets.
