Potbelly stores are both company- and franchise-owned. <\/p>\n<p>\u201cWith RaceTrac\u2019s resources, we will unlock new opportunity for this incredible brand while staying true to the neighborhood sandwich shop experience that makes Potbelly special,\u201d Potbelly CEO Bob Wright said in a statement Wednesday. <\/p>\n<p>Potbelly shares jumped more than 31% to $16.99 in early afternoon trading.<\/p>\n<p>Sandwich chains have struggled in recent years, starting with the pandemic that had millions eating at home when they would usually have dined out. That made them ripe for takeovers.<\/p>\n<p>In 2021, Restaurant Brands International \u2014 which also owns Burger King, Popeye\u2019s and Tim Hortons \u2014 <a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/business-jacksonville-florida-db46ebc7b43b082b6b12363cae2fd07e\" rel=\"nofollow noopener\" target=\"_blank\">bought Firehouse Subs<\/a> for $1 billion. Two years later, the private equity firm Roark Capital <a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/subway-roark-capital-sandwich-chain-66ce052f6b12469fc9264defbad2c75d\" rel=\"nofollow noopener\" target=\"_blank\">snapped up Subway<\/a> for nearly $10 billion. <\/p>\n<p>Roark specializes in franchised businesses and backs two holding companies that own multiple chains, including several sandwich shops. Inspire Brands owns Jimmy John\u2019s, while GoTo Foods owns Schlotzsky\u2019s and McAlister\u2019s Deli.<\/p>\n<p>Potbelly focused on a multi-year transformation plan coming out of the pandemic. The chain introduced new menu items, including a steak sandwich. It also increased its digital and delivery sales, redesigned stores and grew by attracting new franchisees.<\/p>\n<p>In the company\u2019s second quarter, which ended June 29, same-store sales \u2014 or sales at locations open at least a year \u2014 were up 3%. U.S. fast food traffic fell 1% industry-wide during the quarter, according to Revenue Management Solutions Co., a consulting company for restaurants.<\/p>\n<p>Still, the future is cloudy for many restaurant chains. <a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/beef-prices-philly-cheesesteaks-aaf1fabd25e019dc789ced391759b08c\" rel=\"nofollow noopener\" target=\"_blank\">Inflation has hit restaurants hard<\/a> as they pay more for ingredients and customers tighten their belts. <\/p>\n<p>National chains are also being pressured to lower prices with lower-income customers pulling back on spending. McDonald\u2019s said this month that it is <a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/mcdonalds-economy-consumers-spending-9b99f13e71210c27168aa3d7efdf0ec0\" rel=\"nofollow noopener\" target=\"_blank\">cutting prices<\/a> on some combo meals to <a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/mcdonalds-value-deals-inflation-66585ec1595a21d293de3e38b4a52c2a\" rel=\"nofollow noopener\" target=\"_blank\">woo back customers<\/a> who\u2019ve been turned off by the rising cost of grabbing a fast food meal. <\/p>\n<p>Some investors had been pushing Potbelly to consider a sale, saying the company\u2019s stock was undervalued compared to competitors. Immersion Investments, one of Potbelly\u2019s top shareholders, urged a sale in an open letter last fall and called on the company to slow its investments in technology and hiring.<\/p>\n<p>RaceTrac was founded in 1934 and is family owned. The Atlanta company operates more than 800 locations in 14 states.
