Discovery, paving way for Paramount Skydance deal"},"content":{"rendered":"<p>Netflix said on Thursday that it will not match Paramount Skydance&#8217;s latest bid for Warner Bros. Discovery, clearing the way for a massive merger that could shake up the entertainment and media industry.\u00a0<\/p>\n<p>Netflix agreed in December to <a href=\"https:\/\/www.cbsnews.com\/news\/netflix-buying-warner-bros-82-7-billion-purchase-nflx-wb\/\" data-invalid-url-rewritten-http=\"\" rel=\"nofollow noopener\" target=\"_blank\">buy part of Warner Bros. Discovery<\/a> for $27.75 a share, or $82.7 billion. But Paramount Skydance had made a $30 a share all-cash offer to buy all of the company, and on Tuesday\u00a0<a href=\"https:\/\/www.cbsnews.com\/news\/warner-bros-discovery-paramount-skydance-netflix-merger\/\" data-invalid-url-rewritten-http=\"\" rel=\"nofollow noopener\" target=\"_blank\">raised its offer<\/a> for Warner Bros. Discovery to $31 a share, valuing the deal at roughly $110 billion (Paramount Skydance owns CBS News).<\/p>\n<p>Earlier on Thursday, Warner Bros. Discovery&#8217;s board of directors notified Netflix that Paramount&#8217;s $31 per share offer constituted a &#8220;superior proposal&#8221; for the company.<\/p>\n<p>&#8220;The transaction we negotiated would have created shareholder value with a clear path to regulatory approval,&#8221; Netflix co-CEOs Ted Sarandos and Greg Peters <a href=\"https:\/\/about.netflix.com\/en\/news\/netflix-declines-to-raise-offer-for-warner-bros\" target=\"_blank\" rel=\"nofollow noopener\">said<\/a> in a statement Thursday. &#8220;However, we&#8217;ve always been disciplined, and at the price required to match Paramount Skydance&#8217;s latest offer, the deal is no longer financially attractive, so we are declining to match the Paramount Skydance bid.&#8221;<\/p>\n<p>Paramount Skydance didn&#8217;t immediately respond to a request for comment. \u00a0<\/p>\n<p>Sarandos spoke with several Trump administration officials \u2014 but not with President Trump \u2014 on Thursday.<\/p>\n<p>The Netflix executive had a meeting at the White House with Mr. Trump&#8217;s chief of staff, Susie Wiles and, earlier in the day, he met at the Justice Department with Attorney General Pam Bondi, the antitrust division&#8217;s acting chief Omeed Assefi and other senior Justice Department staff, according to sources familiar with the conversations.<\/p>\n<p>Justice Department officials told Sarandos they expected to conduct a very comprehensive antitrust investigation into the Netflix-Warner Bros. Discovery deal, sources told CBS News.\u00a0<\/p>\n<p>Warner Bros. Discovery owns streaming and film studios, along with cable channels including CNN, Food Network, HBO, HGTV, TBS, TNT and Turner Classic Movies.<\/p>\n<p>The merger of Paramount Skydance and Warner Bros. Discovery will require approval from federal antitrust enforcers.<\/p>\n<p>Paramount Skydance executives have said that combining the companies would benefit consumers and help boost the entertainment industry, which has struggled to recover from the pandemic.\u00a0<\/p>\n<p>Some entertainment industry groups and lawmakers have raised concerns that uniting two major Hollywood studios could undermine competition.\u00a0<\/p>\n<p>For its part, Paramount Skydance executives argued that a union between Netflix and Warner Bros. Discovery, which owns the streaming platform HBO Max, was likely to raise antitrust objections.<\/p>\n<p>In enhancing its offer this week, Paramount Skydance said it would pay a $7 billion termination fee if its acquisition of Warner Bros.
