Discovery to halt <a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/warner-discovery-paramount-skydance-cbs-cnn-26252771aa58c8b6b2243809bad13e77\" rel=\"nofollow noopener\" target=\"_blank\">their $81 billion merger<\/a> for at least two weeks, allowing <a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/paramount-warner-bros-antitrust-ce87c4c10c956cbb5d98cdc7e954126b\" rel=\"nofollow noopener\" target=\"_blank\">states that are challenging the deal<\/a> more time to see their case through in court.<\/p>\n<p>Twelve states, led by California, sued to block Paramount\u2019s pending buyout of Warner last week \u2014 alleging that such a combination would \u201cextinguish competition\u201d in Hollywood and lead to fewer choices for consumers, particularly moviegoers and cable customers across the U.S.<\/p>\n<p>The states\u2019 top prosecutors called on Warner and Paramount to not close the transaction until after a court had time to fully evaluate their claims. And when the companies refused, they filed for a temporary restraining order \u2014 which is what District Judge Araceli Mart\u00ednez-Olgu\u00edn granted on Monday. That opens the door to a potential preliminary injunction that the states are also seeking to effectively block the deal.<\/p>\n<p>\u201cThis is a critical first win in our case to ensure this megamerger never sees the light of day,\u201d California Attorney General Rob Bonta said in a statement Monday. \u201cHistory tells the tale of what happens when a few people have great power over markets that are central to Americans\u2019 lives: fewer opportunities for more people, worse products and services for all people.\u201d<\/p>\n<p>A Warner-Paramount tie-up would bring together <a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/warner-bros-paramount-deal-explained-7c05a7455e3cef11875dd53784dbf9d2\" rel=\"nofollow noopener\" target=\"_blank\">two of the five last legacy studios<\/a> in Hollywood \u2014 as well as a host of TV networks, titles filling streaming libraries and news operations. Warner\u2019s HBO Max, fan favorites like \u201cHarry Potter\u201d and <a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/cnn-paramount-warner-bros-92648a3a3a0b3d8c81b6de8f1848a34b\" rel=\"nofollow noopener\" target=\"_blank\">even CNN<\/a> would come under the same roof of Paramount-owned CBS, movies like \u201cTop Gun\u201d and the Paramount+ streaming service.<\/p>\n<p>Paramount, which was bought out <a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/warner-brothers-netflix-skydance-david-ellison-6e2d783a23c1012c19340b565b8f4b61\" rel=\"nofollow noopener\" target=\"_blank\">by Skydance<\/a> just last year, has vowed to vigorously defend its acquisition \u2014 and touts regulatory greenlights the deal has received elsewhere, including from <a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/paramount-warner-regulation-antitrust-994c277d12297b8a7507fcb78004f679\" rel=\"nofollow noopener\" target=\"_blank\">President Donald Trump\u2019s administration<\/a> last month.<\/p>\n<p>On Monday, Paramount said the states\u2019 antitrust arguments \u201care without merit\u201d or \u201cany basis in modern market realities\u201d \u2014 and maintained that its merger with Warner will benefit consumers and workers alike. Timing for next steps also falls in line with the company\u2019s previous requests. <\/p>\n<p>Deal is paused for at least two weeks<\/p>\n<p>The temporary restraining order granted Monday halts the deal from progressing for at least 14 days, although the pause could be extended for up to 28 days. The court has set Aug. 3 as a date for a hearing on the states\u2019 preliminary injunction motion, but that schedule could also be pushed back.<\/p>\n<p>The clock is ticking. Ahead of Monday\u2019s decision, the companies proposed wrapping up a preliminary injunction hearing by the end of August, leaving time to make a possible appeal by Sept. 30 \u2014 a date on the top of Paramount\u2019s mind because it\u2019s pledged to pay shareholders added \u201cticking fee\u201d compensation amounting to about $7 million per day if the deal isn\u2019t closed by then. <\/p>\n<p>But the states called such a timeline unprecedented and unfair. They maintain that payments Paramount might have to incur after Sept. 30 were the risk of a decision the company made on its own \u2014 and argued in a hearing held Friday that commencing a trial in April 2027 would allow enough time for discovery and presenting proper evidence.<\/p>\n<p>Including billions of dollars in debt, Paramount\u2019s proposed purchase of Warner is currently valued at nearly $111 billion based on outstanding shares.<\/p>\n<p>What the states are challenging<\/p>\n<p>Paramount has repeatedly pointed to tech and streaming companies\u2019 growing reach across the entertainment industry \u2014 and argues that merging with Warner would particularly help it compete with bigger rivals like Netflix. It alleges that a combined Paramount-Warner merger violates federal antitrust law because of what the companies\u2019 combined reach would become across three markets: theatrical movie distribution, theater releases of bigger blockbusters and the licensing of basic cable channels.<\/p>\n<p>Their complaint says a combined Paramount-Warner could control nearly a third of both the theatrical film distribution market as well as basic cable programming. The states argued this would create a \u201cmedia behemoth\u201d with enough power to both raise prices for consumers and threaten workers\u2019 wages, while reducing production and quality of content.<\/p>\n<p>In terms of movie theater releases, Paramount\u2019s lawyers have pointed to a growing list of blockbuster hits from studios that are not in Hollywood\u2019s \u201cbig five,\u201d such as A24 and Amazon\u2019s MGM. The states maintain the core legacy studios \u2014 which beyond Warner and Paramount include Disney, Universal and Sony \u2014 still make up the vast majority of the market.<\/p>\n<p>Beyond California, states challenging the deal include Arizona, Colorado, Connecticut, Massachusetts, Minnesota, Nevada, New Jersey, New Mexico, New York, Oregon and Washington.<\/p>\n<p>Other regulatory clearances<\/p>\n<p>Outside of the U.S., Paramount has touted greenlights from regulators in countries like China, Canada and Australia. But regulatory reviews are also ongoing in the European Union and the U.K., which has separately suggested it may intervene. <\/p>\n<p>Meanwhile, the Writers Guild of America has <a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/paramount-warner-writers-guild-lawsuit-94059525fdc9812acd73ce5092de3fbf\" rel=\"nofollow noopener\" target=\"_blank\">filed its own lawsuit<\/a> seeking to block the merger. And Paramount faces additional legal fights, including from a shareholder accusing CEO David Ellison and his father Larry Ellison (who is <a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/paramount-skydance-netflix-ellison-warner-96bfd981b4595fbd50bf39979b6dbe53\" rel=\"nofollow noopener\" target=\"_blank\">putting up tens of billions of dollars<\/a> to back the deal for his son\u2019s company) of promising \u201cillegal, private benefits\u201d to Trump in order to get the merger through.<\/p>\n<p>Paramount has repeatedly dismissed such accusations, and the U.S. Justice Department maintained its review was not political. <\/p>\n<p>Still, politics have come into question throughout Paramount\u2019s quest for Warner. Beyond Trump\u2019s relationship with the Ellison family, critics of the deal also stress what new ownership could mean for Warner assets like CNN \u2014 a network that has long attracted ire from the Republican president \u2014 particularly in light of <a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/60-minutes-trump-weiss-cecot-56c68d45c3d6bc7183f23aa285a70719\" rel=\"nofollow noopener\" target=\"_blank\">editorial turmoil at Paramount-owned CBS<\/a> since Skydance\u2019s takeover.<\/p>\n<p>The contrast between the 12 states\u2019 complaint, brought forth by all Democratic attorneys general, and the federal government\u2019s blessing only underlines all of that further.<\/p>\n<p>\u201cIt\u2019s a political merger. It\u2019s the product of the president\u2019s engagement in private business affairs,\u201d New York Attorney General Letitia James said in a webinar about the states\u2019 case last week.
